Since I will be unable to attend the meeting this afternoon regarding the
2008 budget meeting N t the fine Cornpaoy,- I have attached a proposed
2008-2009 Fire Contract for your consideration and distribution at the
meeting.
I've have discussed Us oonibents with the add muncdWsons and we are
all in agreement with the terms and corditions asoutfived in the
contract.
It r. essentially the same contract as the Bated su'bm8ted Last year,
accept, of course, the dollar amount and payment schedule. We thought it
rea5unabie to increase their total dollar amount by 2% for 2008 and 3% in
2009. We also kK*Wed a provision, #5, for the new UHF band pager system
which would allow the Fire Company to purchase between 10-15
pagers/morwtors, each year for the next two years and thought $5,W/year
to be reasonable.
It looks as though the std required audit for Tire companies receiving
500,000 or less doesret take effect for us urs 21814 so I have made
changes to that paragraph as well - #14.

THIS AGREE' I E -tT made this day of December, 2007, by and between the
TOWN OF EN _-u D� _ _ ucipal corporationsituated e County of Tompkins, State of New
York (hereinafter rs _ = -o as e "TOWN
and the ENFIELD EER FIRE
CO ANYINC, a _ _ 3-; ��r-profit corporation, organized and existing under the laws of the State of
New York and having its principal place of business at 172 Enfield Main Road, Ithaca, New York
(hereinafter referred to as the "FIRE COMPANY").
WITNESSETH:
WHEREAS, FIRE COMPANY is a not-for-profit corporation organized exclusively for
charitable and educational purposes and as part of those purposes, desires to provide fire pi�,("tion
d rescue services to persons in the Town of Enfield; and
WHEREAS, so long as the FIRE COMPANY is not in breach of this Agreement, the Town
agrees that the FIRE COMPANY shall be the exclusive provider of primary fire protection services
in the Town. of Enfield, though mutual aid services are not covered or restricted by _this Agreement;
and
WHEREAS, the FIRE COMPANY does not maintain operating authority for general
ambulance services and will only provide emergency first response medical services for life
threatening conditions; and
V'VHEtEAS, that following a public hearing duly held on . 2007
after due notice and describing -in general the terms of this proposed contract, as provided for in
Section 184 of the Town Law of the State of New York, e Town is thereby duly authorized to
contract with the FIRE COMPANY for fire protection services d emergency service in case of .
accidents, calamities or other emergencies in the Town of Enfield Fire Protection District. Fire
protection shall not include the provision of general ambulance ices.
NOW, THEREFORE, the Town engages es e FIRE COMPANY to provide fire protection
d emergency services to the Town of Enfield Fire Protection District for a term of one (2) years
upon the following terms and conditions:
1. PROVISION OF FIRE PROTECTION S E YCES: FIRE COl► NY
shall be subject to call for attendance upon any fire, medical emergency or life threatening
emergency occurring in the district.
The FIRE COWANY shall, when notified by the County 911 Center or otherwise of a fire,
medical emergency or life threatening emergency occurring in the district, respond and
attend without delay with suitable equipment apparatus, and personnel, including but not

limited to in the case of fire, with pin dose apparatus, proceed with diligence to
mare every reasonable effort to extinguish said fire and prevent the loss of life and/or
property in the case of fire, ;or in She case of emergency, to react appropriately to attempt to
prevent the loss of life,
The FIRE COMPANY represents and warrants that at all times throughout the term of this
Agreement, it shall keep and maintain in good repair and working order, suitable and
adequate fire -fighting apparatus (in order to make the best use of taxpayer funis "suitable"
and "adequate" does not mean the most expensive). The FIRE COMPANY will always look
to get the "best value" deal for any and all items required by the department and all other
necessary fire -fighting tools, implements and equipment and emergency service equipment
to properly discharge its obligations hereunder.
The FIRE COMPANY agrees to supply the services of trained and equipped fire-fighters
and emergency medical personnel, utilizing mutual aid when necessary.
The FIRE COMPANY acknowledges that it is a member of the Tompkins County Mutual
Aid network, and that in the event the fare -fighting apparatus and personnel of the FIRE
COMPANY are committed or unable to respond, the FIRE COIWIPANY and/or County 911
Center shall arrange through Mutual Aid for fire protection for the district, as herein
required.
2. MEMBERSHIP: The FIRE COMPANY agrees to assume the decisions of the active and
non-active membership status of its personnel and will determine and take on the
responsibility of who is and who is not a member. The FIRE COMPANY will file a
document with the Town Clerk for distribution to the Town Board enumerating any changes
in membership within ten (10) days of any change in membership.
The FIRE COMPANY agrees to assurne the responsibility of establishing and maintaining a
minimum training standard of all of its members and the TOWN will leave such decisions
up to the discretion of the FIRE CO P 's Board of Directors or their Fire Chief.
The FIRE COMPANY's Board of Directors or their Fire Chief will ensure that new
members pass a pre -membership physical and that existing members will have periodic
physicals at the discretion of the FIRE C Y's Board ofDirectors or their Fire Chief,
or as may be required by law.
3. TERM: The term of this Agreement shall commence on Jan , 2008 end on
December 31, 2009, unless sooner terminated as herein provided.
. COMPENSATION: For the year 08, the TOWN agrees, on behalf of the district, to pay
the FIRE COMPANY the sutra of $234,600.00 (representing a 2% increase) payable in eight
(8) equal monthly installments as fellows:

For the year 2008, the TOWN agrees, on behalf of the district, to pay the F][RF- COMPANY
the sum of $241,638.00 (representing a 3% increase) payable in eight (8) equal monthly

The TOWN agrees that all monies paid hereunder shall be a charge upon the fire protection
district and shall be assessed and levied upon the taxable property in the district and
therefore subject to collectionwith To taxes.
5. TOMPKINS COUNTY Ufff BAND PAGER SYSTEM: The TOWN agrees to include an
additional $5,000.00 for each year outlined above in this contract to be used solely for the
purchasing of pagers and monitors under the new Tompkins County UHF based paging
system. This will enable the FIRE COMPANY to purchase anywhere from 10.15 pagers
and monitors per year.
6. HOLD HARMLESS AGREEMENTS: The FIRE COMPANY shall indemnify, defend and
hold harmless the TOWN, its agents, employees, and officers from and with respect to any
and all liabilities, obligations, losses, damages, injuries, death, claims, demands, penalties,
actions, costs and expenses including without limitation any liability imposed on the Town
under General Municipal Law of the State of New York, arising out of this Agreement and
the provision of fire protection with the Enfield Fire Protection District.
7. INSURANCE: The FIRE COMPANY, at its own expense, shall throughout the term of this
Agreement- obtain and maintain comprehensive public liability and property damage
insurance in the amount of at least $1,000,000.00 for personal injury and $500,000.00 for

property damage_ Moreover, at all times throughout'the term of this Agreement, the FIRE
COMPANY, at its sole expense, shall maintain worker's compensation insurance, disability
benefits insurance and each other form of insurance which the FIRE COMPANY is
required
by law to provide, covering loss resulting from injury, sickness, disability or death of
employees of the FIRE COMPANY. All such insurance shall be in form and with carriers
satisfactory to the TOWN. All such insurance shall name the TOWN as an additional
insured and shall provide that it may not be cancelled or altered without at least thirty (30)
days prior written notice to the TOWN. The FIRE COMPANY shall deliver to the TOWN -
copies or other evidence satisfactory to the TO", of each insurance policy and each
renewal thereof.
The FIRE COMPANY shall arrange for VFBL benefits, though a. TOWN obligation.
Pursuant to Section 30 of the Volunteer Firefighters' Benefit Law (VF$L), the'TOWN shall
not be liable for any increases in the cost of VFBL insurance attributable tothe TOWN
during the term of this Agreement; as such costs are specifically included in" the amount of
compensation payable under this Agreement. Company shall provide TOWN with proof of
such insurance and shall ensure that TOWN receives notice of any cancellation or changes in
the policy as it affects VFBL, coverage.
8. BILLING: The FIRE COMPANY shall not hill any person for any fire protection or rescue
services, except as may be permitted by law. All monies collected as a result of billing
persons or companies for f re protection or rescue services will be reported to -the TOWN
and used to lower the TOWN's payments to the FIRE COMPANY.
. EXPIRATION OR TERMINATION OF RESPQj4SIBILJTIES; Upon expiration for
termination of this Agreement: as provided hereunder, the FIRE COMPANY shall have no
liability or responsibility for providing services under this Agreement to any person or
property within the boundaries of the TOWN.
acknowledge that in fulfilling the terms of this contract, the FIRE COMPANY is performing
an essential public function which is paid for largely by public ftinds. The parties agree that
it is in their mutual interest and in the interest of the public to assist each other in
maintaining the public trust. In order to further these interests, and assist each other in
maintaining the public trust, the FIRE COMPANY and the TOWN agree to the following.
a) The parties agree to meet during the year at the request of either party, to discuss the
provision of FIRE COMPANY services as contained herein. Said meeting(s) shall
take place as a part of the regularly scheduled ee ° gs of the Enfield Town Board or
as a part of the regularly scheduled meetings of the FIRE CO PANY's Board of
Directors.
b) The TOWN agrees that on even -numbered. months, the Town Board, by either a
member or members appear at the beginning of each regular monthly meeting of the
dl
FIRE COMPANY's Board of Directors for a designated period for the purpose of
shared and mutual communication. After that designated period of time, the Board
of Directors meetings would then be closed in order to continue with the various
fiduciary responsibilities the Board of Directors may need to perform.
C) The FIRE COMPANY agrees that on odd -numbered months, the FIRE COMPANY,
by either the chief, president or a member of the Board of Directors will appear for a
report at a monthly To Board meeting for a report of the FIRE COMPANY's
activities for the past month, as well as planned and future activities.
d) The FIRE COMPANY will provide to the Town Clerk of the Town of Enfield for
filing and Town Board distribution all FIRE COMPANY Board of Directors/General
Membership meethig minutes excluding confidential materials.
e) In addition, if further meetings of the TOWN and FIRE COMPANY are deemed
necessary other than the monthly meetings as mentioned above, then both parties
shall take all steps necessary to make them happen.
f) Taxpayer funds shall not be used to fund any FIRE COMPANY function where
alcohol is provided by the FIRE COMPANY.
g) Monies recouped by selling, excess FIRE COMPANY equipment paid for with
taxpayer funds will be reported to the TOWN and placed in a Capital Equipment
Reserve Account to be used for replacement of new equipment only. The balance of
the General Fund as of December 31 will be rolled into this Capital Equipment
Reserve Account.
h) The FIRE COMPANY agrees that all public hearing -notices will be,published in the
Ithaca Journal, which is the local newspaper serving Tompkins County. The FIRE
COMPANY further agrees to provide the TOWN with a copy of said public hearing
notice prior to its publication.
i) The FIRE COMPANY agrees that it shall provide to the Town Clerk of the Town of
Enfield for filing and Town Board distribution the following reports as outlined
below. Said reports are to be provided within seven (7) days of the end of each due
date (unless otherwise noted below).
QUARTERLY:
i. information as to the number and types of calls/responses made by the FIRE
COMPANY sincethelast report. Such report to include the alarm date,
alarm time, location and incident type. (See Alvendix A.)

ii. An up-to-date list of s and training levels of all active members of the
FIRE COMPANY. Such report to list the name of each member, their
rank/position and/or training level, their membership status, their training and
dates of attendance, and the date they became a member of the FIRE
COMPANY. (Seer Appendix B.)
iii. A report showing vehicle mileage used during the calendar year -by vehicle to
include vehicle type, starting mileage, mileage during the quarter and ending
mileage. (See A-Doendix C.)
iv. A statement of revenues and expenditures as they relate to the activities of the
FIRE COMPANY under this Agreement. (See Appendix D.)
ANNUALLY:
V. On an annual basis, and by the To Board's July regular Town Board
meeting, the FIRE COMPANY will provide the TOWN with a report
showing the FIRE COMPANY's complete equipment inventory to include
type of equipment, date purchased, purchase price, amount paid to date,
balance remaining, likely payoff date, expected useful life, replacement date,
current estimated value, date sold and the amount the piece of equipment sold
for (if applicable). (See Avvendix E.)
vi. On an annual basis, and within 30 days of the close of the FIRE
COMPANY's fiscal year (December 31), the FIRE COMPANY will provide
to the Town Board a detailed statement of all outstanding loan debts. Such
report to include the debt type, lending institution, originating amount,
principal and interest paid for the year, and balance of debt remaining. (See
Avnendix F.)
vii On an annual basis, and by January 15, the FIRE COMPANY will provide to
the Town Clerk for filing and distribution to the Town Board, the FIRE
COMPANY's Annual Report Summary of the EVFC Operations. Said report
will be comprised of but not limited to:
- active membership totals
- total personnel hours
- total training hours
- total incident responses
- total mutual aid provided and received
- apparatus miles by equipment and motor fuel consumed
- annual incident type report summary
- year-to-date incident participation summary
- membership list showing membership status/hired date
- annual budget report summary

All financial reports will be in sufficient detail as to allow the Enfield Town Board to
determine exactly the amount of taxpayer funds being expended by the FIRE
COMPANY- Supporting documents must be provided, to include but is not limited
to, itemized lists of expenditures for each category in the FIRE COMPANY's
monthly reports, loans, administrative charges, building and grounds, and any other
item of expense expended using taxpayer fimds. The TOWN will be the final
determining authority to determine if the reports received are satisfactory.
If the TOWN determines that any reports and/or supporting documentation as
outlined herein are inadequate to meet the requirements of the TOWN, the TOWN
will notify the FIRE COMPANY in writing within five (5) business days of receipt
of the reports that the reports are inadequate and what corrections are necessary. If
the corrected reports are not furnished tothe TOWN within five (5) business days of
the TOWN's notice, the TOWN may .in that the FIRE COMPANY is in default of
this contract.
J) The FIRE COMPANY acknowledges that it is subject to the provisions of the Open
Meetings Law (Public Officers Law Article 7) and the Freedom of Information Law
(Public Officcrs Law Article 6).
11. BUILDING CODE COMPLIANCE: The FIRE COMPANY realizes that when receiving
public funds, it needs to comply with state and federal code requirements and agree to bring
their fire hall in compliance with the Americans with Disabilities Act no later than
December 31, 2008.
12. COMMUNITY INVOLVEMENT: The FIRE COMPANY realizes the importance of
community activities taking place: at the fire hall and will allow and encourage use of the fire
hall for charitable fundraising, community events, etc.
13. PROCUREMENT POLICY: The FIRE COMPANY will adopt a procurement policy which
will comport with the requirements under General Municipal Law for municipal entities.
The FIRE COMPANY shall adopt such a policy and forward same to the Town Board by
June 30, 2008.
14. STATE REOUIRED AUDIT: FIRE COMPANY will need to comply with new state audit
requirements. At the same time FIRE COMPANY submits their fiscal audit to the state, the
FIRE COMPANY agrees that the same audit report shall be provided to the Town Clerk of
the Town of Enfield for filing and Town Board distribution.
15. INDEPENDENT AUDIT OR REVIEW OF COMPANY RECORDS: The TOWN may
request by resolution of the Enfield Town Board, an independent audit or review, no more
than once per year, of the financial affairs of the FIRE COMPANY for the present and/or

prior years as the TOWN may determine. The form, content and Certified Public
Accountant performing such audit or review shall be determined by the TOWN. The
TOWN shall pay for the services., costs and disbursements of the auditor and the FIRE
COMPANY shall have no responsibility for any such items. The TOWN shall pay the direct
costs of the FIRE COMPANY related to such audit or review not to exceed $ 1,000.00,
which costs are to be fully documented, in sufficient detail to identify the exact expenditure
of such hinds by the FIRE COMPANY. The FIRE COMPANY agrees to make diligent and
reasonable efforts to fully, completely and timely comply with reasonable requests of the
Certified Public Accountant performing such audit or review for the production of all
records, receipts- bills, vouchers, contracts, bank statements, checks, financial statements
and any other similar documents requested by such person.
16. COMPLLkNICE WITH APPLICABLE STANDARDS: With the safety of it's emergency
responders and citizens as a priority goal, the FIRE COMPANY and the TOWN agree that it
is mutually beneficial to both parties to recognize and acknowledge the need for the FIRE
COMPANY's compliance with all applicable standards, including Federal,: State and Local
statutes and voluntary consensus standards, and to reasonably fund such compliance.
17. WATER SOURCES., The TOWN and the FIRE COMPANY agree that sources of water are
an important aspect of fire protection of the TOWN and agree to carry on mutual discussions
of appropriate ways to address water needs with respect to fire service during the duration of
this Agreement.
18. NOTICES: Both parties agree that all notices, requests. demands and other communications
required or permitted to be given hereunder shall be in writing, and shall be deemed duly
given if delivered by hand or mailed by registered or certified mail, return receipt requested,
to the parties at their corporate (to the attention of the President) and municipal (to the
attention of the Supervisor) offices, respectively.
19. DEFAULTS:
FIRE COMPANY DEFAULTS: At the discretion of the TO", the FIRE- COMPANY
may be determined to be in default of this contract. If the FIRE COMPANY is found to be
in default of this contract the TO" may take all remedies necessary to ensure that the
FIRE COMPANY conforms.to thc terms of this contract- Notification of such default will
be provided in writing -to the FIRE COMPANY within ten (10) business days of such
default. This notice will contain information on is term of the contract the FIRE
COMPANY is in default of and what remedies the TOWN will pursue to ensure compliance.
Such remedies may include:
a) A meeting of TO" and FIRE COMPANY representatives to discuss the particular
terms of the contract that the FIRE COMPANY is in default of and to determine
what action the FIRE COMPANY must take to resolve this default.

b) Withholding periodic payments to the FIRE COMPANY until the term(s) in default
are resolved. If the TOWN withholds periodic payments to the FIRE COMPANY as
a result of a default of the FIRE COMPANY, the FIRE COMPANY may not
consider this a default by the TOWN in the terms of the contract.
C) Pursuing legal action.
d) Contract termination.
TO" DEFAULTS: At the discretion of the FIRE COMPANY, the TOWN may be
determined to he in default of this contract. If the TOWN is found to be in default of this
contract the FIRE COMPANY may take all rernedies necessary to ensure that the TOWN
conforms to the terms of this contract. Notification of such default will be provided in
writing to the TOWN within ten (10) business days of such default. This notice will contain
information on which term of the contract the TOWN is in default of and what remedies the
FIRE COMPANY will pursue to ensure compliance. Such remedies may include:
a) A meeting of TOWN and FIRE COMPANY representatives to discuss the particular
terms of the contract that the TOWN is in default of and to determine what action the
TOWN must take to resolve this default.
b) Pursuing legal action.
C) The FIRE COMPANY may terminate this Agreement upon the TOWN's failure to
deliver the monies due the FIRE COMPANY under this Agreement by. the date due,
so long as the FIRE COMPANY first provides the Town with a notice of default and
the FIRE COMPANY has fulfilled all of its obligations under all terms of this
contract. Should the amount not be paid within sixty (60) days thereafter, the FIRE
COMPANY may provide the TO" with written notice of the date it will cease -
providing services. The FIRE COMPANY shall re the pro -rata portion of funds
for the portion of the contract remaining at the time of such termination. -
20. CONTRACT RENEWAL: At least five (5) months prior to the expiration of any contract
and no later than August I of each year, the parties are to commen e contract negotiations.
If the parties are unable to reach an agreement by November V of the current contract year,
then the Town Board agrees to carry :he current contract over with the same annual dollar
amount and terms with the exception that the contract would be on a month-to-month basis
(with the dollar amount prorated accordingly) until a contract is accepted by both parties or
until the FIRE COMPANY dissolves or the TOWN dissolves the FIRE COMPANY by
resolution. Said dissolution shall be in writing giving at least thirty (30) days written notice
of dissolution to the other party.
21. FIRE PROTECTION COMMITTEE: The parties, agree to form a Fire Protection
Committee. The Fire Protection Committee would consist of two (2) Town Board members

picked by the Town Board who are not members of the Fire Company, two (2) Fire
Company Directors picked by the Fire Company, and two (2) members of the public, one
chosen by each party. If one or both of the To Board members chosen are members of the
Fire Company, then alternate committee members shall be selected by the Town Board's
Code of Ethics Board. This Committee will develop its own topics for discussion and accept
referrals of topics from the Town Board and report to the Town Board and Fire Company
Board of Directors quarterly.
22. AMENDMENT OF LAW: Should the law be amended such that any term of this
Agreement shall be rendered null and void or unenforceable, or should the law require a
provision in this Agreement that is not presently recited, such Agreement shall be deemed
amended as of the effective date of the amendment to the law. An attachment will be
provided by the TOWN to the FIRE COMPANY in a letter notifying the FIRE COMPANY
of the change.
23. WAIVER: No delay or failure to exercise any remedy or right occurring upon any default
shall be construed as a waiver of such remedy or right, or acquiescence in such default, nor
shall, it affect any subsequent default of the same or a different nature. All rights and
remedies herein conferred shall be in addition to and not exclusive of any and all other rights
or remedies now or hereafter existing at law or equity.
24. BINDING EFFECT: This Agreement shall be binding upon and shall inure to the benefit of
the parties hereto and their respective heirs, executor, administrators, successors and assigns.
25. COUNTERPARTS: This Agreement may be executed in counterparts and each such
counterpart, when taken together,, shall constitute a single and binding Agreement.
26. GOVERNING LAW. This Agreement shall be governed by and construed in accordance
with the laws of the State of New York. The County of Tompkins in the State of New York
is hereby designated as the place of trial for any action or proceeding arising from or in any
way connected to this Agreement.
2T NO ASSIGNMENT: In accordance with the provisions of Section 109 of the General
Municipal Law of the State of New York, FIRE COMPANY is hereby prohibited from
assigning, transferring, conveying, or otherwise disposing of this Agreement, or its power to
execute this Agreement, to any other person or corporation without the express written
consent of TOWN. Any such assignment or disposition without such consent shall be void
and unenforceable.
28. ENTIRE AGREEMENT: This Agreement is the entire Agreement among the parties and
shall not be changed, unless in writing and signed by both parties. This Agreement shall
supersede all prior agreements between the parties.
