The purpose of this letter is to notify you that Time Warner Cable requests renewal of its franchise for a period of 10 years, in accordance with the Cable Communications Policy Act of 1984, as amended. The federal law provides that cable operators and franchising authorities may pursue the subject of franchise renewal in formal public proceedings and establish certain specified standards and procedures to be observed in such proceedings. The first step in this process is a proceeding, with notice and participation by the public, to be held for the purpose of identifying the future cable related needs and interests of the base community, and our performance under the existing franchise. We would like these proceedings to be commenced within six(6) months. It should also be pointed out that the renewal procedures in the federal law are not mandatory if the franchising authority and cable operator agree that a renewal can be granted without going through the rather detailed process contemplated by the federal statute. Indeed, a primary purpose of the federal law is to ensure that franchise renewal is not denied unfairly. It was not intended to impose unnecessary, unwanted, or expensive proceedings on both parties. Over the years that it has operated in the City of Ithaca, Time Warner Cable has made a major investment in the community and its cable system. With regard to notifying Common Council and our subscribers; Council, the Mayor's office and the New York Sate Commission on Cable TV, were sent a letter on November 20, 1995, detailing the proposed change in converters, it's features and benefits and proposed price structure(copy attached). A similar letter was sent to each customer involved. This letter was followed up by a telephone call to each customer to explain the process and set up an appointment to install the converter(copy attached). With regard to the price level of the new converter, attached is a copy of Federal Communications Commission Farm 1205,Determining Regulated Eauinment and Installation Costswith addendum, filed with the FCC by Time Warner on December 1, 1995. Council may note that the price of our new addressable converter and remote decreased by$0.98 between the letter sent to Council on November 20th, 1995, and the letter sent to subscribers in December 1995, as a result of Time Warner's agreement with the FCC relating to the establishment of the Social Contract. Matthys Van Cort Aw4i7 Director of Planning and Development DATE: March 14, 1996 RE: Rice Williams Associates You have asked me to communicate with the Cable Commission regarding the role that Jean Rice specifically,and Rice Williams Associates more generally,played in the City's last cable refranchising process. Rice Williams is one of the best consulting companies I've ever retained,either for the City or for any other assignment. Jean Rice is perhaps the best consultant with whom I've ever worked. She is extraordinarily knowledgeable about all aspects of the television cable industry,including technical, financial,legislative,regulatory and legal. Jean Rice was personally involved in every step of the City's last go-around with the cable company, and had it not been for her knowledge,energy and tenacity,the City's agreement with the cable company would have been far less favorable for the City. During the last refranchising,we were fortunate to have a very knowledgeable and intelligent cable negotiating committee including Ray Schlather,Ralph Nash,David Littel and several cable commission members,as well as other citizen participants. Even with all the expertise on our committee,we were guided at every step of the way by Jean's extraordinary knowledge of the refranchising law and process. Jean clearly was the chief tactician and technical expert for the City in the process. She was scrupulously careful to try to carry out the City's goals and objectives as the ordinance and franchise were developed and negotiated. I'd like to conclude by recounting an incident which is emblematic of the pivotal role that Jean played. Jean would brief the committee before each of these meetings telling us what to expect,reminding us of the major items which were to be negotiated. At one such meeting Jean told us, in some considerable detail,exactly what the next moves of the cable company were likely to be. As I mentioned above,Ray Schlather was one of the lead members of the negotiating committee. Until this meeting,Ray had been somewhat skeptical of the need for an outside consultant since he felt the City had enough expertise locally to deal with the company without outside help. After Jean's briefing,we went into the meeting and the local manager of the cable company opened a notebook and began to set forth their position, which was exactly as Jean had predicted. It was almost as if we were at a football game, and we had gotten hold of their play book. Ray looked at me with a rye smile to acknowledge that there was no way we could have possibly anticipated the cable company's latest moves without Jean. Thereafter,Ray became a strong supporter of Jean and readily acknowledged her critical role in the process. If I can give you any further information about Rice Williams or their role in the last refranchising effort,please do not hesitate to call me. As I told you when we spoke by phone on March 7,I will be unable to attend your meeting on the 14th due to a previous commitment. If there is a time when I can meet with the cable commission,I would be happy to do so since I firmly believe that the City would be best served by retaining Rice Williams as we enter these new refranchising negotiations. Matthys Van Cort Director of Planning and Development DATE: May 15, 1996 RE: Cable Franchise Negotiations Jean Finley has asked me to communicate with you regarding the benefits of hiring a consultant to assist the city in its upcoming negotiations with Time Warner regarding the cable franchise for the City of Ithaca. I was the lead staff person during the last go-around with the cable company. At that time,we drafted an extensive new franchise and a new ordinance for the city which were eventually agreed to by the cable company. If it had not been for the assistance we received from a consultant during this process,there is absolutely no question that we would not have gotten a franchise as favorable to the city as the one under which we are now operating. This franchise includes service requirements which the company long resisted and equally importantly included rate regulation for the lower tier which the company adamantly had insisted it would never agree to. Cable refranchising is a highly technical undertaking. We need someone who can assist us regarding all aspects of the franchise negotiations including the technical, financial,legislative,regulatory and legal matters which will be discussed and ultimately regulated by the city's ordinance and franchise. If they are not doing it here,they are doing it somewhere else in the country. The City of Ithaca does it once every five or ten years. No one here has the level of knowledge necessary to compete on a level playing field with a huge corporation like Time Warner without the assistance of someone who does this on a regular basis. The cable television service in the City of Ithaca is essentially a monopoly. There is virtually no alternative means of receiving television signals in the home. During the last round of franchise negotiations,the city hired an electrical engineering consulting firm which measured signal strength throughout the city. Ninety-seven percent of all households in the city receive no off-air signals. This means that only three percent of the homes could get any channels if they put an antenna on their roof. The only other alternative is satellite dishes in every yard or on each rooftop. The cable company is really the only game in town. As a consequence,I feel it is the obligation of the city to try to get the best deal it can for its residents. Negotiating a strong franchise includes getting better service for the customers but also,at least in the last franchise negotiation,resulted in regulated lower tier rates. Without the franchise,the city would have had no ability to regulate the cost to the consumer of the lower tier. The result has been a very large aggregate savings for those households which select the lower tier. In summary,I highly recommend that the city retain a consultant to assist it in franchise negotiations. Because of the complexity of the field and the power of the large communications company with which the city will be negotiating,I think we need a consultant to help us get better service and possibly lower rates for city residents. Green Street Ithaca, New York 14850 Dear Ms. Holcomb, As you may know, Time Warner Cable has been installing new technology throughout the Tompkins County area to continue our efforts to improve system reliability and customer service. Last year we chose the Jerrold CFT-2000 Addressable In-Home Terminal to replace our old Scientific Atlanta addressable system. The Scientific Atlanta converters we have used during the past ten years have a high failure rate, have reached their maximum channel capacity and are difficult to service. Changing to the new "Home Terminals" will provide many new benefits for our customers including increasing the audio scrambling capabilities on channels with primarily adult content and standardizing our channel line-ups. It is for all of these reasons we are planning a complete switch over in our system. On December 4th, we will begin the technology switchover in the City Of Ithaca. All Time Warner customers will be notified by mail. Time Warner Cable representatives will exchange the old Scientific Atlanta converters with our new Home Terminal by appointment. It will take 8 - 12 weeks ti, complete the switchover for all our customers in the City of Ithaca. By February 20, 1996 the Home Terminal will be required in order to continue to receive services above the basic level. This Home Termina; has been introduced in other communities around the country with great success. It is available with an optional remote control and may add new features to many TV sets such as: - Control volume - Control viewing in the home with an easy-to-use parental password system - Select channels from an on-screen channel guide - Order pay-P4r-view features with the push of a button - Increased Wit functions 519 Wost Stato Strost Ithaca, Now York 14850 272-7875 The monthly charge for the new terminal will be $2.95 per month, the remote control will be $0.30 per month, not including franchise fees. Both prices are lower than the allowable rate based upon the formulas determined by the Federal Communications Commission. During our introductory three month period, the rate will be discounted to 93 cents per month for both the home terminal and remote. Over the last twelve months and within the next 6 months Time Warner Cable will invest over 4 million dollars to introduce the Home Terminal to all the addressable cable households in Tompkins County. We are confident that this investment will result in improved system reliability and customer satisfaction. Only customers who currently subscribe to an addressable service, and have not yet received the Home Terminal will be affected. Sincerely yours, The Staff and Management Of Time Warner Cable 519 West State Street Ithaca, New York 14850 273.2551 1 -3 t-cL6 * 19.2 Time Warner Cable Converter Charges By Alderperson Efroymson: Seconded by Alderperson Johnson WHEREAS, the City Clerk has been notified by Time Warner of its intent to replace all cable converters with new ones at a cost of an additional $1 . 12 per month, and WHEREAS, the change in converters and change in fee were not reviewed with subscribers nor with Common Council before it was implemented by Time Warner, and WHEREAS, despite Time Warner apparently having the right to raise converter fees to the level being proposed, Time Warner has provided no firm financial justification for such an increase, and WHEREAS, Time Warner has on previous occasions frequently stated that it is interested in meeting its customers needs by providing reasonably priced services, and WHEREAS, a new converter will allow Time Warner to offer additional products to the customers, therefore providing Time Warner with the potential for additional profit, and WHEREAS, the City is obligated to attempt to provide quality, basic services to all of its residents, and WHEREAS, it has not been proven by Time Warner that many customers are requesting this service, and WHEREAS, members of Common Council and the Cable Commission have already been receiving communication from city residents who object to this additional charge; now, therefore, be it RESOLVED, That Common Council objects to the proposed converter fee as outlined in its December 21, 1995 letter to the City Clerk, and be it further RESOLVED, That Common Council asks Time Warner to maintain the old converter fee at the rate in effect prior to the introduction of the new converter box until such time as Time Warner can show the financial justification for such a cable converter fee structure, and be it further RESOLVED, That this resolution be forwarded to the State Cable Commission, the F.C.C. , and Time Warner.
