1. The undersigned BIDDER proposes and agrees, if this Bid is accepted, to enter into an agreement
with the OWNER to purchase 6,000+/- yards of Unscreened topsoil (the "topsoil") located at 3111
Byrne Hollow Crossing in the Town of Cortlandville, Cortland County, New York. The topsoil
is fiom the construction of Phase 1 and Phase 2 of the Gutchess Lumber Sports Complex & Park
and was declared surplus material by the Cortlandville Town Board on September 21, 2022.
2. BIDDER accepts all the terns and conditions of the Advertisement or Notice to Bidders
including the requirement to provide a certificate of liability insurance in the amount of
$1,000,000 naming the Town as an additional insured and provide proof of workers'
compensation/state disability insurance coverage. Payment must be made within 30 days of the
bid award or prior to removal of the topsoil, whichever occurs first.
3. In submitting this Bid, BIDDER rcprescnts as morc fully sct forth in the Agrccmcnt, that:
a. BIDDER has examined and carefully studied the Bidding Documents and the following

b. BIDDER is familiar with the location of the site and is familiar with and is satisfied as to
the general, local and site conditions that may affect cost, progress, performance, and
removal of the topsoil.
c. This Bid is genuine and not made in the interest of or on behalf of any undisclosed
person, firm, or corporation and is not submitted in conformity with any agreement or
rules of any group, association, organization, or corporation; BIDDER has not directly or
indirectly induced or solicited any other BIDDER to submit a false or sham Bid;
BIDDER has not solicited or induced any person, firm, or corporation to refrain from
bidding; and BIDDER has not sought by collusion to obtain for itself any advantage over
any other BIDDER or over OWNER.
4. BIDDER will purchase the 6,000+/- yards of load and haul the unscreened topsoil fiom the work

consultation, communication, or agreement, for the purpose of restricting
competition, as to any matter relating to such prices with any other Bidder or with any
