The project involves consolidating four parcels and constructing six (6)five-story apartment buildings, containing 615 units/800 beds in studio, one bedroom, and two-bedroom unit configurations. The project also includes integrated amenity/service spaces, parking areas, trails and pedestrian facilities, open spaces, stormwater facilities, and other site improvements. The Planning Board issued a negative determination of environmental significance for this project on December 17, 2024.The board granted Preliminary Site Plan Approval for the project on January 21, 2025.The Town Board approved the concept and location of utilities and trail/pedestrian facilities on March 10, 2025, and approved rezoning the four parcels to Planned Development Zone (PDZ) No. 17 on March 24, 2025. The purpose of the April 15, 2025, meeting is for the Planning Board to review the attached items that were conditioned as part of the Preliminary Site Plan approval and to consider granting Final Site Plan approval for the project. Among the attachments is a draft resolution for the board to consider. The proposed project,which requires Site Plan approval by the Town of Ithaca Planning Board and a rezoning to a Planned Development Zone (PDZ)by the Town of Ithaca Town Board, is a Type I action pursuant to the State Environmental Quality Review Act, 6 NYCRR Parts 617.4 (b)(3) and(b)(5)(iii), respectively, as well as Town of Ithaca Environmental Quality Review Code section 148-5B(2) as the project as proposed involves a zoning change and the construction of 250 or more residential units (30 or more per Town Code)that will be connected to existing community or public water and sewage systems, 3. The Planning Board, at their meeting on December 17, 2024, issued a negative determination of environmental significance for the project, after reviewing application materials, studies, and a narrative plan set dated 07-19-2024, titled"Maplewood Phase II Page 2 Preliminary Site Plan Submission," submitted by Whitham Planning Design Landscape Architecture, PLLC; supplemental materials and drawings dated 08-26-2024, submitted by Whitham Planning Design Landscape Architecture, PLLC; revised materials and drawings, dated 11-15-24, submitted by Whitham Planning Design Landscape Architecture, PLLC; additional materials and drawings, dated 12-9-24, submitted by Whitham Planning Design Landscape Architecture,PLLC; a completed Full Environmental Assessment Form (FEAF) Part 1, prepared by the applicant; and a completed FEAF Parts 2 and 3 prepared by Town Planning staff, 7. Project plans, and related information, were duly delivered to the Tompkins County Planning and Sustainability Department per New York State General Municipal Law §§239- 1 et seq., and such Department responded in a January 10, 2025, letter from Katherine Borgella, Tompkins County Commissioner of Planning, pursuant to §§239-1, -m, and -n of the New York State General Municipal Law, determining that the proposed action will have no significant county-wide or inter-community impact, 8. The Planning Board granted Preliminary Site Plan Approval, after a Public Hearing held on January 21, 2025, where the Planning Board reviewed and accepted as adequate additional project information, including a revised narrative with lighting cut sheets, dated January 7, 2025, drawings titled"Cornell-..Maplewood Phase II,"including sheets L-001, L-002, L100- L108,AL100.S, and AL900.S, prepared by Whitham Planning Design Landscape Architecture,PLLC, dated 12/20/24; previously reviewed drawings received as stated above, including: Sheets A101-A103, A230, and A231,prepared by cbt, dated 10/25/2024; and Sheets C101-C110, Sheets C201-205, and Sheets C301-305,prepared by T.G. We introduced the project to the Planning Board at the July 2,2024, meeting. Review continued through the Negative SEQR determination on December 17, 2024, with Preliminary Site Plan approval on January 21, 2025. With this submission, we request that the Town begin the review of the project for Final Site Plan approval at its April 15, 2025, Planning Board meeting. The project proposes a redevelopment of the former East Hill Apartments with new construction of apartment units for graduate and professional students at Cornell. This development will be an extension of the existing Maplewood Phase I site, and it is proposed that a new PDZ be created for Phase II to include the project area. Also at the December 17, the Planning Board made a recommendation to the Town Board, where the project's PDZ was approved on March 24, 2025. Maplewood Phase II proposes approximately 800 new beds, spread among approximately 615 new units between six new residential buildings and a community center. This submission is intended to provide any required revised drawings that were necessary to comply with conditions imposed as part of the preliminary site plan approval. Relative to the burying of overhead utilities along the south side of Maple Avenue, all utility providers have been contacted and will be able to either remove their inactive cables and wires or, relocate active cables into underground conduits. The only active utilities are associated with telecommunication services. NYSEG and Verizon facilities have been out of service for some time. e. Submission of proof by the City of Ithaca that the applicant has satisfied the comments regarding project elements impacting or located on the city-owned water tank property listed in the email from Matt Sledjeski, City of Ithaca Environmental Engineer, dated September 12, 2024, A letter was received from Scott Gibson, Assistant Superintendent of Public Works, accepting the concept and location of improvements to the City of Ithaca owned water tank site and infrastructure. f. Submission of letters of commitment from Ithaca Bikeshare and Ithaca Carshare that they will locate bicycles and vehicles, respectively, on the project site, and from Tompkins Consolidated Area Transit, Inc. (TCAT) that it intends to serve the project site, The Ithaca Carshare/Bikeshare agreement was submitted to Town staff on February 41"; the TCAT letter was submitted to Town staff on February 8t"; both are included in the Final SPR submission. g. Submission of documentation showing location(s) of off-site contractor parking, and location of temporary trail public parking. Cornell has agreed to provide contractor off-site parking at the Walgreens parking lot near East Hill Plaza. A letter from Cornell was received on March 12, 2025 describing the parking to be provided. The public parallel parking spaces on the north side of Maple Avenue will be installed prior to the demolition of the existing spaces on the south side of Maple Avenue. A party may elect not to renew this Agreement by delivering written notice to the other party no less than sixty (60) days in advance of the expiration of the Term. If one party timely serves a non-renewal notice, the Agreement will expire for all parties at the end of the Term. 2. Parking Spaces; Charging Equipment. During the Term, the Site Host shall provide The CCT, Inc (and the agents, employees, guests, and invitees of The CCT, Inc) access to and the use of two designated parking spaces located adjacent to each other in the parking lot at the Property(the "Parking Spaces") adjacent to existing electric vehicle charging infrastructure, specifically __(the"Charging Equipment"). 3. Designated Vehicle. During the Term, Ithaca Carshare shall place one vehicle (the "Designated Vehicle") at the Parking Space. At all times, Ithaca Carshare shall be the owner of the Designated Vehicle and the Site Host shall have no rights of ownership in connection with same.This vehicle can be any type of passenger vehicle, including an Electric Vehicle, hybrid, or gas vehicle. 4. Designated Electric Bikes. During the Term, Ithaca Bikeshare shall place and maintain 3-10 e-bikes (the "Designated E-Bikes") at a designated charging space for the bikes. At all times, Ithaca Bikeshare shall be the owner of the Designated E-Bikes and the Site Host shall have no rights of ownership in connection with same. {H4416270.3} 1 5. In-Kind Contribution. The Site Host shall provide the Parking Spaces and Charging Equipment, including the electricity running the Charging Equipment, free of charge to The CCT, Inc. (Ithaca Carshare and Ithaca Bikeshare). 6. Rights and Responsibilities. a. Access. The CCT, Inc. and the agents, employees, guests, and invitees of the CCT, Inc. (including its members and volunteers) may access the Designated Vehicle, Designated E-Bikes, Parking Spaces and Charging Equipment 24 hours a day, 7 days a week during the Term. The Site Host will provide to The CCT, Inc. all permissions required for use of the Charging Equipment. b. Obligation to Notify. If The CCT, Inc. becomes aware that the Charging Equipment's functionality has become impaired, it shall notify the Site Host within 24 hours in the manner specified in section 9 below, and the Site Host will make good faith efforts to restore functionality within one week of its receipt of such notice. If the Site Host becomes aware that the Charging Equipment's functionality has become impaired, it shall make good faith efforts to restore functionality within one week and notify The CCT, Inc. within 24 hours in the manner specified in section 9 below. c. Signage. The CCT, Inc. and the Site Host will work to install mutually agreeable signage designating the Parking Space to be used exclusively for The CCT, Inc. The CCT, Inc. will bear the cost of signage. d. Care and Maintenance. In the case of snow and ice accumulation, The CCT, Inc. will be responsible for the removal of snow on and immediately around the Parking Space, and Designated Vehicle. The Site Host may request that The CCT, Inc. relocate the Designated Vehicle to facilitate lot plowing by phone call to The CCT, Inc. with at least 2 hours' notice. e. Insurance. The CCT, Inc. shall provide the Site Host a Certificate of Insurance showing general liability and auto liability coverage. The Site Host shall provide The CCT, Inc. a Certificate of Insurance showing general liability coverage. 7. Indemnification. Each party agrees to fully defend, indemnify and hold harmless the others and their respective directors, officers, employees, agents and volunteers from and against all claims, actions, suits, demands, damages, liabilities, obligations, losses, settlements, judgments, costs and expenses (including without limitation reasonable attorney's fees and costs), whether or not involving a third party claim,which any or all of them may incur, resulting from bodily injuries (or death) to any person, damage (including loss of use) to any property, other damages, or contamination of or adverse effects on the environment, caused by or arising out of the negligent acts or omissions of the indemnifying party or its employees, agents or subcontractors, in connection with this Agreement. To the extent the party seeking indemnification is negligent, the other party's duty to indemnify the party seeking indemnification shall not extend to the proportion of loss attributable to the negligence of the party seeking indemnification. This Section 6 shall survive the expiration or termination of this Agreement. 8. Termination. {H4416270.3} 2 a. Termination for Cause. At any time during the Term, a party may terminate this Agreement(with such termination effective for all parties) if another party: i. is in breach of any term of this Agreement and fails to remedy such a breach within thirty (30) calendar days following delivery of written notice of such breach (such termination effective immediately upon the expiration of such thirty(30) calendar days), or ii. becomes insolvent, makes an assignment for the benefit of creditors, or suffers or permits the appointment of a receiver,trustee in bankruptcy or similar officer for all parts of its business or assets, abandons the business, or fails to pay its debts as they become due (such termination effective immediately upon delivery of notice). b. Termination without Cause. At any time during the Term, a party may terminate this Agreement after sixty (60) days' notice is provided in writing to the other party (the "Early Termination"). 9. Mutual Representations. Each party represents and warrants to the other parties that: (a) it is an entity duly organized and validly existing under the laws of its jurisdiction of organization or incorporation; (b) it has the requisite legal power and authority to enter into this Agreement and to carry out the transactions contemplated by this Agreement; and (c)this Agreement has been duly executed and delivered on its behalf and constitutes a legal, valid and binding obligation, enforceable against it in accordance with its terms. 10. Notice. Notices and other information pertaining to this Agreement should be sent to the addresses listed below via overnight carrier, certified mail return receipt requested or e-mail. Headings. The headings in this Agreement are for reference only and shall not affect the interpretation of this Agreement. d. Assignment. The Site Host may assign this Agreement to a subsequent owner of the Property. Notwithstanding the foregoing, the Site Host shall not otherwise assign this Agreement. e. Independent Parties. Nothing in this Agreement nor the acts of the parties shall be construed, implied, or deemed to create an agency, partnership or joint venture relationship between the Site Host and The CCT, Inc. Neither party has the right or authority to, and shall not, assume or create any obligation of any nature whatsoever on behalf of the other or bind the other in any respect whatsoever. f. Amendment. No amendment, addition, supplement, or other modification to this Agreement shall be effective unless in writing and signed by all parties. g. Entire Agreement. This Agreement constitutes the entire agreement among the parties with respect to the subject-matter hereof and cancels and supersedes any prior understandings and agreements among the parties with respect thereto.
