HomeMy WebLinkAboutCayugaHts SW.pdf SW- 15-515 MEMO OF UNDERSTANDING (MOU) MEMO OF UNDERSTANDING, made by and between the COUNTY OF TOMPKINS, a municipal corporation of the State of New York, having offices in the 125 East Court Street, Ithaca, New York 14850, hereinafter referred to as the "COUNTY), and the Village of Cayuga Heights, with offices at 836 Hanshaw Road hereinafter referred to as the "VILLAGE". W I T N E S S E T H: Whereas, the COUNTY wishes to enter into this MOU to establish a Food Scrap Drop-Off Collection Program at the VILLAGE’s premises. The VILLAGE shall work through the COUNTY’s Tompkins County Division of Solid Waste. NOW, THEREFORE, in consideration of the promises, covenants, and agreements contained herein, the parties agree as follows: 1. The term of this contract shall be from June 1, 2015 through May 31, 2016. Either party may terminate this agreement upon 30 days written notice to the other party. 2. The VILLAGE agrees to the proposal dated 4/30/2015, titled, Food Scrap Drop-Off Collection Program, hereinafter referred to as ATTACHMENT A. 3. The VILLAGE agrees to provide a suitable location for the shed described in ATTACHMENT A, which shall be used to store the materials associated with the program. 4. The COUNTY agrees to give to the VILLAGE the storage shed described in ATTACHMENT A, at no charge to the VILLAGE. 5. The COUNTY agrees to comply with any VILLAGE ordinance and zoning issues, under the guidance of the VILLAGE. 6. It is mutually agreed between the parties that an independent contractor relationship is hereby established under the terms and conditions of this contract. 7. The provisions of this agreement shall be construed under the laws of the State of New York. 8. The COUNTY shall indemnify, hold harmless and defend VILLAGE and its officers, employees, agents and elected officials from and against any and all claims and actions brought against VILLAGE and its officers, employees, agents and elected officials for injury or death to any person or persons or damage to property arising directly out of the COUNTY’s actions or failure to act as outlined herein this MOU, with the exception of all actions and claims arising out of the actions or failure to act of VILLAGE.
