Sherpa On-site Suprport Services will provide the Village of Cayuga
Heights (VICAH) with a designated Sherpa Network Engineer with the
appropriate technical skills to provide effective lT support services.
VICAH's designated Sherpa Network Engineer will provide ongoing
network and syster^ns consulting, training, support, installation and
configuration services, troubleshooting, maintenance, and
administration,
Supponr ScUEDULE:
Sherpa's assigned engineer will perform on-site services and support on
a scheduled basis of eieht (8) hours per month. Note that that VICAH is
only billed for actual time worked and the number of regularly
scheduled hours is flexible and can be changed by mutual agreement to
best meet VICAH's needs.

Sherpa Technologies standard hourly rate is S95 per person per hour.
VICAH's My Sherpie On-site Support Services rate is reduced to 585 per
person per hour. T'he travel fee for each on-site visit is S20.

I Assumes that all lr4y Sherpa Support Services (MYSS) will be provided during Sherpa Technologies (ST) business
hours, which extend from 8:30 a.m. until 5:30 p.m. Monday through Friday, excluding of holidays.
I Authorized work perrformed before or after ST's business hours or on weekends is billed at the rate of time and a
half of ST,s standard $95 hourly rate, or 5142'50 per person per hour.
I ST reserves the right to ch ange the MYSS ratd on 30 days written notice. ST will review the rate an n ually and may
change the rate only once per 12-month period, set by the date of signature on this Agreement.
I Rs a MYSS customer you waive your rights from the date of this Agreement until one (1) year after the expiration
or termination hererof, without written prior ionsent from ST, the ability to solicit the employment of or entice
away any emptoyee, consultant or independdnt contractor of ST who served as such at any time during the term of
this Agreement (whether as a full or part-time employee, consultant or independent contractor); or be an
employer, directly or indirectly, of a ST employee.
Travel is charged at a per visit, per person ra!e.
Sales tax is not included; please add the apprlpriate sales tax where applicable.
Terms of payment are net 20 from date of invoice. At5% finance charge per month is added to past due invoices.
A S25.00 Administration Fee will be assessed to all returned checks.
