DESCRIPTION PRICE
OVERVIEW OF MY SHERPA ON-SITE SUPPORT SERVICES:
Sherpa On-site Support Services will provide the Village of Cayuga
Heights (VICAH) with a designated Sherpa Network Engineer with the
appropriate technical skills to provide effective IT support services.
VICAH’s designated Sherpa Network Engineer will provide ongoing
network and systems consulting, training, support, installation and
configuration services, troubleshooting, maintenance, and
administration.
SUPPORT SCHEDULE:
Sherpa’s assigned engineer will perform on-site services and support on
a scheduled basis of eight (8) hours per month. Note that that VICAH is
only billed for actual time worked and the number of regularly
scheduled hours is flexible and can be changed by mutual agreement to
best meet VICAH’s needs.
REDUCED HOURLY RATE OVERVIEW:
Sherpa Technologies standard hourly rate is $95 per person per hour.
VICAH’s My Sherpa On-site Support Services rate is reduced to $85 per
person per hour. The travel fee for each on-site visit is $20.

| Assumes that all My Sherpa Support Services (MYSS) will be provided during Sherpa Technologies (ST) business
hours, which extend from 8:30 a.m. until 5:30 p.m. Monday through Friday, excluding of holidays.
| Authorized work performed before or after ST’s business hours or on weekends is billed at the rate of time and a
half of ST’s standard $95 hourly rate, or $142.50 per person per hour.
| ST reserves the right to change the MYSS rate on 30 days written notice. ST will review the rate annually and may
change the rate only once per 12-month period, set by the date of signature on this Agreement.
| As a MYSS customer you waive your rights from the date of this Agreement until one (1) year after the expiration
or termination hereof, without written prior consent from ST, the ability to solicit the employment of or entice
away any employee, consultant or independent contractor of ST who served as such at any time during the term of
this Agreement (whether as a full or part-time employee, consultant or independent contractor); or be an
employer, directly or indirectly, of a ST employee.
| Travel is charged at a per visit, per person rate.
| Sales tax is not included; please add the appropriate sales tax where applicable.
| Terms of payment are net 20 from date of invoice. A 1.5% finance charge per month is added to past due invoices.
| A $25.00 Administration Fee will be assessed to all returned checks.

Sherpa Technologies, Inc. shall not be construed to represent third party vendors in any way, nor does Sherpa Technologies, Inc.
warrant the accuracy of claims made by third party vendors. While we will attempt to facilitate warranty claims, Sherpa Technologies,
Inc. shall not be responsible for fulfilling the terms of warranties provided by third party vendors. Sherpa Technologies, Inc. shall not be
liable for any consequential, exemplary or incidental damages due to the claims or activities of third party vendors
