HomeMy WebLinkAboutI - 25 Annual Grant Writing Contract 2022RECEIVED APR 0 5 2022 CONTRACT FOR TOWN OF CORTLANDVILLE Grant Writing Services For good and valuable consideration, the receipt and legal sufficiency of which are hereby acknowledged, Thoma Development Consultants ("Consultant") and the Town of Cortlandville ("Customer") hereby agree to the conditions set forth below. The Consultant shall be responsible for work as set forth in Paragraph I below. For the purpose of this contract, the Customer's representative is the Supervisor. L Scone of Service: Preparation of funding application(s) for projects as identified by the Customer. Preparation of the application(s) will include the following: a. Conduct preliminary research to determine feasibility of a successful application; b. Upon authorization of the Customer, submit funding applications to appropriate sources ensuring Customer compliance with all application requirements; and C. Serve as liaison between the Customer and the appropriate funding source(s) during the application process. II. SMMort Services Provided by the Customer: It is understood that the Customer shall provide necessary support services as approved by its representative to the undertaking of the Consultants activities. III. Time of Performance: The services of the Consultant shall continence as of January 1, 2022. The term of this Agreement shall be for a minimum of a twelve-month period. The contract will then continue until either the Consultant or the Customer elects to terminate as per Paragraph VI of this agreement. IV. Compensation: The Customer will pay the Consultant a retaining fee of $400 per month. The retaining fee will be billed on a quarterly basis. 2. Grant Application Fee - The Customer will pay the Consultant a specific grant fee or be charged on an hourly fee basis for any grant application authorized by the Customer. The Consultant's grant fee will be reduced by 10% prior to the Customer being charged. Hourly rates are identified below in Paragraph 5 of this section. Predevelopment Work — Prior to beginning a grant application there may be a need for services that are not part of the grant application process. If authorized by the Customer, the Consultant will provide the needed services and the Customer will be charged an hourly fee. Hourly rates are identified below in Paragraph 5 of this section. Up to four hours of predevelopment services for each new project will be provided at no charge. 4. The Customer is also obligated to pay the Consultant for all reimbursable expenses incurred by the Consultant during the grant application or pre development process. Reimbursable expenses included postage, long distance telephone calls, photographs, photocopying, mapping, etc. and will be charged to the Customer at cost. Mileage is not charged. 5. Grant administration — Thoma will provide giant administration assistance to the Town upon written request. Unless otherwise agreed upon, all grant administration services will be provided at the most current hourly rates. Services provided by the Consultant at hourly fees will be charged at our annual hourly rates. 2022 hourly rates are: Senior Consultant $145 Program Managers $95 Clerical Personnel $45 V Rillinn and Pavment: Bills for services provided as identified above shall be submitted as follows: Bills for the retainer fee will be submitted for each calendar quarter in which service is provided to the Customer. 2. Bills for grant applications and predevelopment work will be submitted upon completion of each project. The retainer amount paid by the customer will reduce the hourly fees or grant fees for a specific project by the amount of retainer funds available. The remainder of any fee due will be charged to the customer. Payment in full is due within 30 days of submission of the bill. VI. Termination: The Customer or the Consultant may terminate this Agreement by providing notification in writing stating that said Agreement is being terminated. The Customer will be responsible for all fees due the Consultant until the Consultant receives such written termination. Grant writing retaining fees paid to the consultant are non-refundable. Grant retainage fees will be available for grant writing services 24 months after termination of the contract. VII. Acceutance: Authorized signatures below will indicate acceptance by the Customer and the Consultant of this agreement and all conditions placed thereon.
