Review of Correspondence Item 1 DRAFT 8/3/21 MEMORANDUM OF AGREEMENT With THE CAYUGA LAKE WATERSHED INTERMUNICIPAL ORGANIZATION THIS MEMORANDUM OF AGREEMENT(Agreement or MOA), effective as of January 1, by and between the Town/Village/City/County/Indigenous Nation of to be a "Participating Member Entity" in the Cayuga Lake Watershed Intermunicipal Organization (CWIO). WITNESSETH THAT: WHEREAS, pursuant to Article 5-G Section 119-o of the General Municipal Law of the State of New York, municipalities have the authority to enter into contracts and intermunicipal agreements and jointly perform services regarding subjects each separately has the power to perform,which are necessary to carry out for the benefit of the municipality; and WHEREAS, Participating Member Entity find that promoting watershed protections and stewardship of the Cayuga Lake watershed resources is in the public interest and for the common benefit of all within the watershed; and WHEREAS, Cayuga Lake and its surrounding—860 square mile watershed provides numerous benefits to the region including drinking water for approximately 120,000 people,varied recreational opportunities, scenic beauty, natural capital, and ecological significance; and WHEREAS, as of 2021,the CWIO includes many local governments as depicted by the boundaries of the appended map; and WHEREAS,the purpose of the CWIO is to bring the local governments within the entire Cayuga Lake watershed together to work collectively and collaboratively on monitoring, protecting, and restoring the health of the watershed; and WHEREAS, Participating Member Entities desire to continue the cooperative agreement that formed the CWIO in 1999; and WHEREAS, Participating Member Entities will work together cooperatively in the decision-making process and share the leadership and ownership in implementing the Cayuga Lake Watershed Restoration and Protection Plan (RPP) or other plans endorsed or adopted by NYS or the watershed counties to protect the water quality of the Cayuga Lake watershed; and WHEREAS, Participating Member Entities recognize that an intermunicipal organization can best facilitate partnerships across political boundaries to promote the ecological vitality of the Cayuga Lake watershed, and that it is to their mutual advantage and benefit to develop and implement cooperative restoration and protection efforts in general throughout the watershed and promote a regional alliance among governments and county programs; and WHEREAS, Participating Member Entities recognize the value and efficiency of using common resources effectively. 1 DRAFT 8/3/21 NOW,THEREFORE, in consideration of the terms and conditions herein contained,the parties to this Agreement do hereby agree as follows: 1.The Cayuga Lake Watershed Intermunicipal Organization (CWIO) is an official intermunicipal entity recognized by New York State and created by the local governments in the watershed in 1999 to implement a watershed management plan, now called the Cayuga Lake Restoration and Protection Plan (RPP), its mission, goals, and objectives.The implementation of the RPP conveys various benefits to Cayuga Lake and its watershed. Sustainable watershed management includes local involvement in planning and management of the natural resources and is a shared responsibility of all governments. The Participating Member Entities will work together cooperatively in the decision-making and share the leadership of the CWIO. 2.This intermunicipal Memorandum of Agreement is voluntary and will not be construed as to interfere with or diminish any governmental powers, authority, or regulatory authority of any of the Participating Member Entities. 3.A Participating Member Entity, having paid its CWIO annual dues is considered a Voting Member and appoints its own representative, and if it chooses, an alternate representative to the CWIO. 4.As required by the bylaws,the CWIO representatives will approve a budget each year and the Participating Member Entity will pay their dues annually based on the fair share funding formula adopted by the CWIO. The CWIO will send a copy of the budget and funding formula and calculations to each Participating Member Entity annually. 5.The 5-year term of this Agreement shall commence January 1, and terminate December 31, .This Agreement shall be automatically renewed for an additional five-year term, unless either party notifies the other party of its intent not to renew within 90 days of the expiration of any term or renewal term. 6.This Agreement authorizes the CWIO to enter into contracts within the limits of, and subject to, the appropriations provided by the Participating Member Entity and other funding sources. 7.The CWIO shall indemnify, defend, and hold harmless the Participating Member Entity named in this Agreement, its officers, employees and agents from and against any and all liability, damage, claims, demands, costs,judgments,fees, attorneys'fees or loss arising directly or indirectly out of the negligent acts or omissions hereunder by the CWIO or its staff. 8.The Participating Member Entity named in this Agreement shall each indemnify, defend, and hold harmless the CWIO, its officers, employees and agents from and against any and all liability, damage, claims, demands, costs,judgments,fees, attorneys' fees or loss arising directly or indirectly out of each Participating Member Entity's proportionate negligent acts or omissions.This obligation is several and not joint. 9.Any staff hired by the CWIO will be hired with no discrimination by reason of race, creed, color, sex, sexual orientation, age, physical disability, or national origin. 10.The CWIO membership will ensure CWIO staff are overseen. Duties of staff may include but not be limited to: partnering and networking between municipal entities within the watershed to help implement watershed plans,give input into water quality research on the lake and streams, provide assistance to the municipalities on water quality and flood control projects, investigate sources of 2 DRAFT 8/3/21 pollution and develop management strategies to solve those sources of pollution in partnership with other relevant agencies, apply for and administer grants to benefit the watershed or assist Participating Member Entities in grant application, coordinate educational outreach, assist with legislative actions, and act as a spokesperson for CWIO. 11. Any party to this Agreement may terminate its participation with the CWIO at any time but must do so upon giving written notice to the CWIO that such party will terminate its participation in the CWIO, the reasons for the termination and the effective date of such termination,such written notices to be given at least 90 days prior to the date such termination shall take effect. No refunds will be provided to any party that terminates its participation for that year. Withdrawal from the Agreement by one party shall not affect the agreements with other Participating Member Entities in the Agreement. 12. If any term or provision of this Agreement or the application thereof shall,to any extent, be invalidated or unenforceable,the remainder of this Agreement or the application of such term or provision, other than those to which it is held invalid or unenforceable, shall be unaffected thereby, and each term and provision of the Agreement shall be valid and enforceable to the fullest extent permitted by law. 13. If the CWIO should cease to exist,the funds still available will be returned to the parties to this Agreement under the same formula as originally gained after existing obligations are met. 14.This Agreement supersedes any other previous agreements between the municipality and the CWIO. We currently have 5 members and 3 associates appointed by the Town Board. We are actively recruiting additional members. We believe the stipend per meeting would help reduce barriers to participation including expenses associated with child care,transportation, and missing or modifying work schedules. We have anecdotal evidence that member resignations as well as hesitation to apply have been associated with such barriers. We want the board to reflect the diversity of our community. A stipend could open this opportunity for participation beyond the type of member we have been able to attract and retain. Thank you for considering this request. First the TB would need to change the LL authorizing it. The Conservation Board was established under ILL Chapter 23. SS23-7 Compensation and expenses. The members of the Board shall receive no compensation for their services as members thereof but may be reimbursed for reasonable and necessary expenses incurred in performance of their duties within the appropriations made available therefor. Ss 18-7 Citizen Committees -Compensation. Citizen advisory committee members shall serve without compensation, except the Town Board may authorize committee members to be reimbursed for out-of-pocket expenses incurred by members in the course of performing their duties, provided such reimbursement is consistent with policies for reimbursement of expenses applicable generally to employees of the Town and appropriation for such expenses are made by the Town Board. SS20-3 Compensation per meeting authorized. Notwithstanding any provision of the Town Law(including§ 27, Subdivision 1) or any provision of any other general law or local law,the Town Board of the Town of Ithaca is authorized to compensate the Town of Ithaca Planning Board members and the Town of Ithaca Zoning Board of Appeals members on the basis of a stipend per scheduled meeting or per meeting attended by such members. § 20-4 Effect on other compensation methods. DISTINGUISHING FEATURES OF THE CLASS: This professional level position is responsible for the performance of a variety of sustainability planning assignments for the Town of Ithaca. This position will work across departmental boundaries to implement the Town's Green New Deal(GND),which aims to achieve an equitable transition to carbon neutrality town-wide by 2030.This position will plan and execute initiatives to address climate change issues,reduce greenhouse gas emissions and energy consumption, and promote community sustainability in the town. This position serves as the town's lead advisor on sustainability issues and involves frequent interaction with elected officials, the community,,, and other municipal officials. The position may be assigned to work in collaboration with other municipalities as a shared service. The work is performed under the general guidance of the Director of Planning. Watershed Intermunicipal Organization. August 4,2021 Dear Supervisor Howe, The Cayuga Lake Watershed Intermunicipal Organization(CWIO)brings watershed municipalities together to work collaboratively on monitoring,protecting,and restoring the health of Cayuga Lake and its watershed. Since its formation in the early 2000's,CWIO has been working to achieve these goals,first by completing the 2001 Cayuga Lake Restoration and Protection Plan,and then its update in 2017.CWIO was also a stakeholder engaged in development of the 2018 DEC's HABs Acborn Plan for Cayuga Lake-CWIO is now working to increase funding to be able to staff the organization in order to better implement these important plans. In the early 2000's CWIO was staffed and was successful at bringing in grant money and completing projects that improved water quality within the watershed.Cayuga Lake is the only major Finger Lake currently without a Watershed Manager or staff to assist municipalities and the watershed as a whole.As funding for watershed projects is increasing via state and federal grants,CWIO has no staff to apply for and administer these grants. The CWIO membership feels it is time to once again staff the watershed to increase the momentum of activities done to protect the lake,especially in light of continued HABs outbreaks. CWIO dues have remained at$goo/municipality/year since 2004--from the smallest of villages to the largest of counties. Based on systems currently used on Canandaigua and Seneca Lakes,CWIO is proposing what is being referred to as a Fair Funding Formula(FFF),which calculates the dues per municipality based on their acreage within the watershed,amount of shoreline,taxable assessed value,and population density. CWIO has a goal of raising$go,000 annually from the 50 municipalities and 7 counties within the watershed.As governments,our charge is to protect the health,safety,and welfare of our residents. Ensuring the waters within the watershed are clean is part of that charge,and an appropriate use of municipal funding. This proposed change would begin for the fiscal year 2022 for counties,towns and the city. For villages,the proposed change would take effect for the 2022-2023 budget cycle.Attached are the dues throughout the watershed.Since the Town of Ithaca serves as the administrative center for the CWIO,the dues are$z,000 less than what was calculated.Your government's dues at i00%is$4757-$2,000=$2757.CWIO is asking for a budget request for 2022 dues at 50%,which equals$2378-$2000=$378.An invoice will be sent in early zozz. To lessen the financial burden for municipalities with increased dues,the new dues structure is proposed to be phased in over 3 years:50%in 2022,75%in 2023 and t00%in 2024. However, if CWIO member municipalities can pay their full dues,that funding would go to paying for staffing hours to implement more priority projects.The sooner CWIO has full time staff,the sooner we can tackle the long list of recommended priorities within the Cayuga Lake Restoration and Protection Plan and the DEC's Harmful Algal Bloom Action Plan for Cayuga Lake. |n other words,if your municipality can pay/00%invov4 please do! The zo/7Cayuga Lake Watershed Restoration and Protection Plan and the NYS DEC HABs Action Plan provide official guidance on how to address the numerous threats to the lake and its tributaries. The CVV|0is committed to support local governments to identify and implement projects suggested in these two documents such asto: * Help Highway Departments implement best management practices for ditches. ° Work with Soil and Water District offices,County Planning Departments and directly with local municipalities to identify key locations that contribute to water quality degradation,and then... • Assist 10 write and administer grants toremediate1hosepnub|emareas. • Provide model laws to local governments that would help protect waters within the watershed. ° Network with county Health Departments on the feasibility of septic system inspections to ensure systems are not leaking into surface waters. • Encourage and support best management practices to reduce nutrient inputs into the lake and its tributaries. ° Investigate the protection of drinking water through the development of Watershed Rules and Regulations and/or Source Water Protection Plans. * Learn from others—networking withother groups working on water quality issues on Cayuga Lake,in the Finger Lakes and throughout New York. As many of you know,the Community Science Institute(CSI)does critical monitoring of Cayuga Lake.A handful of municipalities financially support CSI and it is very important to continue to do so. Perhaps one day,the municipal funding of CSI can come through CWIO,but the current dues structure does not include funding for C0. Please continue to support C5| separately in their important work. Any government within the watershed is a CWIO member,but those that are current on their dues can vote and are encouraged to appoint a CWIO representative and an alternate to vote on actions.CWIO does not have term limits on these representatives.When the dues letter is sent in early 2022,we will also ask for the name and contact information for your representatives.
