The Agreement provides in part that Lessee has the right to enter upon certain real property (the "Property") owned by Lessor and located at Christopher Lane and Christopher Circle, Town of Ithaca, Tompkins County, State of New York,as further described in the Agreement (the "Premises"), to lease the Premises for the purpose of installing, operating and maintaining a communications facility and other improvements. Lessor and Lessee have now subsequently agreed to modify and relocate the location of the equipment installation at the Premises on the Lessor's Property to a relocated site (the "Relocated Premises"). The Relocated Premises is further described in Exhibit A-1 attached hereto. Upon relocation of the communications facility to the Relocated Premises, all references to the "Premises" in the Agreement and this Memorandum will be deemed to be references to the Relocated Premises. The initial term of Lessee's lease and tenancy under the Agreement was 5 years commencing on November 22, 2002, and expiring on November 21, 2007, and has been renewed for two (2) additional five (5) year Renewal Terms expiring on November 21, 2017. Unless earlier terminated pursuant to the Agreement's terms, the Agreement will automatically be renewed for two (2) remaining successive five (5)year Renewal Terms, unless Lessee provides Lessor with written notice in accordance with the Agreement of its intention not to renew at least ninety (90) days prior to the expiration of the Renewal Term then in effect. Absent such determination and notice by Lessee not to renew, each remaining Renewal Term will extend the term of the Agreement to November 21, 2022 (third Renewal Term), and November 21, 2027 (fourth Renewal Term). The Agreement and any and all amendments thereto contains terms and conditions in addition to those set forth in this Memorandum. Capitalized terms not otherwise defined herein shall have the meaning defined in the Agreement and any and all amendments thereto. This Memorandum is not intended to amend or modify the terms and conditions of the Agreement or any amendments thereto. To the extent that the terms and conditions of this Memorandum differ from the terms and conditions of the Agreement and/or any amendments thereto, the terms and conditions of the Agreement and/or any amendments thereto shall govern and control in all respects.
