Tompkins County Clerk This sheet constitutes the Clerk's endorsement required by section 319 of the Real Property Law of the State of New York Do Not Detach 2012-12584 12/18/2012 04:13:22 PM AMENDED RESOLUTION Easement across Ithacare/Lona view project property A regular meeting of the Tompkins County Industrial Development Agency was convened on August 16, 2012 at 3:30 p.m. The following resolution was duly offered and seconded, to wit: Resolution authorizing the Tompkins County Industrial Development Agency to execute all necessary documents to grant a permanent easement to the Town of Ithaca for ingress and egress, utility access, landscaping and walkways, and a temporary easement for construction, across property described in a deed recorded in the Tompkins County Clerk's office in Liber 869 of Deeds at page 296,in the Town of Ithaca,Tompkins County,New York(re: tax map no. 39.4-1.31). WHEREAS, title to the property more particularly described in a deed recorded in the Tompkins County Clerk's office in Liber 869 of Deeds at page 296 ("the Property") was conveyed to the Tompkins County Industrial Development Agency("the Agency")by said Deed from Ithacare Center Service Company, Inc. ("the Company-) pursuant to an Inducement Resolution adopted by the Agency; and WHEREAS, Ithacare Center Service Company, Inc. seeks a permanent easement for ingress and egress, utility access, landscaping and walkway purposes, and a temporary easement for construction ("the Easements") across the Property; and WHEREAS, the instrument granting the Easements must be executed by the Agency, because the Agency holds fee title to the Property; NOW, THEREFORE, BE IT RESOLVED BY THE MEMBERS OF THE TOMPKINS COUNTY INDUSTRIAL DEVELOPMENT AGENCY" AS FOLLOWS: Section 1. The Chair,Vice Chair and/orthe Administrative Director of the Agency are hereby authorized, on behalf of the Agency, to execute: (a) the Easements; (b) all other necessary documents; and, where appropriate, the Secretary or Assistant Secretary of the Agency is hereby authorized to attest to the Agency documents, all with such changes, variations, omissions and insertions as the Chair, Vice Chair and/or Administrative Director of the Agency shall approve, the execution thereof by the Chair, Vice Chair and/or Administrative Director of the Agency to constitute conclusive evidence of such approval; provided in all events recourse against the Agency is limited to the Agency's interest in the Project. Section 2. The Company shall be required to pay any and all costs incurred by the Agency in connection with this resolution and the Easements, including but not limited to the Agency's attorney's fees. Section 3. These resolutions shall take effect i►nmediately.
