Adjourn MEETING OF THE ITHACA TOWN BOARD Monday, November 6, 2019 TB Resolution 2019 -: Approval of and authorization for the Supervisor to sign, an agreement between the City of Ithaca and the Town of Ithaca for Code enforcement services associated with the Cornell Friedman Wrestling Center Renovation Project Whereas, the Cornell Friedman Wrestling Center Renovation Project straddles municipal boundaries with the bulk of the project being in the Town of Ithaca, and Whereas, the Town of Ithaca is willing to provide code enforcement services for the entire project, and the City of Ithaca has agreed to transfer jurisdiction for this project to the Town, and Whereas, pursuant to the New York State Environmental Quality Review Act (“SEQRA”) and its implementing regulations at 6 NYCRR Part 617, it has been determined by the Town Board that approval of the proposed “Agreement Between the City of Ithaca and the Town of Ithaca for Building Permitting, Inspection, and Related Services for the Cornell University Friedman Wrestling Center” is a Type II action because it constitutes “routine or continuing agency administration and management, not including new programs or major reordering of priorities that may affect the environment,” and thus this action is not subject to review under SEQRA; now, therefore, be it Resolved, that the Town Board of the Town of Ithaca does hereby authorize the Town Supervisor to sign an Agreement with the City of Ithaca for Building Permitting, Inspection and Related Services for the Cornell Friedman Wrestling Center Renovation Project, subject to final approval from the Attorney for the Town. Moved Seconded Vote: Agreement Between the City of Ithaca and the Town of Ithaca for Building Permitting, Inspection, and Related Services for the Cornell University Friedman Wrestling Center This Agreement is effective as of ______________, 2019. WHEREAS, Cornell University (hereafter, “Cornell”), c/o Real Estate Department, Box DH-Real Estate, Ithaca, New York 14853, has proposeda real estate development project on its campus, entitled the Friedman Wrestling Center Addition (hereafter, “the Addition”), that seeks to construct a 5,500 sq.ft. addition to the existing Friedman Wrestling Center, located at 610 Campus Road on tax parcels 31.-1-1.2 (City) and 67.-1-13.2 (Town); and WHEREAS, the Addition proposal does not require approval of the City of Ithaca (hereafter, the “City”), 108 E. Green Street, Ithaca,New York 14850, but did require approval of the Town of Ithaca (hereafter, the “Town” and, collectively with the City, the “Municipal Parties”), 215 N. Tioga Street, Ithaca, New York 14850; and WHEREAS, the Town Planning Board granted final site plan approval for the Addition on October 1, 2019, in PB Resolution 2019-028; and WHEREAS,both the Addition and the existing Friedman Wrestling Center buildingare located within the geographic bounds of both Municipal Parties; and WHEREAS, Article IX, Section 1(c) of the New York State Constitution and Article 5-G of the General Municipal Law empower local governments in the State of New York to enter into agreements amongst themselves for the provision of joint services, and Executive Law § 381(2) states “Two or more local governments may provide for joint administration and enforcement of the uniform code, the state energy conservation construction code, or both, by agreement pursuant to article five-G of the general municipal law”; and WHEREAS, although both the Addition and the existing Friedman Wrestling Center building cross the Municipal Parties’ municipal boundary, the City and the Town agree that the 1 Additionand existing Friedman Wrestling Center constitute a single unified development that is best served by uniform building permitting, code inspection, and related services for the footprint of the proposed Addition and the existing Friedman Wrestling Centerbuilding; this footprint is hereafter referred to as the “Site” and is shown on attached Exhibit A (sheet C104 titled “LAYOUT PLAN”, dated 09/06/19 and revised on 10/30/2019, and prepared by Moody Nolan); NOW THEREFORE, in consideration of the mutual covenants and consideration contained herein, the Municipal Parties agree and contract as follows: 1. All portions of the Site within the geographic boundaries of the Town (as shown on Exhibit A) are subject to the Town’s zoning ordinance, Town Code Chapter 270, including the Town’s site plan review requirements in Chapter 270, and all other Town Code requirements. 2. All portions of the Site within the geographic boundaries of the City(as shown on Exhibit A) are subject to City Code requirements, except City Code Chapter 146 (Building Code Enforcement) and Chapter 181 (Fire Prevention) shall not apply and instead Town Code Chapter 125 (Building Construction and Fire Prevention)and Town Code § 270-233.A (permit to build) shall be applicable. City Code requirements that apply within the City’s geographic boundaries include, but are not limited to, City Code Chapter 325 (Zoning), \[are there any provisions in the Zoning Chapter that deal with building permits and need to be excepted out?\] sewer requirements in City Code Chapters 262 and 264, and water requirements in City Code Chapter ___. \[Please review and provide City Code chapters that apply to the building footprint on the City side of the line.\] The applicable City Code requirements are collectively referred to as “Applicable City Code Requirements.” 3. Except for fees and charges associated with building permits, certificates of occupancy/compliance, and inspections described in Sections 7 and 9 below, or as otherwise 2 specified in Section 10 below, each Municipal Party shall apply, collect and keep all other typically assessed charges or fees associated with all buildings, structures and improvements on the Site within its jurisdiction (such as zoning, special permit, site plan,variance and utility fees and charges). 4. The Town shall consult with building permit applicants, process all initial and future building applications, and issue all initial and future building permitsas required by Part 1203 of Title 19 of the New York Codes, Rules and Regulations (NYCRR) and as specified in Section 6 below, for all buildings, structures, and improvements located on the Site requiring such permits regardless of geographic location, including all future proposed buildings, structures, and improvements. All references in this agreement to buildings, structures and/or improvements shall include any alterations or repairs made to them. 5. The Town shall issue no building permit under this agreementfor any building, structure, or improvement requiring a building permit that is wholly or partially within the City unless and until the City sends the Towna “zoning only permit” \[Or does the City call this something else for zoning compliance? Please confirm if the City provides a “zoning only permit”\] from the City Director of Code Enforcement or its designeestating (i) Cornell has satisfied all applicable pre-construction special permit and site plan review requirements and conditions for such building, structure, or improvement (or portion thereof) within the City and (ii) such building, structure, or improvement (or portion thereof) within the City requiring a building permit complies with, or has received all necessary variances from, the City’s zoning chapter, and complies with all other Applicable City Code Requirements. 6. The Town shall, regardless of location, issue building permits under this agreement in accordance with Town Code Chapter 125 (Building Construction and Fire 3 Prevention) and Town Code § 270-233.A (permit to build), and with all State laws, rules, and regulations as are ordinarily applied by the Town for such buildings, structures, or other improvements. This includes, but is not limited to, the New York State Uniform Fire Prevention and Building Code, and the New York State Multiple Residence Law. For those portions of buildings, structures and improvements located within the Town of Ithaca, the Town will also apply its other local laws, rules, and regulations as are ordinarily applied by the Town. 7. The Town shall collect and keep all building permit fees for building permits it issues under this agreement, regardless of location,as are ordinarily assessed under Town Code Chapter 153, or any other Town Code, resolution, or practice, for such buildings, structures, or other improvements. 8. The Town shall, regardless of location, issue all initial and future certificatesof occupancy/compliance and conduct all code inspections, operating permit inspections and fire and electrical inspections for any building, structure, or improvement within the Site as required by 19 NYCRR Part 1203. The Town shall issue no certificate of occupancy/compliance under this agreement for any building, structure, or improvement requiring such a certificate that is wholly or partially within the City unless and until the City sends the Town a letter from the City Director of Code Enforcement (or its designee) stating Cornell has satisfied all applicable pre- certificate special permit, site plan and variance conditions for such building, structure, or improvement (or portion thereof) within the City. In issuing such certificates and conducting such inspections, the Town shall apply Town Code Chapter 125 (Building Construction and Fire Prevention) and Town Code § 270-233.A (permit to build) , as well as all State laws, rules, and regulations as are typically applied by the Town for such buildings, structures, or improvements within the Town, including, but are not limited to, the New York State Uniform Fire Prevention 4 and Building Codeand the New York State Multiple Residence Law.For those buildings, structures and improvements (or portions thereof) located within the Town of Ithaca, the Town will also apply its other local laws, rules, and regulations as are ordinarily applied by the Town. 9. The Town shall collect and keep all charges and fees for certificates of occupancy/compliance and inspections conducted under this agreement, regardless of location, as are ordinarily assessed under Town Code Chapter 125 (Building Construction and Fire Prevention), or any other Town Code chapter, resolution, or practice, for such buildings, structures, or other improvements. 10. Stormwater, Water, Sewer and 911 Addressing A. One Stormwater Pollution Prevention Plan applies to the Site. Except as specified in this Section 10.A, each Municipal Party will conduct inspections and perform all stormwater- related actions related to stormwater facilities and practices within its respective jurisdiction. Such actions include entry into an Operation, Maintenance and Reporting Agreement with Cornell, the filing of reports, and enforcement. B. The Town will perform all water facility reviews, inspections and enforcement within Cornell’s water distribution system on the Site regardless of geographic location. The Town will collect and keep any associated fees for its activities. C. The Town will perform all sewer facility reviews, inspections and enforcement within Cornell’s sewer system on the Site regardless of geographic location. The Town will collect and keep any associated fees for its activities. D. The Town will assign addresses to all buildings within the Site regardless of geographic location. The Town will collect and keep any associated fees for its activities. 5 11. Except as otherwise specified in section 10 above, employeesand officers of the Town are authorized to, and shall, process, investigate and respond to allcode violations and complaints, and issue any orders regarding the enforcement of the State and local laws, rules, and regulations described in the previous paragraphs of this agreement in relation to the Site regardless of location of the underlying building, structure, or improvement. The Town further shall maintain records of all inspections and applications pertaining to the buildings, structures, or improvements located within the City of Ithaca portion of the Site, make such records available to the City upon reasonable advance notice, shall respond to inquiries from the City about such records or the Town’s services within the City and provide annual reports as may be reasonably requested by the City. 12. Except as otherwise specified in section 10 above, the Town shall bring any necessary enforcement proceeding for violations of the State and local laws, rules, and regulations (including Applicable City Code Requirements) described in the previous paragraphs of this agreement in relation to the Site, regardless of location of the underlying building, structure, improvement, use or activity for which proceedings are commenced. If violations of the City Code are discovered, a written report from the City Director of Code Enforcement or its designee identifying such violations shall be provided to the Town prior to enforcement of the City Code by the Town. The Town will pay for all enforcement costs, including witness and attorney time, and will keep all penalties and fines that may be assessed as a result of such enforcement proceedings. 13. Any authority heretofore conferred on the City Code Enforcement Officers pursuant to the City Code or other applicable laws, rules or regulations is hereby conferred upon 6 the Town Code Enforcement Officers and other Town employees and officers to undertake the Town services within the City described in this agreement. 14. The Town’s employees performing services under this agreement shall not be considered City employees for any purpose. The Town and its employees shall have no claim against the City for any compensation, worker's compensation, vacation pay, sick leave, retirement benefits, social security benefits, disability insurance benefits, unemployment insurance benefits, or any other employee benefits, all of which shall be the Town’s sole responsibility. The City will not withhold on behalf of the Town any sums for income tax, unemployment insurance, social security, or any other withholding. 15. The City shall not make any payments to the Town for its services. The Municipal Parties agree that the fees, charges, penalties and fines that the Town will collect under this agreement are adequate compensation to the Town for its services. 16. The Town agrees to fully defend, indemnify and hold harmless the City and its officers, elected officials, Boards, employees, and agents from and against all claims, actions, suits, demands, damages, liabilities, obligations, losses, settlements, judgments, costs and expenses (including without limitation reasonable attorney’s fees and costs) (collectively referred to as “Claims”), whether or not involving a third party claim, which any or all of them may incur, resulting from bodily injuries (or death) to any person, damage (including loss of use) to any property, other damages, or contamination of or adverse effects on the environment, caused by the acts or omissions of the Town or the Town’s employees, agents or subcontractors, in connection with the services it performs or is required to perform for the City or on its own behalf under this agreement. This duty for the Town to defend, indemnify and hold harmless the City shall not extend to Claims described in Section 17 below. 7 17. The City agrees to fully defend, indemnify and hold harmless the Town and its officers, elected officials, Boards, employees, and agents from and against all claims, actions, suits, demands, damages, liabilities, obligations, losses, settlements, judgments, costs and expenses (including without limitation reasonable attorney’s fees and costs), which any or all of them may incur, resulting from bodily injuries (or death) to any person, damage (including loss of use) to any property, other damages, or contamination of or adverse effects on the environment, caused by the acts or omissions of the City or the City’s employees, agents or subcontractors, to the extent they are based on the City’s zoning, special permits, site plans, or variances. 18. Each Municipal Party hereby agrees to maintain at all times General Liability insurance in the amount of at least $1,000,000.00 per occurrence for bodily injury or property damage, to list the other Municipal Party as an additional insured under said insurance policy, and to provide written proof of such insurance from the insurer, at the time of execution of this agreement, and as may be otherwise required by the other Municipal Party. 19. This agreement shall be effective on the date it is fully executed by both Municipal Parties and Cornell (which is signing to indicate that it has seen and approved the agreement). This agreement shall remain in effect for five (5) years as written unless and until terminated or modified upon the written agreement of both Municipal Parties. This agreement shall renew automatically for successive five (5) year terms upon the same terms and conditions unless a Municipal Party gives written notice to the other Municipal Party at least one year prior to the renewal date that the agreement will not renew. Either Municipal Party may terminate this Agreement for convenience upon one year’s notice to the other Municipal Party. 8 20. Any notices or other communications given under or in relation to this agreement shall be deemed duly given if served personally or by commercial courier service upon the other Municipal Party at the address set forth above, or if mailed by certified mail to the other Municipal Party at the address set forth above, return receipt requested. All notices shall be effective upon the date of receipt. Either Municipal Party may change the address to which notices are sent by giving notice of such change in the manner set forth above to the other Municipal Party. 21. While not a party to this agreement, Cornell’ssignature on this agreement signifies that it has read and approves of its provisions. 22. This writing constitutes the entire understanding and complete agreement of the Municipal Parties. 23. This agreement may be executed in multiple counterparts, all of which together shall constitute the same instrument. 9 IN WITNESS WHEREOF, the City and Town, upon passage of properresolutions of their respective governing boards, authorize their respective Mayor and Supervisor to execute this agreement. Moved: Seconded: Vote: Ayes – X:\\Town Board\\Ithaca Estates III\\TB resol -Authorize Super signature on O & M.docx Cayuga Medical Center Stormwater Maintenance Agreement –November __, 2019 OPERATION, MAINTENANCE, AND REPORTING AGREEMENT THIS AGREEMENT is effective this day of ________ , 20__, by and between the TOWN OF ITHACA, a municipal corporation with offices at 215 North Tioga Street, Ithaca, New York 14850 (the "Town"), and CAYUGA MEDICAL CENTER, a New York corporation with its principal office at 101 Harris B. Dates Drive, Ithaca, New York 14850 (the “Owner”). WITNESSETH: WHEREAS, the Owner received final site plan approval for Cayuga Medical Center Parking Improvements Project 2019 (the “Approval”) from the Town’s Planning Board by resolution number 2019-024 (dated September 3, 2019) on Tax Map Parcel 24.-3-2.1 at 101 Harris B. Dates Drive in the Town of Ithaca, Tompkins County, New York; and WHEREAS, such Approval was granted conditionally upon the construction,maintenance and implementation of approved stormwater facilities and/or other stormwater management practices, submission of stormwater inspection reports, and an agreement with the Town regarding the same; NOW, THEREFORE, in consideration of the granting of the Approval and in furtherance of the public purposes of providing adequate stormwater retention and maintenance, the parties agree as follows: 1. Construction of Facilitiesand Implementation of Practices. (a) The Owner agrees to construct all of the stormwater management facilities, erosion and sedimentation control facilities and storm drainage facilities (collectively referred to as the “Facilities”) shown on the final plans which are part of the Approval, copies of which are on file in the Town of Ithaca offices. Without limiting the foregoing, the Owner agrees to construct, at its expense: (i) The three (3) sand filter stormwater facilities, which shall be located substantially as shown on Sheet C202, Grading & Drainage Plan (last revised 09-16-2019); Sheet C203, Erosion and Sediment Control Plan ( last revised 09-16-2019); Sheet C301, ES&C Details (dated 08-02-2019); and Sheet C302, Details (dated 08-02-2019), all prepared by T.G. Miller, P.C. (these sheets are referred to in this Agreement as the “Drawings”); and (ii) All other Facilities, including pipes, mains, drains, outlet and inlet structures, manholes, and all other drainage-related facilities and structures, whether above or below grade, which shall be located substantially as shown on the Drawings; and (iii) Such future Facilities as may be required to be constructed by applicable laws, rules, or regulations. (b) The Owner further agrees to implement, at its expense, all approved stormwater Page 1 of 6 Cayuga Medical Center Stormwater Maintenance Agreement –November __, 2019 management practices (“Practices”), in addition to the Facilities, that are required as part of the Approval, and such future Practices as may be required by applicable laws, rules, or regulations. (c) All of the Facilities and Practices in subparagraphs (a) and (b) aboveshall be constructed and implemented as shown on the Drawings, in accordance with good engineering practiceand applicable New York State standards and specifications, and to the reasonable satisfaction of the Town Engineer. 2. Inspection, Maintenance and Repair of Facilities and Practices. The Owner agrees for itself, its legal representatives, successors and assigns and any other persons or entities who obtain title to or an interest in any portion of the properties on which any of the Facilities or Practices are located, such agreement being expressly intended to run with the land and be binding forever, to operate, maintain and repair the Facilities and Practices to insure that they continue to function for their intended purpose and as designed. In furtherance of such obligation, and without limiting the obligations set forth in the preceding sentence, the Owner agrees to follow the maintenance plan for regular and recurring inspections and maintenance of the Facilities and Practices which is part of the Approval and is set forth in the approved Stormwater Pollution Prevention Plan prepared by T.G. Miller, P.C. In addition, the Owner shall perform such other inspections, maintenance and repair as may be reasonably required by the Town Engineer in order to assure the continued operation of the Facilities and Practices as intended and designed. The Owner, at its own expense, shall perform all of the foregoing inspections, maintenance and repair and any other inspections, maintenance and repair reasonably necessary to keep all Facilities and Practices functioning in a good and workmanlike manner. 3. Town Inspections, Repairand other Activities. The Owner shall grant to the Town the permanent easement and right-of-way which is attached to this Agreement as Exhibit A. The Owner agrees the Town may enter upon the property described in Exhibit A or any portion thereof for the purposes of observing and inspecting the Facilities and Practices at any time and from time to time as may be deemed appropriate, necessary or desirable by the Town, the Town Engineer, or other officers or employees of the Town, and to make repairs to and undertake other actions regarding the Facilities and Practices as set forth below. If maintenance deficiencies are found as a result of such inspections, the Town Engineer will notify the Owner in writing, and the Owner shall cause needed repairs to be made and/or needed maintenance performed within the number of days set forth in such notice. If the Owner fails to complete the repairs and/or maintenance to the satisfaction of the Town Engineer within the required period, the Town reserves the right (but does not have the obligation) to have the repairs made and/or maintenance performed and will charge the Owner for the cost of such repairs and maintenance. The Owner agrees to pay for such repairs and maintenance within 10 days after demand for same. Notwithstanding the foregoing, if an emergency exists requiring immediate action, the Owner hereby authorizes the Town, its officers, agents, contractors and employees, to enter upon the property and effect emergency repairs to and perform emergency maintenance on, and/or to alter, remove, replace, or change the size of, any portion of the Facilities or Practices in the event of a threat to the safety of the Facilities, Practices or properties adjacent to or downstream of any portion of the Facilities or Practices, with the cost of such activities to be reimbursed by the Owner to the Town within 10 days of demand for same. When any portion of any Facility or Practice is located off-site or on the property of a third party, the Owner, at its sole cost and expense, shall obtain easements and rights-of-way thereto acceptable to the Town. In the event the Town makes repairs or undertakes emergency activities as described in paragraph 3 above and issues a demand for reimbursement, and the Ownerdisputes either the need for the repairs/activitiesor the cost of the repairs/activities, the Owner, in lieu of paying the amount demanded shall, within 10 days of receipt of the demand, deliver to the Town Clerk at the Town offices a Notice of Contest stating that the need for the repairs/activities, or cost, or both, is in dispute and concisely stating the basis for the dispute. Failure to serve such a Notice of Contest shall be deemed a waiver of any claim or defense that the amount demanded is not justified. If the Notice of Contest is timely filed, the Town shall, within forty-five days of the filing, arrange for a hearing before the Town Board which, based upon any relevant materials presented by the Town Engineer and the Owner, shall issue a resolution determining the dispute within 10 days after the hearing. Such resolution shall be filed with the Town Clerk, who shall arrange for delivery of a copy of the resolution to the Owner, within five days after such filing, at the address for such Owner set forth at the outset of this Agreement or at such other address as the Owner may designate in writing to the Town Clerk and Town Engineer. If the Owner disagrees with the resolution, it may bring a proceeding pursuant to Article 78 of the Civil Practice Law and Rules of the State of New York, provided such proceeding is commenced within 30 days of the filing with the Town Clerk of the decision of the Town Board. The Owner agrees to the shortened statute of limitations of 30 days within which it must assert its claims in any Article 78 proceeding. Failure to timely institute such a proceeding shall be deemed an agreement with the decision of the Board. 5. Addition to Taxes. In the event the Town makes repairs or undertakes emergency activities as described in paragraph 3 above and the Owner fails to reimburse the Town for the cost of said repairs/activities within 10 days after the demand for same, or, if contested by the proceedings set forth above, fails to so reimburse within 30 days of the filing of the final decision on the contest determining the amount due to the Town, then such unpaid costs, expenses and interest at the per annum rate of 9% incurred from the date of repair/activity shall constitute a lien upon the land on which the Facilities or Practicesare located. The Town may bring a legal action or proceeding to collect such costs, expenses, interest, and recoverable attorney’s fees, or to foreclose such lien. As an alternative to the maintenance of any such action, the Town may file a certificate with the Tompkins County Department of Assessment stating the costs and expenses incurred and interest accruing as aforesaid, together with a statement identifying the property and Owner so that the Tompkins County Department of Assessment shall in the preparation of the next assessment roll assess such unpaid costs, expenses and interest upon such property. Such amount shall be included as a special ad valorem levy (administered as a move tax) against such property, shall constitute a lien, and shall be collected and enforced in the same manner, by the same proceedings, at the same time, and under the same penalties as are provided by law for collection and enforcement of real property taxes in the Town of Ithaca. The Owner agrees that the assessment of such costs, expenses and interest shall be effective even if the property would otherwise be exempt from real estate taxation. In any action or proceeding brought hereunder, the prevailing party shall be entitled to recovery from the other party of its reasonable costs in prosecuting or defending any action, including reasonable attorneys’ fees. The prevailing party shall be determined by the court determining the matter. “Prevailing party” shall mean a party which is awarded all or substantially all of the relief demanded by such party. 6. Inspection Reports. The Owner shallsubmit an annual stormwater inspection report to Page 3 of 6 Cayuga Medical Center Stormwater Maintenance Agreement –November __, 2019 the Town Engineeron or before the first day of October of each year, with the first report being submitted the first October following the issuance of the Building Permit. Notwithstanding the foregoing, Owner shall submit stormwater inspection reports on a more frequent basis or on a different timetable where required by the Approval or by law, rule or regulation. Such reports shall, at a minimum, include the location of the property, Owner’s contact information, a summary of completed inspections and results of such inspections, and a summary of any maintenance activities or corrective actions undertaken. Reports shall be signed by the Owner or other legally responsible party, and shall attest to the accuracy of the information provided in the report. Failure to submit the reports, or the submission of inaccurate reports, shall constitute a condition of non-compliance with the site plan Approval and be subject to enforcement as outlined below. 7. Alterations and Discontinuation of Facilities and Practices. The Owner shall not authorize, undertake or permit alteration, abandonment, modification or discontinuation of the Facilities or Practices except in accordance with written approval of the Town and pursuant to any applicable requirements for modification of site planApprovals. 8. Additional Requirements. The Owner shall comply with all Town of Ithaca stormwater operation, maintenance or reporting local laws, ordinances and regulations as they now exist or are hereafter added or amended. The parties agree to amend this Agreement as necessary to incorporate the requirements of any new or amended laws, ordinances or regulations. 9.Recording. This Agreement shall be recorded in the office of the Tompkins County Clerk and when recorded shall be referenced to the deeds for Tax Map Parcel 24.-3-2.1. The costs of recording and referencing to affected deeds and parcels of land shall be the responsibility of the Owner. 10. Binding Effect and Enforcement. (a) The Owner, its legal representatives, successors and assigns, and any other persons or entities who obtain title to or an interest in any portion of the properties on which any of the Facilities or Practices are located shall be bound by the termsof this Agreement. The Owner shall execute whatever documents are necessary to make this Agreement binding on any persons or entities who obtain title to, or an interest in, any portion of the properties on which any of the Facilities or Practices are located. (b) Failure to comply with any of the requirements of this Agreement shall, without limiting the remedies otherwise available to the Town, constitute a condition of non- compliance with the site plan Approval, shall be deemed a violation of the Town’s Zoning Ordinance, and shall be subject to enforcement as outlined in Section 270-239 of the Town of Ithaca Code and Section 268 of the Town Law. 11. Representation as to Authority. Each of the persons executing this Agreement on behalf of the parties represents that he or she has full authority to execute the same on behalf of his or her party, and that by his or her execution, the party for which he or she is executing this Agreement is fully bound by its terms. Page 4 of 6 Cayuga Medical Center Stormwater Maintenance Agreement –November __, 2019 12. Limitation upon Town Liabilityand Indemnity.The Town shall not be liable or responsible for any injury to persons or damage to property due to the Town’s actions, or failures to act, under or pursuant to this Agreement, unless it is proven to a reasonable degree of certainty that such injury or damage was caused by a reckless or intentional wrongful act of the Town or, where the Owner is not in breach of this Agreement and no emergency situation exists, by the Town’s negligence. The Owner agrees to indemnify and hold harmless the Town and its elected officials, employees, agents, subcontractors and consultants for all damages, losses and claims that arise out of the Owner’s and/or Town’s actions or failures to act under or pursuant to this Agreement, except this indemnification shall not extend to the proportion of damages, losses and claims caused by a reckless or intentional wrongful act of the Town or, where Owner is not in breach of this Agreement and no emergency situation exists, by the Town’s negligence. Such indemnity shall include the costs of defending any action, including reasonable attorney fees, expert fees, and other litigation costs. 13. Waivers. Where the Town Board finds that, due to the special circumstances of a particular case, a waiver of certain requirementsin this Agreement is justified, a waiver may be granted. In all cases, no waiver shall be granted unless the Town Board finds and records in its minutes that: (1) granting the waiver would be in keeping with the intent and spirit of this Agreement, and is in the best interests of the community; (2) there is no adverse effect upon the character, appearance, or welfare of the neighborhood and any watercourses, watersheds, or surface waters; (3) there are special circumstances involved in the particular case; (4) denying the waiver would result in undue hardship, provided that such hardship has not been self-imposed; and (5) the waiver is the minimum necessary degree of variation from the requirements of this Agreement. 14. Assignment. The Town may assign this Agreement and any of its rights, duties and obligations to any successor entity or governmental institution, or to any one or more drainage or other districts hereafter created by the Town. 15. Severability. In the event that any portion of this Agreement is declared invalid by a court of competent jurisdiction, the validity of the remaining portions shall not be affected by such declaration of invalidity. Grantor, for itself and all of its successors and assigns, covenants and agrees that, except to the extent necessary for the construction, use and maintenance of buildings and other improvements on the Premises in accordance with permits and approvals issued by Granteethat explicitly reference the aforesaid permanent easements,it will not permit or conduct any mining, excavation, construction or blasting within said easementsand right-of-way. 4. (a) The Owner agrees to construct all of the stormwater management facilities, erosion and sedimentation control facilities and storm drainage facilities (collectively referred to as the “Facilities”) shown on the final plans which are part of the Approval, copies of which are on file in the Town of Ithaca offices. Without limiting the foregoing, the Owner agrees to construct, at its expense: (i) The two (2) forebays, the pond in between the two forebays,the weir and level spreader at the outflow to the north end of the pond, all located southerly of the northeasterly corner of the Property, the bioretention area (located northeasterly of the barn), the interceptor swales located throughout the site, and all associated stormwater culverts, which shall be located substantially as shown on drawing ST-1 entitled “Erosion and Sediment Control Plan, Robert & Paula Wedemeyer, 1458 Trumansburg Road, Ithaca, New York Page 1 of 7 Wedemeyer Stormwater Maintenance Agreement – November __, 2019 14850,” dated August 25, 2016 and twice revised in August, 2019 (no specific revision day\[s\] noted), prepared by Timothy C. Buhl, P.E., and as shown in more particular detail on the accompanying drawings detailing said Erosion and Sediment Control Plan, including sheets ST-2 (“Erosion & Sediment Details”), ST-3(“Pond Plan”), and ST-4 (“Pond Crossection”) (all dated August 16, 2018), and another ST-4 (“Bioretention Details”) dated August 25, 2016 and revised August, 2019 (no specific revision day noted) (referred to in this Agreement collectively as the “Drawings”); and (ii) All other Facilities, including pipes, mains, drains, outlet and inlet structures, manholes, and all other drainage-related facilities and structures, whether above or below grade, which shall be located substantially as shown on the Drawings; and (iii) Such future Facilities as may be required to be constructed by applicable laws, rules, or regulations. (b) The Owner further agrees to implement, at its expense, all approved stormwater management practices (“Practices”), in addition to the Facilities, that are required as part of the Approval, and such future Practices as may be required by applicable laws, rules, or regulations. (c) All of the Facilities and Practices in subparagraphs (a) and (b) above shall be constructed and implemented as shown on the Drawings, in accordance with good engineering practice and applicable New York State standards and specifications, and to the reasonable satisfaction of the Town Engineer. 2. Inspection, Maintenance and Repair of Facilities and Practices. The Owner agrees for itself, its legal representatives, successors and assigns and any other persons or entities who obtain title to or an interest in any portion of the properties on which any of the Facilities or Practices are located, such agreement being expressly intended to run with the land and be binding forever, to operate, maintain and repair the Facilities and Practices to insure that they continue to function for their intended purpose and as designed. In furtherance of such obligation, and without limiting the obligations set forth in the preceding sentence, the Owner agrees to follow the maintenance plan for regular and recurring inspections and maintenance of the Facilities and Practices which is part of the Approval and is set forth in the approved SWPPP prepared by Timothy C. Buhl. In addition, the Owner shall perform such other inspections, maintenance and repair as may be reasonably required by the Town Engineer in order to assure the continued operation of the Facilities and Practices as intended and designed. The Owner, at its own expense, shall perform all of the foregoing inspections, maintenance and repair and any other inspections, maintenance and repair reasonably necessary to keep all Facilities and Practices functioning in good working condition. 3. Town Inspections, Repairand other Activities. The Owner shall grant to the Town the permanent easement and right-of-way which is attached to this Agreement as Exhibit A. The Owner agrees the Town may enter upon the property described in Exhibit A or any portion thereof for the purposes of observing and inspecting the Facilities and Practices at any time and from time to time during regular business hours on business days following reasonable advance notice to Owner (except the time, day and notice provisions shall not apply in the event of an emergency), as may be deemed appropriate, necessary or desirable by the Town, the Town Engineer, or other officers or Page 2 of 7 Wedemeyer Stormwater Maintenance Agreement – November __, 2019 employees of the Town, and to make repairs to and undertake other actions regarding the Facilities and Practices as set forth below. If maintenance deficiencies are found as a result of such inspections, the Town Engineer will notify the Owner in writing, and the Owner shall cause needed repairs to be made and/or needed maintenance performed within the number of days set forth in such notice. If the Owner fails to complete the repairs and/or maintenance to the reasonable satisfaction of the Town Engineer within the required period, the Town reserves the right (but does not have the obligation) to have the repairs made and/or maintenance performed and will charge the Owner for the cost of such repairs and maintenance. The Owner agrees to pay for such repairs and maintenance within 10 days after demand for same. Notwithstanding the foregoing, if an emergency exists requiring immediate action, the Owner hereby authorizes the Town, its officers, agents, contractors and employees, to enter upon the property described in Exhibit A or any portion thereof and effect emergency repairs to and perform emergency maintenance on, and/or to alter, remove, replace, or change the size of, any portion of the Facilities or Practices in the event of a threat to the safety of the Facilities, Practices or properties adjacent to or downstream of any portion of the Facilities or Practices, with the cost of such activities to be reimbursed by the Owner to the Town within 10 days of demand for same. When any portion of any Facility or Practice is located off-site or on the property of a third party, the Owner, at its sole cost and expense, shall obtain easements and rights- of-way thereto acceptable to the Town. 4. Contest of Bills. In the event the Town makes repairs or undertakes emergency activities as described in paragraph 3 above and issues a demand for reimbursement, and the Ownerdisputes either the need for the repairs/activitiesor the cost of the repairs/activities, the Owner, in lieu of paying the amount demanded shall, within 10 days of receipt of the demand, deliver to the Town Clerk at the Town offices a Notice of Contest stating that the need for the repairs/activities, or cost, or both, is in dispute and concisely stating the basis for the dispute. Failure to serve such a Notice of Contest shall be deemed a waiver of any claim or defense that the amount demanded is not justified. If the Notice of Contest is timely filed, the Town shall, within forty-five days of the filing, arrange for a hearing before the Town Board. The Town shall deliver to the Owner not less than 15 business days prior written notice of the date of the hearing. Based upon any relevant materials presented by the Town Engineer and the Owner, the Town Board shall issue a resolution determining the dispute within 10 days after the hearing. Such resolution shall be filed with the Town Clerk, who shall arrange for delivery of a copy of the resolution to the Owner, within five days after such filing, at the address for such Owner set forth at the outset of this Agreement or at such other address as the Owner may designate in writing to the Town Clerk and Town Engineer. If the Owner disagrees with the resolution, it may bring a proceeding pursuant to Article 78 of the Civil Practice Law and Rules of the State of New York, provided such proceeding is commenced within 30 days of Owner’s receipt of the decision of the Town Board. The Owner agrees to the shortened statute of limitations of 30 days within which it must assert its claims in any Article 78 proceeding. Failure to timely institute such a proceeding shall be deemed an agreement with the decision of the Board. 5. Addition to Taxes. In the event the Town makes repairs or undertakes emergency activities as described in paragraph 3 above and the Owner fails to reimburse the Town for the cost of said repairs/activities within 10 days after the demand for same, or, if contested by the proceedings set forth above, fails to so reimburse within 30 days of the filing of the final decision on the contest(including any Article 78 proceeding)determining the amount due to the Town, then Page 3 of 7 Wedemeyer Stormwater Maintenance Agreement – November __, 2019 such unpaid costs, expenses and interest at the per annum rate of 9% incurred from the date of repair/activity shall constitute a lien upon the land on which the Facilitiesor Practices are located. The Town may bring a legal action or proceeding to collect such costs, expenses, interest, and recoverable attorney’s fees, or to foreclose such lien. As an alternative to the maintenance of any such action, the Town may file a certificate with the Tompkins County Department of Assessment stating the costs and expenses incurred and interest accruing as aforesaid, together with a statement identifying the property and Owner so that the Tompkins County Department of Assessment shall in the preparation of the next assessment roll assess such unpaid costs, expenses and interest upon such property. Such amount shall be included as a special ad valorem levy (administered as a move tax) against such property, shall constitute a lien, and shall be collected and enforced in the same manner, by the same proceedings, at the same time, and under the same penalties as are provided by law for collection and enforcement of real property taxes in the Town of Ithaca. The Owner agrees that the assessment of such costs, expenses and interest shall be effective even if the property would otherwise be exempt from real estate taxation. In any action or proceeding brought hereunder, the prevailing party shall be entitled to recovery from the other party of its reasonable costs in prosecuting or defending any action, including reasonable attorneys’ fees. The prevailing party shall be determined by the court determining the matter. “Prevailing party”shall mean a party which is awarded all or substantially all of the relief demanded by such party. 6. Inspection Reports. The Owner shall submit an annual stormwater inspection report to the Town Engineeron or before the first day of October of each year, with the first report being submitted the first October following the issuance of the Building Permit. Notwithstanding the foregoing, Owner shall submit stormwater inspection reports on a more frequent basis or on a different timetable where required by the Approval or by law, rule or regulation. Such reports shall, at a minimum, include the location of the property, Owner’s contact information, a summary of completed inspections and results of such inspections, and a summary of any maintenance activities or corrective actions undertaken. Reports shall be signed by the Owner or other legally responsible party, and shall attest to the accuracy of the information provided in the report. Failure to submit the reports, or the submission of inaccurate reports, shall constitute a condition of non-compliance with the SWPPP Approval and be subject to enforcement as outlined below. 7. Alterations and Discontinuation of Facilitiesand Practices. The Ownershall not authorize, undertake or permit alteration, abandonment, modification or discontinuation of the Facilities or Practices except in accordance with written approval of the Town and pursuant to any applicable requirements for modification of the SWPPP. 8. Additional Requirements. The Owner shall comply with all Town of Ithaca stormwater operation, maintenance or reporting local laws, ordinances and regulations as they now exist or are hereafter added or amended. The parties agree to amend this Agreement as necessary to incorporate the requirements of any new or amended laws, ordinances or regulations. 9. Recording. This Agreement shall be recorded in the office of the Tompkins County Clerk and when recorded shall be referenced to the deed for tax parcel 24.-1-19.12. The costs of recording and referencing to affected deeds and parcels ofland shall be the responsibility of the Owner. 10. Binding Effect and Enforcement. Page 4 of 7 Wedemeyer Stormwater Maintenance Agreement – November __, 2019 (a) The Owner, its legal representatives, successors and assigns, and any other persons or entities who obtain title to or an interest in any portion of the properties on which any of the Facilities or Practices are located shall be bound by the terms of this Agreement. The Owner shall execute whatever documents are necessary to make this Agreement binding on any persons or entities who obtain title to, or an interest in, any portion of the properties on which any of the Facilities or Practices are located. (b) Failure to comply with any of the requirements of this Agreement shall, without limiting the remedies otherwise available to the Town, constitute a condition of non- compliance with the SWPPP Approval, shall be deemed a violation of the Town’s Zoning Ordinance, and shall be subject to enforcement as outlined in Section 270-239 of the Town of Ithaca Code and Section 268 of the Town Law. 11. Representation as to Authority. Each of the persons executing this Agreement on behalf of the parties represents that he or she has full authority to execute the same on behalf of his or her party, and that by his or her execution, the party for which he or she is executing this Agreement is fully bound by its terms. 12. Limitation upon Town Liability and Indemnity. The Town shall not be liable or responsible for any injury to persons or damage to property due to the Town’s actions, or failures to act, under or pursuant to this Agreement, unless it is proven to a reasonable degree of certainty that such injury or damage was caused by a reckless or intentional wrongful act of the Town or, where the Owner is not in breach of this Agreement and no emergency situation exists, by the Town’s negligence. The Owner agrees to indemnify and hold harmless the Town and its elected officials, employees, agents, subcontractors and consultants for all damages, losses and claims that arise out of the Owner’s and/or Town’s actions or failuresto act under or pursuant to this Agreement, except this indemnification shall not extend to the proportion of damages, losses and claims caused by a reckless or intentional wrongful act of the Town or, where Owner is not in breach of this Agreement and no emergency situation exists, by the Town’s negligence. Such indemnity shall include the costs of defending any action, including reasonable attorney fees, expert fees, and other litigation costs. 13. Waivers. Where the Town Board finds that, due to the special circumstances of a particular case, a waiver of certain requirements in this Agreement is justified, a waiver may be granted. In all cases, no waiver shall be granted unless the Town Board finds and records in its minutes that: (1) granting the waiver would be in keeping with the intent and spirit of this Agreement, and is in the best interests of the community; (2) there is no adverse effect upon the character, appearance, or welfare of the neighborhood and any watercourses, watersheds, or surface waters; (3) there are special circumstances involved in the particular case; (4) denying the waiver would result in undue hardship, provided that such hardship has not been self-imposed; and (5) the waiver is the minimum necessary degree of variation from the requirements of this Agreement. 14. Assignment. The Town may assign this Agreement and any of its rights, duties and obligations to any successor entity or governmental institution, or to any one or more drainage or other districts hereafter created by the Town. Severability.In the event that any portion of this Agreement is declared invalid by a court of competent jurisdiction, the validity of the remaining portions shall not be affected by such declaration of invalidity. 16. Notices. Any notices or other communications given under or in relation to this Agreement shall be deemed duly given if served personally or by commercial courier service upon the other parties at the addresses set forth above, or by certified mail to the other parties at the addresses set forth above, return receipt requested. All such notices shall be effective upon the date of receipt. Notices to the Town shall be addressed to the attention of “Town Supervisor”, and a copy of any notice to the Owner shall be sent to Randall B. Marcus, Esq., Marcus Orkin Tesi LLP, 200 East Buffalo Street, Suite 402, Ithaca, New York 14850. A party may change the address to which such notices are sent by giving notice of such change in the manner set forth above to the other parties. 17. Agricultural Use. The Town acknowledges that at the time of this Agreement’s execution, the Property is used as an equestrian center. In exercising its rights under this Agreement, the Town and its representatives shall not approach or come into contact with any horse on the Property, whether or not the horse is being ridden or otherwise is accompanied by a person. Wedemeyer, 1458 Trumansburg Road, Ithaca, NY 14850(collectively, “Grantor”), and the Town of Ithaca, a municipal corporation of the State of New York, with offices at 215 North Tioga Street, Ithaca, New York 14850 (“Grantee” or the “Town”). The Grantor is the owner of a certain parcel of land of 72.06 total acres, identified as tax parcel number24.-1-19.12, located in the Town of Ithaca, Tompkins County, New York, commonly known as 1458 Trumansburg Road (the “Premises”). This Amended and Restated Permanent Stormwater and Access Easements and Rights-of-Way amends and restates that certain Permanent Stormwater and Access Easements and Rights-of-Way from Grantor to Grantee dated as of August 8, 2018 (and filed in the Tompkins County Clerk’s Office on August 10, 2018) in order to revise the reference to the Drawing (as defined below) and to revise certain details of the easement areas as described herein. NOW WITNESSETH, that the Grantor, in consideration of One and 00/100 Dollar ($1.00) and other good and valuable consideration paid by the Town, the receipt and sufficiency of which are hereby acknowledged by the Grantor and the Town, does hereby grant, remise, relinquish and release unto the Town, its successors and assigns forever, an EASEMENTand RIGHT-OF-WAY to excavate, install, lay, construct, operate, make observations of, inspect, maintain, alter, improve, repair, remove, replace or change the size ofstormwater, drainage and/orsediment control facilities, including ditches, ponds, together with any and all necessary or desirable related appurtenances and devices, together with the rights of free ingress and egress in, over, across, upon, and under the below-described parcels of land, such parcels being the areas of the permanent easement and right-of-way herein granted, and including the right to trim and/or remove trees, shrubs and other obstructions upon said parcels of land situate in the Town of Ithaca, County of Tompkins and State of New York, all as more particularly bounded and described as follows: The portions of the Premises containing the various stormwater facilities depicted on the drawing entitled “Erosion and Sediment Control Plan, Robert & Paula Wedemeyer, 1458 Trumansburg Road, Ithaca, New York 14850,” dated August 25, 2016 and twice revised in August, 2019 (no specific revision day\[s\] noted) prepared by Timothy C. Buhl, P.E., (the 1 “Drawing”), which Drawing is incorporated herein by reference and made a part hereof, plus 10 feet around each such stormwater facility. These facilities include the two (2) forebays, the pond in between the two forebays,the weir and level spreader at the outflow to the north end of the pond(all located southerly of the northeasterly corner of the Premises), the bioretention area (located northeasterly of the barn), the interceptor swales located throughout the site, andall associated stormwater culverts. Being a portion of lands conveyed by Bruce M Babcock and Dorothy D. Babcock to Robert Wedemeyer and Paula J. Wedemeyer by Deed dated December 30, 2005 and recorded in the Tompkins County Clerk’s Office as Instrument Number 484041-004. Reserving unto the Grantor (1) the right to cross, recross, or otherwise use said easement and right of way consistent with Grantor’s covenants herein, provided that Grantor’s actions do not interfere with or otherwise affect the functioning of the stormwater, drainage, and/or sediment control facilities, and (2), the right to relocate said easement and right of way and the facilities located thereon, in whole or in part, at Grantor’s sole expense, in accordance with plans and specifications approved by the Town. FURTHER WITNESSETH: That the Grantor further hereby grants and releases unto the Town, its successors and assigns forever, an EASEMENT and RIGHT-OF- WAY for access by vehicles, persons and equipment over the following locations referenced in the Drawing, all as necessary for the purpose of accessing the aforementioned stormwater easement: (1) the portion of the driveway on the Premises from Trumansburg Road westerly to the westerly side of the stabilized construction entrance location, (2) a 20-foot wide area extending northerly from the stabilized construction entrance location to the interceptor swale located northwesterly of the barn, (3) a 20-foot wide area extending northerly from the stabilized construction entrance location to the bioretention area located northeasterly of the barn, and (4) a 20-foot wide area extending northerly from the driveway along the western edges of forebay 2, the pond between the two (2) forebays, and forebay 1. FURTHER WITNESSETH: That the Grantor covenants and agrees that no buildings or structures (except for roads, buildings and other structures to be constructed, used and maintained on or beneath the surface of the Premises in accordance with permits and approvals issued by Grantee that explicitly reference the aforesaid permanent easements) shall be constructed within the aforesaid permanent easements and rights-of-way which will in any way interfere with complete access by the Town, its successors, assigns, employees and agents to excavate, install, lay, construct, operate, make observations of, inspect, maintain, alter, improve, repair, remove, replace or change the size of any stormwater, 2 drainage and/or sediment control facilities, including ditches, ponds, and other and related appurtenancesand devices. AND, 1. Grantor, for itself and all of its successors and assigns, covenants and agrees that, except for trees or other plants to be installed and maintained on or beneath the surface of the Premises in accordance with permits and approvals issued by Granteethat explicitly reference the aforesaid permanent easements,no trees or other plants will be planted or cultivated that may interfere with the said easements and rights-of-way. 2. Grantor, for itself and all of its successors and assigns, covenants and agrees that, except to the extent necessary for the construction, use and maintenance of buildings and other improvements on the Premises in accordance with permits and approvals issued by Grantee that explicitly reference the aforesaid permanent easements, it will not permit or conduct any mining, excavation, construction or blasting within said easements and rights-of-way. 3. Grantor, for itself and all of its successors and assigns, covenants and agrees that, except during the construction or maintenance of buildings, foundations and other improvements to be constructed, used and maintained on or beneath the surface of the Premises in accordance with permits and approvals issued by the Grantee that explicitly reference the aforesaid permanent easements, it will not engage in any conduct, directly or indirectly, that blocks, obstructs, or interferes with the ingress and egress rights set forth in this instrument of the Town, its successors, assigns, employees and agents. 4. Grantor, for itself and all of its successors and assigns, covenants and agrees that it will place the following provision in all conveyances of the property or portions thereof covered by these easements, or any rights therein: “Being the purpose of the said stormwater and access easement s and right s- of way to convey rights to the Town of Ithaca for stormwater, drainage, sediment control and stormwater management purposes, including the conveyance of rights to said Town to excavate, install, lay, construct, operate, make observations of, inspect, maintain, alter, improve, repair, remove, replace or change the size of stormwater, drainage and/or sediment control facilities, including ditches, ponds, and other and related appurtenances and devices, together with the rights of free ingress and egress in, over, across, upon and under the below-described permanent easementsand rights-of-way, and including the right to trim and/or remove trees, shrubs and other obstructions, all of which rights are (1) set forth in permanent easements and right\[s\]-of-way 3 granted to the Town, the terms, obligations and conditions of which are expressly incorporated herein, and (2) assignable by the said Town to any successor or assign, or to any improvement district(s) now existing or hereafter to be formed.” AND FURTHER, Grantor and the Town acknowledge that the easementsand rights-of-way hereby granted are fully assignable by the Town to any successor or assign, or to any existing or future improvement district(s), without prejudice or recourse. TO HAVE AND TO HOLD said rights-of-way and easements unto the Town, its successors and assigns forever, it being the intent of the Grantor to have these easements and all related rights-of-way herein expressed run with the land forever, and be permanent and perpetual. AND THE TOWN DOES COVENANT that 1. Grantee will at all times, when it enters the Premises for any purpose related to the permanent easements as granted by this instrument, leave the Premises in a neat and presentable condition, returning the Premises as nearly as practicable to its condition before such entry. 2. Grantee acknowledges that at the time of execution of this instrument, the Premises are used as an equestrian center. In exercising its rights under this instrument, Grantee and its representatives shall not approach or come into contact with any horse on the Premises, whether or not the horse is being ridden or otherwise is accompanied by a person. Tioga St., Ithaca, NY 14850 (hereinafter referred to as the "Town") and John Williams Jr. whose address is 209 Vanida Drive, Camillus NY 13031 (hereinafter referred to as the "Consultant"). The Town and Consultant agree as follows: 1. Services to be Performed. Consultant agrees to perform the following services for the Town and/or to provide the following products to the Town: Provide Professional Consultant Services to review, research, and advise town staff for the revision and implementation of Town of Ithaca Water and Sewer Code(s). 2. Fees. The Consultantshall be paid $50 per hour for travel and time associated with services to the Town. All time will be billed on an hourly basis, to the nearest one-half hour. The Town has no obligation to utilize the services of or pay the Consultant for any minimum number of hours. The Consultant will not bill for any other disbursements, such as long-distance telephone charges, mileage, or meals. 3. Term of Agreement. The term of this Agreement shall be from January, 1 2019, to December 31, 2019, unless earlier terminated by either party. Notwithstanding the term set forth above, this Agreement may be terminated by either party at any time without cause upon seven (7) days prior written notice to the other party, in which case the Consultant shall be paid pro rata for the satisfactory work performed to the date of termination. This Agreement may be terminated immediately by either party upon the breach of any of its terms by the other party. Termination shall be effected by the breaching party’s receipt of a written notice of termination setting forth the manner in which the party is in default. In the event of the Town’s termination for Consultant’s default, the Consultantwill be paid only for services performed in accordance with this Agreement. If it is later determined by the Town that the Consultant had an excusable reason for not performing, such as a strike, fire, flood, or other events which are not the fault of or are beyond the control of Consultant, the Town may allow the Consultant to continue work, or treat the termination as a termination without cause. 4. Quality of Work. The work to be performed hereunder shall be of good workmanship and quality. If this Agreement is for the performance of services, the Consultantshall perform its services using that degree of skill and care ordinarily exercised under similar conditions by experienced, qualified, competent and reputable professionals practicing in the same field in the same or similar locality at the time of performance. 5. Payment for Services. Requests for payments for services shall be submitted on the standard Town voucher, which will list the activities or products, expenses, the dates on which performed, supplied or incurred, and, if applicable, the time spent on each indicated date for which the Town is being billed. Unless otherwise agreed, the vouchers shall be submitted monthly covering services for the preceding month. 6. Relationship. The Consultant is, for all purposes (including, without limitation, withholding of income tax, payment of workman's compensation, and payment of FICA taxes), an independent Consultant and no employer-employee relationship is intended, implied or created by this Agreement. Consultantshall determine the times and manner of performance of any services for the Town hereunder consistent with the overall obligations to complete the work contemplated by this Agreement. Consultant shall be free to devote such portions of its time not required for the performance of services to the Town in such manner as Consultantsees fit and for such other persons, firms, or entities as Consultant deems advisable, provided that such other services do not constitute a conflict of interest with the interests of the Town. 7. Ownership of Products of Service. All work products of any services to be performed hereunder shall be the property of the Town, and the Town is vested with all rights therein, including the right to use, duplicate, distribute, share or sell such materials, without any further compensation of any nature to Consultant. If patents or copyrights may be obtained with respect to such work, the Town shall own same and have all rights to same without further compensation to the Consultant. The Consultant retains the right to use the information also. 8. Workers Compensation. Statutory coverage complying with New York Workers’ Compensation Law Section 57 General Municipal Law Section 125, Consultant must submit one of the following: CE-200 - Certificate of Attestation of Exemption from NYS Workers’ Compensation available at www.web.state.ny.us, OR C-105.2 - Certification of NYS Workers’ Compensation Insurance, OR U-26.3 - State Insurance Fund version), OR SI-12 -Certificate of NYS Workers’ Compensation Self Insurance, OR GSI-105.2 - Certificate of NYS Workers’ Compensation Group Self-Insurance Upon execution of this Agreement, the Consultantshall present to the Town proof either that the Consultant provides the levels of workers’ compensation coverage required by the State of New York or that the Consultantis not required to provide such coverage. 9. Indemnity. The Consultant agrees to fully defend, indemnify and hold harmless the Town, its elected officials, public officers, employees, and agents from and against all claims, actions, suits, demands, damages, liabilities, obligations, losses, settlements, judgments, costs and expenses (including without limitation reasonable attorney’s fees and costs), whether or not involving a third party claim, which any or all of them may incur, resulting from bodily injuries (or death) to any person, damage (including loss of use) to any property, other damages, or contamination of or adverse effects on the environment, caused by the acts or omissions of Consultantor Consultant’s employees, agents or sub-Consultants, in connection with this Agreement. To the extent the Town is negligent; Consultant’s duty to indemnify the Town shall not extend to the proportion of loss attributable to the Town’s negligence. 10. Consultant May Not Assign. This Agreement may not be assigned by the Consultant without the previous written consent to such assignment from the Town, which consent may be withheld entirely at the discretion of the Town, it being understood that the Town is making this Agreement personally with the Consultant and is not intending that it be performed by any other person or entity. 11. Binding Nature of Agreement. This Agreement is binding upon the parties, their respective representatives and successors and, when assignment is permitted, assigns. 12. Governing Law, Jurisdiction, and Enforcement. This Agreement is made in New York, and shall be construed under the laws of the State of New York without regard to, or the application of, New York State’s choice of law provisions. Both parties consent that if any action is brought to enforce this Agreement, it shall be brought in an appropriate Court in Tompkins County, New York, and both parties consent to the jurisdiction of such court. 13. Notices. Any notices or other communications given under or in relation to this Agreement shall be deemed duly given if served personally or by commercial courier service upon the other party at the address set forth above, or, if the mails are operating, mailed by certified mail to the other party at the address set forth above, return receipt requested. All notices shall be effective upon the date of receipt. Either party may change the address to which notices are sent by giving notice of such change in the manner set forth above to the other party. 14. Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes any and all prior written or oral agreements, negotiations or understandings, existing between the parties. This Agreement may be amended only by written instrument signed by each party. 15. Survival. The rights and obligations of the respective parties under Section 9 (Indemnity), Section 11 (Binding Nature of Agreement), Section 12 (Governing Law, Jurisdiction, and Enforcement), and Section 16 (Claims and Disputes Arbitration) shall survive the expiration or termination (for any reason) of this Agreement and remain in full force and effect. 16. Claims and Disputes Arbitration. The Town may elect to subject disputes arising out of this Agreement to resolution by mediation or arbitration or litigation. This election can be made at any time up until sixty (60) days after the claim or dispute arises in writing. If the Town does not make an election, the dispute shall be subject only to litigation. Unless otherwise agreed by the parties at the time of such election, the rules governing mediation or arbitration invoked by the Town shall be the Commercial Arbitration Rules and Mediation Procedures of the American Arbitration Association. Consultant hereby waives the right to elect the method of dispute resolution and agrees that this waiver is supported by sufficient and appropriate consideration. 17. Severability. If any provision of this Agreement is deemed to be invalid or inoperative for any reason, that part may be modified by the parties to the extent necessary to make it valid and operative, or if it cannot be so modified, then it shall be deemed severed, and the remainder of this Agreement shall continue in full force and effect as if this Agreement had been signed with the invalid portion so modified or eliminated.
