Attached hereto is a Notice of Adoption of Resolution Authorizing the Execution of an Option Extension Agreement with Ithaca Towers, LLC Extending the Option Expiration Date for the Option for the Sale of the Former Town Hall at 126 East Seneca Street and an abstract of the resolution concisely stating the purpose and effect thereof and that said resolution was adopted subject to a petition for a permissive referendum. 3. Said resolution is subject to permissive referendum. 5. On October 5 , 2003, and within ten days after the adoption of the resolution aforesaid, I posted a copy of said notice on the billboard maintained in the office of the Town of Ithaca at 215 North Tioga Street, Ithaca, New York 14850, for the purposes of posting official notices in a public space in said offices, and said notice and proposition remained on said posting board up to and through November 3, 2003. 6. On October , 2003, and within ten days after the adoption of the resolution aforesaid, I caused a copy of said notice and abstract to be published in the Ithaca Journal, the newspaper designated for such purpose for notices of the Town of Ithaca. A copy of the notice as so published in the Ithaca Journal is attached to this affidavit. 7. That more than thirty days have elapsed since the adoption of said resolution and no petition protesting against such resolution and requesting that it be submitted to the electors of the Town of Ithaca for their approval or disapproval has been filed with your deponent as Town Clerk. State of New York No. 01 WH6052877 Tioga County Commission Expires December 26, 6 1 4 TOWN OF ITHACA NOTICE OF ADOPTION OF RESOLUTION AUTHORIZING THE EXECUTION OF AN OPTION EXTENSION AGREEMENT WITH ITHACA TOWERS, LLC EXTENDING THE OPTION EXPIRATION DATE FOR THE OPTION FOR THE SALE OF THE FORMER TOWN HALL AT 126 EAST SENECA STREET NOTICE IS HEREBY GIVEN, that at a regular meeting held on the 2nd day of October, 2003, the Town Board of the Town of Ithaca duly adopted a resolution, an abstract of which follows, which resolution is subject to a permissive referendum pursuant to Article Seven of the Town Law of the State of New York: ABSTRACT OF RESOLUTION Said resolution: (a) Approved the execution of an option extension agreement with Ithaca Towers, LLC pursuant to which the Town of Ithaca extended the date for exercise of the option previously granted Ithaca Towers, LLC from September 30, 2003, to October 31, 2003 which option granted Ithaca Towers, LLC an option to purchase the former Town Hall at 126 East Seneca Street, Ithaca, New York, for a purchase price of $315,000; (b) Again authorized the sale of such premises to Ithaca Towers, LLC should Ithaca Towers, LLC exercise its option to purchase; (c) Authorized officers of the Town to fulfil the Town's obligations under the option agreement and option extension agreement including obtaining various closing papers and related activities; (d) Authorized the crediting against the purchase price of $315,000 the sums of $20,000 previously paid by Cornell University for an option on the premises, $6,250 previously paid by Ithaca Towers, LLC for its options, and $384.60 out of the total of $1,884.60 being paid for the option extension agreement, if Ithaca Towers, LLC exercises its option; (e) Directed the Town Clerk to take certain actions to publicize the adoption of the resolution; and (f) Determined that the resolution was adopted subject to a permissive referendum pursuant to Town Law Sections 64 and 220. A copy of the full resolution is available for inspection and copying at the Town of Ithaca Office at 215 N.
