The undersigned does certify, that he is the duly appointed
and acting secretary of Eastwood Commons Building Corp., a New
York corporation (the "Corporation") and that as such he is
..authorized to execute this certificate and does further certify
as follows:
1. Annexed hereto as Exhibit A is a true and correct copy
of the statement of sole director and shareholder of the
corporation duly adopted effective May 14, 1986 and that the
resolutions set forth in the annexed statement have not been
amended, rescinded or repealed since their adoption and are on
the date hereof in full force and effect.

UNANIMOUS WRITTEN -CONSENT OF ALL OF THE
DIRECTORS AND`SHAREHOLDERS OF
EASTWOOD COMMONS BUILDING CORP.
The undersigned, being the sole shareholder and sole
• director of Eastwood Commons Building Corp. does hereby execute
this unanimous consent pursuant to Sections 615 and 708 of the
New York Business Corporation Law and Article II,. Section 58 and
Article IV, Section 6 of the By-laws of the corporation, and
does hereby certify that the following actions and resolutions
were adopted unanimously effective May 14, 1986=
RESOLVED, that this corporation borrow the sum of $300,000.
from Binghamton Savings Bank for the purposes, of
constructing.a building on premises known generally as Lot
21 in the Eastwood Commons Subdivision in the Town of
Ithaca, Tompkins County, New York, on Strawberry Hill Road,
said loan to be evidenced by a mortgage note, a construction
mortgage, building loan agreement, and such other documents
as may be required ,by the lender and approved by the
officers of this corporation, their execution of any of such
documents to evidence due approval on behalf of this
corporation, said loan to be at a floating interest rate
calculated in accordance with the stated rate of Binghamton
Savings Bank and to contain such other and additional terms
as the officers of this corporation may approve, such
execution to evidence such approvalf and it is further
RESOLVED, that this corporation convey to the Town of Ithaca
the remaining. link of Strawberry Hill Road lying between ,the
westerly line of Wildflower Drive extended to the north and
the westerly line of the portions of Strawberry Hill Road
heretofore conveyed to the Town of Ithaca by Eastwood
• Commons Development Company, said road being approximately
243 feet by 50 feetf and it is further
RESOLVED, that this., -corporation enter into an agreement with.'
the Town of Ithaca to complete the construction of the road
by installing monuments and doing such other items as may be
required by the Town of Ithaca to induce the Town of Ithaca
to accept said roady and it is further
RESOLVED, that the officers of this corporation be and each
hereby is authorized to execute any and all certificates,
notes, deeds, mortgages, documents and other, instruments as
any of the officers.may deem necessary or advisable in -order
to effectuate the intention of the foregoing resolutions.
