NOW, THEREFORE, the GRANTOR, pursuant to Section 13.06 c;' Parks, Recreation and Historic Preservation Law in consideration of the ionetary payment hereinafter set forth and the mutual covenants, terms and conditions hereimkafter set forth hereby grants and conveys to the GRANTEE an easement for the construction, reconstruction, replacement, maintenance repair, alteration and operation of sewer and water lines on a certain 1 ircel of land located in Robert H. Treman State Park and Buttermilk Falls 5 ate Park in the Town of Ithaca, County of Tompkins, State of New York, show , on the attached map designated as Attachment 1, A through F, hereinafter attached and hereby made a part of this easement. GRANTOR hereby grants to Town of Ithaca and Town of Ithaca hereby accepts from GRANTOR the easement for the period and consideratic i herein stated and subject to all the terms and conditions herein contained, 1. PRE24ISES The premises over which an easement as set forth herein i!z granted the right to install one (1) water and one (1) sewer line. Said water and sewer lines shall be placed within the premises as shown on maps pr,laared by John S. T4ac11eil, Jr., PC, job 9202-063 dated August 17, 1992. The water and sewer lines shall be placed within the premises as described on A'tachment 1, A through F. Tbwn of Ithaca shall provide GRANTOR with a copy o' the as built construction map signed by a land surveyor licensed to practi,e in the State of New York. The easement area granted hereby shall be 20 feet ,ide, as described on Attachment 1, A through F. 2. ' NSFER TAX n.envu e 0 APPENDIX A l lw 780 Pli;f 232 Standard Clauses For All New Vork State Contracts The ponies to the attached contract, license, lease, amendment or other agreement of any kind (hereinafter, "the contract" or "this contract") agree to be bound by the following clauses which are hereby made a part of the contract (the word "Contractor" herein refers to any party other than the State, whether a contractor, licensor, licensee, lessor, lessee or any other pony): I. EXECUTORY CLAUSE. In accordance with Section 41 of the State Finance Law, the State shall have no liability ' under this rontract to the Contractor or to anyone else beyond hinds annropriated and available for this contract. 2. NON -ASSIGNMENT CLAUSE. In accordance with Section 138 of the State Finance Law, th^s contract may not be assigned by the Contractor or its right. title or interest therein assigned, transferred, conveyed, sublet or oiherw,ve disposed of without the previous consent, in writing, of the State and any attempts to assign the contract without the State's writrrt consent are null and void. The Contractor may, however. assign its right to receive payment without the State's prior written consnit unless this contract concerns Certificates of Pantcipation pursuant to Article 5-A of the State Finance Law. 3. COMPTROLLER'S APPROVAL. In accordance with Section 112 of the State Finance Law (or, if this contract is with the State University or City University of New York, Section 355 or Section 6218 of the Education Law), if this contract exceeds S50)0ISM(Nx) for certain S U N Y and CU.N Y. contracts), or if this is an amendment for any amount ,, a contract which, as so amended. exceeds said siaiutot% amount. or if, by this contract, the State agrees to give something other tl to mnnev, it shall not be valid, effective or binding upon the State unlit it has been approved by the State Comptroller and filed in his office. 4. WORKERS' COMPENSATION BENEFITS In accordance with Section 142 of the State Finn.,ce Law, this contract 1 t shall be void and of no force and effect unless the Contractor shall provide and maintain coverage during the hfe of this contract for the benefit of such employees as are required to be covered by the provisions of the Workers' Compcnsatio- Law, 5. NON- DISCRISH NATION REQUIREMENTS. WAGE AND HOURS PROVISIONS. If this is a public work contract covered by Article 8 „f the Labor Law or a building service contract covered by Anicle 9 thereof, neither Contractor's employees nor the employees of is subcontractors may r be required or permitted to work more than the number of hours or days stated in said statutes, except as off rwise provided in the Labor Law and as set forth in prevailing wage and supplement schedules issued by the State Labor Del nment. Furthermore, Contractor and its subcontractors must pay at least the prevailing wage rate and pay or provide the prevailing upplements, including the premiugt rates for overtime pay, as determined by the State Labor Department in accordance with the I bar Jaw. 7. NON -COLLUSIVE BIDDING REQUIREMENT. RECORDS. The Contractor shall establish and maintain complete and accurate books, records, do :uments, accounts and other evidence directly pertinent to performance under this contract (hereinafter, collectively, "the Records") The Records must be kept for the balance of the calendar year in which they were made and for six (6) additional years thereafter. The State shall take reasonable steps to protect from publi disclosure any of the Records which are exempt from disclosure under Section 87 of the Public Officers Law (the "Statute") pr•rvided that: (i) the Contractor shall timely inform an appropriate State official, in writing, that said records should not be disclosed; and (ii) said records shall be sufficiently identified; and (60 designation of said records as exempt under the Statute is reasonable. Nothi ,g contained herein shall diminish, or in any way adversely affect, the State's right to discovery in any pending or future litigation. 11. IDENTIFYING INFORMATION AND PRIVACY NOTIFICATION: (a) FEDERAL EMPLOYER IDENTIFICATION NUMBER AND -OR FEDERAL SOCIAL SECURITY NUMBER. All invoices or New York State standard vouchers submitted for payment for the sale of goods or serx,ces or the lease of real or personal property to a New York State agency must include the payee's identification number, i.e., the seller's or lessor's identification number. The number is either the payee's Federal employer identification number or Federal soci I security number, or both such numbers when the payee has both such numbers. Failure to include this number or numbers may del y payment. Where the payee does not have such number or numbers, the payee, on his invoice or New York State standard voucher, , ust give the reason or reasons why the payee does not have such number or numbers. (b) PRIVACY NOTIFICATION. In the event of a conflict between the terms of the contract (including .,ny and all attachments thereto and amendments thereof) and the terms of this Appendix A. the terms of this Appendix A shall control. 14, GOVERNING LAW. This contract shall be governed by the laws of the State of New York ex ept where the Federal supremacy clause requires otherwise. 15. LATE PAY ENT. Timeliness of payment and any interest to be paid to Contractor for late pay 1 rent shall be governed by Article XI -A of the State Finance Law to the extent required by law. 16. NO ARBITRATION. Disputes involving this contract, including the breach or alleged brea, h thereof, may not be submitted to binding arbitration (except where statutorily authorized) but must, instead, be heard in a court of competent jurisdiction of the State of New York. 17. SERVICE OF PROCESS. In addition to the methods of service allowed by the State Civil Oractice Law & Rules (" CPLR" )• Contractor hereby consents to service of process upon it by registered or certified mail, return re, !ipt requested. Service hereunder shall be complete upon Contractor's actual receipt of process or upon the State's receipt of the reta t thereof by the United States POual Ser%ice as refused or undeliverable. Contractor must promptly notify the State, in writing, of e-1 It and even change of address to which service of process can be made. Service by the State to the last known address shall be sul icient. CONSIDERATION The total fee to be paid by the GRANTEE to GR/NTOR in consideration for the cNiscrent shall be the sum of one dollar payme.it waived ($1.00). 4. PERMITTED FACILITIES a. The GRANTEE is hereby granted the right to cons �ruct and maintain or cause to be constructed and maintained within the lines of easement pnrce,l described above, one (1) water and one (1) sewer line, as shown on the plans, herewith attached as Attachment 1, A through F. The construction of said improvement shall conform to said plans and hall not encroach beyond the lines of the above-describod easement parcel. b. No additional cables or lines may be installed in the easement area. No excavations shall be undertaken by the GRANTEE w thin the easement area without prior notification to and approval by GRAMM GRANTEE shall notify the Finger Lakes Region, Taughannock Park Road, cox 1055, Trunansburg, New York 14686-0721 in writing 48 hours prior to comme,cing any action which may require excavation within the easement area. GRAN,EE shall obtain written approval from the Senior Park Engineer prior to co Lmencing any excavations. \ 6. This instrument is granted on the express condition that if the above described easement parcel is used by the GRANTEE for other than the purpose hereinbefore set forth, or in the event the said improvement located in the above -described easement parcel is discontinued, then in either event, this easement shall terminate and all rights herein granted shall cease. In the event of discontinuance, all improvements instilled for such purposes shall be removed by and at the sole cost of the GRAM E. b. Care shall be taken to protect all existing utilities and structures and if disturbed they are to be replaced or repaired immediately in a rianwr approved by the GRArTMR or its representative. e. All backfill shall be adequately compacted. All areas of settling caused by the installation, repair and maintenance of the :rater and sewer lines shall be repaired by GRANTEE, even if it occurs a i iriod of years after completion of the initial inot-illation. All areas, ;ncluding grass and larvIscaping damaged by reason of use of equipment or e>-avation shall be restored to original condition by proper grading, tc soiling, seeding and landscaping. All repairs of damaged areas shall be i r Senior Park Engineer specifications and approval. f. The Senior Park Engineer may direct GRANTEE to e':op work immediately if he/she determines that the work is being perfc mad in a manner inconsistent with this agreement. 14.
