This AMENDMENT OF DEED OF AGRICULTURAL CONSERVATION
EASEMENT is rnade this _ day of Decernber, 2019, by GARY FERf.rUSON and LISA
FERGUSON ("Grantors"), residing at 1485 Mecklenburg Road, Ithaca, New York 14850 and the
TOWN OF ITHACA ("Grantee"), a New York municipal corporation having an office at 215
North Tioga Street, Ithaca, New York 14850.

WHEREAS, Grantors and Grantee entered into a Deed of Agricultural Conservation
Easement {"Deed") dated January 31, 2003, and filed in the Tompkins County Clerk's Office on
January 31, 2003, as Instrument Number 42b247-OU1, and
WHEREAS, Grantors and Grantee wish to amend the Deed to permit renewabie energy
systems (which are allowed with conditians in the current agricultural conservation easement
model from the New York State Department of Agriculture and Markets but not in the madel
easernent in effect when the Grantors and Grantee signed the Deed in January of 2Q03}, and
WHEREAS, Grantors and Grantee further wish to amend the Deed to delete the
requirement for annual rnaintenance mowing because af (1) the presence of certain inactive
farmland wet areas that are difficult to mow; {2) the benefit of sequestering carbon in vegetatian,
and (3) the fact that the current agricultural conservatian easement model from the New York
State Department af Agriculture and Markets does not cantain a maintenance mowing
requirement, and
WHEREAS, Sections 8.6 and 8.'7 of the Deed pravide the follawing regarding Deed
amendments and Grantee consents to and approvals of Deed amendments:
"8.6 Amendment.
8.6 A. General, This Conservation Easement may be arnended anly upon the written
consent of Grantee and Grantor. Any such amendment shall be consistent with the
purposes of this Conservation Easement as established in Section 2 herein, and shall
comply with Article 49, Title 3, of the Conservation Law, and Section 170(h} of the
Intemal Revenue Code. if the amendment is requested by Grantor, Grantor shall
reirnburse Grantee for ail expenses, including staff time and reasonable attorneys
fees, incurred in preparing and filing the amendment. Any such amendrnent that daes
not comply with Article 49 or Sectian 110(h) shall be vaid and af no force or effect.
8. b B. Amendment Actions bv Grantee. No such amendment shall occur unless and
until a public hearing on same has been held by the Tawn Board of the Grantee upon
at least ten days prior public published notice and rnailing of notice af such hearing to
the then awners of the fee title to the Property and all owners of land adjacent to the
Praperty. Any decisian af the Grantee to madify this easement shall require the
affirmative vote of a majority plus one of the entire membership of the Town Board
of Grantee or any successor goveming body which governs the area in which this
easement is lacated.
8,� Appravals and Consents.
8.7.A. Consent in WritinF Any approval, waiver, or other forrn of consent ar
permission required or permitted to be driven by Grantee under this Canservatian
Easement shail only be effective if in writing and duty executed on behalf of Grantee,
except in such cases where permissian is, pursuant to this Conservation Easement,
expressly deerned granted if no response is given by Grantee within a specific time
period.
8.7.B. Consent of Grantee. So long as the Town of Ithaca is the holder of the
easement granted by this instrument, the cansent ar permissian of the Grantee
required by any provisian herein shall mean the consent of the Tawn of Ithaca Town
Board unless the Town Board has, by resolution duly adopted, delegated authority to
one ar more Tawn Officers to execute consents or grant permission on its behalf. If
this easement is transferred to any other party, consent or perrnission shali be by such
other party, or by the duly authorized representative of such party: ', and
WHEREAS, by Resolution 2019- dated December 9, 2019, and attached hereto, the
Town of Ithaca Town Baard (1) held a public hearing on the proposed amendments after
compiying with the public notice publication and mailing requirements of Deed Section 8.6.B;
(2) found that the proposed amendments are (a) consistent with the purposes of the Conservation
Easement as established in Section 2 of the Deed, and (b} comply with Article 49, Title 3, of the
Environmental Conservation Law, and Sectian 170{h) af the Internal Revenue Code; (3} adopted
Resolution �Q 19-_ by the affirmative vote of at least a majority plus one af the entire
membership af the Town Board; and (4) authorized the Town Supervisor to execute the
Amendment of Deed af Agriculturat Conservation Easernent,
NOW, THEREFORE, in consideration of the foregoing, the mutual covenants contained
herein and other good and valuable consideration, the receipt and sufficiency of which are
hereby acknowledged, the parkies agree as fallows:
1. The Deed is amended by adding Section 6.2.J reading as follows:
"6.2.J. Renewable EnerQv Structures and Impravements. Structures and improvements
necessary to undertake renewable energy activities such as wind, solar, geothermal and
ather similar energy generation activities are permitted as further described below,
provided they are carnpatible with the purposes of this Easement, subordinate to the
a�ricultural use af the Properry, located in a manner that minimizes the impact to prirne
or statewide important soils, and are subject to the Town's Zoning requirements.
Such structures and improvements, including assaciated roads and drainage ditches, may
be built in the Farm Area only with the permissian of Grantee, which may be conditioned
upon the posting of a bond. These structures and improvements are permitted only if the
activity is limited and localized in impact affecting no more than two percent (2%) of the
Farm Area at one time.
Prior ta determining the location of a site for these structures and irnprovements in the
Farm Area, the Grantor shall notify the Grantee and the lacal Sail and Water
Conservation District to give them an opgortunity to participate in an onsite meeting to
review proposed locatians. Grantor shall agree to comply with the New York State
Department of Agriculture and Markets guidelines for agricultural mitigation for
canstructian of such structures.
Notwithstanding the foregoing, the 68 solar panels, in two rows, located in the field off
Sheffield Road on Town af Ithaca Ta�c Parcel No. 28.-1-1.3, approxirnately 189' south of
the properly line of 1485 Mecklenburg Road, are permitted to rernain in this location.
Any changes to the number of solar panels, or to their dimensions ar location, are subject
to all of the requirements and provisions in the preceding paragraphs in this Section
6.2.J."
2. The Deed is further amended by deleting Section 8.2 ("Maintenance Mowing") in its
entirety.
3. All other provisians af the Deed remain unchanged.

A LOCAL LAW ADDING RESIDENTIAL RENTAL REGISTRY EXEMPTIONS
IN CHAPTER 207, RENTAL PROPERTY, OF THE TOWN OF ITHACA CODE
Be it enacted by the Town Board of the Town of Ithaca as fal�ows:
Section 1. Chapter 207 (Rental Property}, Article I{�perating Permits for Certain
Residential Rental Units) of the Tawn of Ithaca Code, Section 207-1, titled "Applicability," is
amended by adding by new subsections D and E reading as follows:
"D. Residential dwelling units that are owned by coaperative corporations and subject to
proprietary leases under the Cooperative Carporations Law.
E. For the purpases of this article, a dwelling unit shall not be considered a residential rental
dwelling unit when a house sitter occupies an owner's principal residence while the
owner is away, the house sitter pravides security, maintenance and/or pet care, and the
house sitter pays no money or other financiai consideration to the owner in exchange for
the occupancy. For the purposes of this subsection, for a dwelling unit to qualify as an
owner's principal residence, at least one of the praperty owners must reside in the
dwelling unit for a minimum af 1$5 days per year. No other owner(s) shall own a larger
percentage, coliectively or individually, than the awner-occupant(s}."
Sectian 2. In the event that any portion of this law is declared invalid by a court af
competent jurisdiction, the validity af the remaining portions shall not be affected by such
declaration of invalidity.
Section 3. This local law shall take effect immediately upon its filing with the New York
Secretary of 5tate.

The proposed law would add two new exemptions to ihe Town's rental registry law. The exemptions would be
added as subsections D and E, to Section 207-1 of the Town Code. The exemptions appiy to:
1j residential dwelling units that are owned by cooperative carporations and subject ta proprietary leases under
the Cooperative Corporations Law.
2) house sitting af an awner's principal residence while the owner is away, with the house sitter providing
security, maintenance andlor pet care, and for which the house sitter pays no money or other financial
cansideration to the owner in exchange for the occupartcy. For a dwelling unit to qualify as an owner's
principal residence, at least ane of the property awners rnust reside in the dwelling unit for a minimum of 185 days
per year.
iVo environmental impacts are anticipated from aclding these exemptions to the rental registry law. The residential
renial operating permit program is intended to heip improve and maintain the heaith and safety aspects of rental
hausing in the town. Neither of these exemptions wiil affect the pragram's efficacy. The exemption for residentiai
cooperative corparations arises fram recognition of the fact that all cooperative corporation dweliing units have
proprieta�y leases with tenants who are owners-shareholders of the landlord-cooperative corporation. The Town
Board does not intend for proprietary leases where ihe tenant is an owner-shareholder of the landlord to be
considered a rental under this law. In addition, the caoperative corporation's bylaws commonly contain rules for a
subiei arrangement, including approvai from the board af directors.
The exemption praposed for house sitting situations is necessary for clarification purpases. The Town Board does
nat intend for house sitting, where the owner lives in the unit as their principal residence and the house sitter lives in
the unit white the owner is away and does noi pay rent, to be considered a rental under this law. The exemption
makes this elear.

Whereas, Bruce Bates started his career at the town on September 2, 2008 as the Director of
Code Enforcement bringing over nine {9) yeazs af knowledge and experience as a code
enforcement off'icial in Chenango Caunty; and
Whereas, under Bruce's leadership, the Codes Department implemented and embraced a
computerized database program {Municity) giving staff more access to property information hoth
in the field and at their desks for research and began the movement to a pagerless filing system
using Laserfische; and
i�hereas, Bruce instituted many changes in the department to improve customer relations and
outreach as well as creating efficiencies throughout the permitting process; and
Whereas, due to Bruce's leadership and dedication the Rental Registry program adopted by the
Town was implemented timely and efficient manner; and
Whereas, Bruce has worked tirelessly on the 911 re-addressing of Town properties to assist the
Tompkins County emergency services response system in delivering aid prornptly and efiiciently
when needed; and
Whereas, the Town of Ithaca has greatly benefited from Bruce's devotion, determination, and his
desire to serve aur community in order to rnake it a better place to live;
Whereas, after eleven (11) years of dedicated service, Bruce has chosen to retire from the Town

WHEREAS, the Town Board of the Town of Ithaca, Tompkins County, New York, on
March 11, 2019, duly adopted a bond resolution authorizing the issuance of $800,000 serial
bonds of said Town to pay the cost of construction of the Public Works Facility Office
Expansion, located at 114 Seven Mile Drive, Ithaca, New York, inciuding furnishings,
equipment, machinery, apparatus, appurtenances, incidental improvements and expenses
in connection therewith, and
WHEREAS, it has now been determined that the maximum estimated cost of such
specific object or purpose is $1,400,000, an increase of $600,000 over that previously
authorized, and
WHEREAS, it is now desired to authorize the issuance of an additional $600,000
bonds of said Town for such specific object or purpose to pay a portian of the cast thereof;
NOW, THEREFORE, BE IT RESULVED, by the affirmative vote of not less than two-
thirds of the tatal voting strength of the Town Board of the Town of Ithaca, Tompkins
County, New York, as follows:
5ection 1. For the specific object or purpose of paying additional costs for
canstruction of the Public Warks Facility Office Expansion, located at 114 Seven Mile Drive,
Ithaca, New York, including furnishings, equipment, machinery, apparatus,
appurtenances, incidental improvements and expenses in connection therewith, there are
hereby authorized to be issued an additional $600,Q00 bonds of the Town af Ithaca,
Tompkins County, New York, pursuant to the provisions of the Local Finance Law.
Sectian 2. It is hereby determined that the maximum estimated cost of such
specific object or purpose is now determined to be $1,400,000, which specific object or
purpose is hereby authorized at said maximum estimated cost, and that the plan for the
financing thereof is as follows:
a} by the issuance of the $800,000 bonds af said Town authorized ta be issued
pursuant to bond resolution dated and duly adopted March 11, 2019; and
b) by the issuance of the additional $60Q,OQ0 bonds of said Town authorized to be
issued pursuant to the provisions of this bond resolution and the Local Finance
Law.
Section 3. It is hereby determined that the period of probable usefulness of the
aforesaid specific object or purpose is fifteen years, pursuant to subdivision 12{a){2) of
paragraph a of Section 11.OQ of the Local Finance Law. It is hereby further determined that
the maximum maturity of the serial bonds herein authorized will exceed five years.
Section 4. The faith and credit of said Town of Ithaca, Tompkins County,
New York, are hereby irrevocably pledged for the payment of the principal of and interest

on such bonds as the same respectively become due and payable. An annual appropriation
shall be made in each year sufficient to pay the principal af and interest on such bands
becoming due and payable in such year. There shail annually be levied on all the taxable
real property in said Town, a tax sufficient to pay the principal of and interest on such
bonds as the same become due and payable.
Section 5. Subject to the provisions of the Local Finance Law, the power ta
authorize the issuance of and to sell bond anticipation notes in anticipation of the issuance
and sale of the bonds herein authorized, including renewais of such nates, is hereby
delegated to the Supervisor of said Town, the chief fiscal officer. Such notes shall be of
such terms, form and contents, and shall be sold in such manner, as may be prescribed by
said Supervisor, consistent with the provisions of the Local Finanee Law.
Section 6. A11 other matters except as provided herein relating to the bonds
herein authorized including the date, denominations, maturities and interest payment
dates, within the limitations prescribed herein and the manner of execution of the same,
including the consolidation with other issues, and alsa the ability to issue bonds with
substantially level or declining annual debt service, shall be determined by the Supervisor,
the chief fiscal officer of such Town. Such bonds shall contain substantially the recital of
validity clause provided for in Section 52.00 of the Locai Finance Law, and shall otherwise
be in such form and contain such recitals, in addition to those required by Section 51.00 of
the Local Finance Law, as the Supervisor shall determine consistent with the pravisions of
the Lacal Finance Law.
Section 7. The validity of such bonds and bond anticipatian notes may be
contested only if:
1) Such obligations are authorized far an object or purpose far which said Town
is not authorized to expend money, or
2) The provisions of law which should be complied with at the date af
publication of this resolution are not substantially complied with, and an
action, suit or proceeding contesting such validity is commenced within
twenty days after the date of such publication, or
3) Such obligatians are authorized in violation of the provisians of the
Constitution.
Section 8. This resolution shall constitute a statement of official intent for
purposes of Treasury Regulations Section 1.150-2. Other than as specified in this
resolution, no monies are, or are reasonably expected to be, reserved, allacated on a long-
term basis, or otherwise set aside with respect to the permanent funding of the object or
purpose described herein. ,

Section 9. Upon this resolution taking effect, the same shall be published in full
or summary form in the official newspaper of said Town for such purpose, together with a
notice of the Town Clerk in substantially the form provided in Section 81.00 of the Local
Finance Law.

GRANT OF EASEMENTS
This grant of easements is made this day af December 2019,
:
ITHACA COLLEGE, an educatian corporation chartered by the Regents of the
University of New York, with offices at 953 Danby Road, Ithaca, I�iew York 14850,
Grantor, and
TOWN OF ITHACA, a municipal corporation created and existing under the laws
af the State of New Yark, with offices at 215 North Tioga Street, Ithaca, New Yorl� 14850,
Grantee,
WHEREAS, Grantar is the owner in fee simple of a certain tract of real property
designated as Map No. l, Parcel No. 1, under PIN 3750.62, NYS Route 96B (Danby
Road), situated in the Tawn of Ithaca, Tompkins County, and State of New York, and
being further described in Exhibit "A", attached hereto and made a part hereof
(hereinafter the "Easement Premises"}; and
WHEREAS, Grantee is a municipal corporation engaged in providing
governmental services to residents af the Town of Ithaca; and
WHEREAS, Grantor has agreed, subject to the provisions af this Grant af
Easements ("Agreement"), to convey easements and rights-of-way ta Grantee for its use,
occupancy, and enjoyment in connection with the constructian and maintenance, use, and
repair of a public sidewalk (the "Sidewalk" or the "Permitted Use"), ail in accordance
with and for the purposes set forth in this Grant af Easements, for the mutual benefit of
both Grantar and Grantee {Grantor and Grantee referred to as "Party" or, together, as
"Parties");
NOW THEREFQRE, WITNESSETH: In cansideration of the foregoing and the
sum of Ten ($10.00) DOLLARS, and other good and valuable consideration paid to
Grantor by Grantee, the receipt and adequacy af which being hereby acknowledged by
both Parties, and in further consideration of the mutual conditions, cavenants, promises
and terms hereinafter cantained, it is agreed that:
Grant of Easements. Grantor does hereby grant and convey to Grantee, its
successors and assigns the following easements and rights-of-way:
A. Temporary Constructian Easement: A nfln-exclusive, easement in, on, under
and over the Easement Premises, plus fifteen (15) feet to the northeast, east,
and southeast of the Easement Premises, for 94 days once the construction
begins {which date Grantee shall provide in writing to Grantor priar ta
beginning construction), for the purpose of the installation of the Sidewalk,
together with such drainage structures and facilities in connection therewith as
may reasonably be deemed necessary by the Grantee. At the termination time
of the Temporary Construction Easement, Grantee shali return the Temporary
Construction Easement area to its original condition prior to Grantee's use,
subject to Grantor's reasonable approval; and
B. Perpetual Easement: A non-exclusive, perpetual easement and right-of-way in,
on, under and over the Easement Premises for the purpases of keeping,
maintaining, using, repairing, and replacing the Sidewaik and a11 municipal
purposes related thereto.
2. Conditions. The grant of the easements is subject ta the following conditions and
restrictions:
A. Grantor shall have the right to relocate the Temporary Construction
Easement and the Petpetual Easement, at Grantor's expense, to permit
normal use or development of the servient estate or to make improvements
on or to the servient estate, so long as the relacatian does not frustrate the
purpose for which the easements and rights-of-way were created.
B. Grantor, and Grantar's tenants, subtenants, successor or assigns, shall
have the right af access and the right to use the Easement Premises, and
such use shall not be further limited or restricted under these easements
beyond that which is necessary to effectuate the constructian or
reconstructian of the herein identified project, or the maintenance thereof.
C. Grantor shali have the right, but not the abligation, to maintain, aperate,
remove, repair, replace, relocate, or expand existing improvements and to
construct, maintain, operate, remove, repair, replace, relocate, or expand
new underground improvements within the Easement Premises, so long as
such work ar improvements do not interfere with uses of the Easement
Premises identified above ar otherwise cause an unsafe condition, but in
so doing Grantor shall have the right to temporarily restrict Grantee's use
of the Easement Premises. Grantor shall also have the right to construct,
maintain, remove, repair, replace, or relocate signage within the Easement
Premises so long as such signage does not interfere with uses af the
Easement Premises identiiied above or otherwise cause an unsafe
condition.
D. Grantor shall have the right to temporarily restrict Grantee's use of the
Easernent Premises for emergencies and certa'rn Coilege events.
E. As used in this subdivisian and elsewhere in this Grant of Easements,
"temporary" sha11 mean a restriction ar limitation that lasts for hours or up
ta two days, ar for so long as any emergency exists, or for so long as any
repairs are being undertaken. In each such case the rights of the dominant
estate shall be restricted or interrupted oniy to the minimum extent
necessary and all worl� ar remedies shali be undertaken with express
diligence to minimize any interference with the purpases of these grants
and easements. The express recitation of certain obligations and
limitations of primary and secondary rights in these easement and rights-
of-way (whether set farth in this sectian ar elsewhere in this Agreement)
shall not imply that any secondary rights or obiigatians of the dominant
and servient estate holders are waived, surrendered, or restricted, unless
such waiver, surrender, or restriction is herein expressly stated.
3. Nature of Sidewalk as Public Wav. The Parties agree that the Sidewaik is
intended to be a public sidewalk, with Grantee assuming ail obligations and
responsibilities of such public space.
4. Placement, Maintenance and Repairs.
a. Except as provided in subparagraph (d} hereof, Grantee shall be obligated
to appropriately repair andlor replace the Sidewalk such that it continues
to be accessible in a safe and proper manner. Grantor shall have no
obligations with respect to the installation, repair, or replacement of the
Sidewalk.
b. Grantor further grants to Grantee the limited right to access those partions
of Grantor's property directly adjacent to the Sidewalk as specifically
agreed upon by the parties, as necessary to repair, maintain, or improve
the Sidewalk or such drainage structures and facilities in connectian
therewith as may reasonably be deemed necessary by Grantee.
c. Except as provided in subparagraph (d) hereof, Grantor shall have no
responsibility or abligation to maintain or repair the Sidewaik. However,
subject to the reasanable advance approvai of Grantee, Grantor may
maintain, repair or improve the Sidewalk as it may deem necessary at
Grantor's sole cast and expense. Such advance appraval shall nat be
required in the event an emergency situation arises, in which case notice
shall be given as saon as reasonably possible.
d. If the Sidewalk is damaged by the negligence or intentianal act of ane of
the Parties hereto (or their respective employees, agents, invitees ar
guests}, that Party shall promptiy repair the Sidewalk at its sole cast or
expense.
Entrance onto Grantor's Property: Grantee shall provide 3 business days' notice
ta Grantor priar to accessing Grantor's property identified in Section 4(b) for
thase or any other reasons, alang with a description and expected duration af the

7. Liability / Indemni�cation. Neither the Grantor nor its tenants, subtenants,
successors and assigns, nar its ar their directors, trustees, of�cers, employees
or agents sha11 be liable for persanal injury or progerty damage to any person
caused by the negligence or conduct of Grantee or any other person in the use
of the Easement Premises in connection with this Agreement. Grantee shall
indemnify and hold Grantor harmless fram and against any claim, damage,
loss, or exgense (including reasonable attorney's fees) incurred by Grantor
and caused by {ij any defect or hazardous condition in the Sidewalk, unless
caused by Grantor; (ii) any breach of Grantee's abligations herein; or (iii) in
any way arising from the use of the Sidewalk by Grantee, its employees,
agents, invitees, or guests. Similarly, neither the Grantee nor its officers,
employees, agents shall he liable for personal injury or property damage ta
any person caused by the negligence or conduct af Grantor, or any of its
contractors ar agents, in connection with the use or irnprovement of sidewalks
ar facilities within ar adjacent to the easement area, and Grantor shall
indernnify and hold Grantee harmless from and against any claim, damage,
1oss, or expense (including reasonable attorney's fees) incurred by Grantee
and caused by (i) any defect or hazardous condition affirmatively so suffered
or created upon ar adjacent to the 5idewalk, including pursuant ta
improvement or constructian plans (including closure, barricades, notices, and
safety and fall arrest devices) undertaken, installed, or placed by Grantor or its
contractors or agents, unless caused by Grantee; or (ii) any breach of
Grantor's obligations herein.
8. No Waiver; Arnendment. The failure or delay by any Party in enforcing any right
or obligation or any provisian of this Agreement in any instance shall not
canstitute a waiver thereof in that or any other instance. A party may only
waive any sueh right, obligation or provision by an instrument in writing
signed by it. This Agreement may not be modiiied, terminated or
supplemented except by a written instrument signed by the Party against
whom such modificatian, ternunation or supplement is sought to be enfarced.
9. Terminatian and Survival Obli at� ions. This Agreement and the easements
granted hereunder may be ternunated by written agreement executed by bath
parties.
1Q. Bindin E�L ffect. This Agreement sha11 run with the 1and, shali inure to the benefit
af, and shall bind the Parties' respective heirs, successars, and permitted
assigns. This Agreement and the easement and other rights granted hereunder
may be freely assigned by Grantor. Grantee may assign this Agreement and
the easement and other rights granted hereunder to a successor municipality or
a municipal entity created by Grantee. Except as expressly permitted herein,
Grantee shali not atherwise assign this Agreement without the written consent
of Grantor, which may he granted ar withheld at Grantar's sale discretian.
