Adding A New Chapter 184, Noise, To The Town Of Ithaca Code
Whereas, this action is the enactment of a local law deletingChapter184entitled “Noise”, and
adding a new Chapter 184, entitled “Noise” to the Town Code; and
Whereas, this is an UnlistedAction for which the Town Board of the Town of Ithaca is the
Lead Agency in an environmental review with respect to the enactment of this local law; and
Whereas, the Town Board, at its regular meeting held on June 10, 2019, has reviewed and
accepted as adequate the ShortEnvironmental Assessment Form (SEAF), Parts 1, 2 and 3, for
thisaction, prepared by the Town Planning staff;
Now, therefore, be it
Resolved, that the Town Board of the Town of Ithaca hereby makes a negative determination of
environmental significance in accordance with Article 8 of the Environmental Conservation
Law, 6 NYCRR Part 617 New York State Environmental Quality Review, and Chapter 148
Environmental Quality Review of the Town of Ithaca Code for the above-referenced action as
proposed, based on the information in the EAF Part 1 and for the reasons set forth in the EAF
Parts 2 and 3, and, therefore, a Draft Environmental Impact Statement will not be required.

A LOCAL LAW DELETING CHAPTER 184, NOISE, AND ADDING
A NEW CHAPTER 184, NOISE, TO THE TOWN OF ITHACA CODE
Be it enacted by the Town Board of the Town of Ithaca as follows:
Section 1. Chapter 184 (Noise) of the Town of Ithaca Code is deleted in its entirety
and replaced by a new Chapter 184 reading as follows:
“ARTICLE I
General Provisions
§ 184-1. Title.
This chapter shall be known and may be cited as the "Town of Ithaca Noise
Ordinance" whether adopted as an ordinance or local law. Hereinafter, this
law is sometimes referred to as "this chapter."
§ 184-2. Applicability.
This chapter shall apply to all areas of the Town outside the Village of
Cayuga Heights.
§ 184-3. Purpose.
The purpose of this chapter is to preserve the public health, peace, comfort,
repose, welfare, safety and good order by suppressing the making,
creation, or maintenance of excessive, unnecessary, unnatural or unusually
loud noises which are prolonged, unusual or unnatural in their time, place,
and use or which are detrimental to the environment.
§ 184-4. Definitions.
Unless the context otherwise clearly indicates, the words and phrases used
in this chapter are defined as follows:
ADULT PERSON —A person who is at least 16 years old.
DAYTIMEHOURS—Thehoursbeginningat7:00a.m.localtimeonany
day and ending at 9:00 p.m. localtime.
EMERGENCYWORK—Workmadenecessarytorestorepropertytoa
safe condition following a public calamity, or work necessary to protect
persons or property from an imminent exposure todanger.
IMPULSIVE SOUND —A sound of short duration, usually less than one
second, and of high intensity, with an abrupt onset and rapid decay.

MOTOR VEHICLES —Includes, but is not limited to, automobiles,
trucks, buses, mopeds, minibikes, and any other vehicle as defined by the
Vehicle and Traffic Law of the State of New York, as it may be amended
from time to time.
NIGHTTIMEHOURS—Thehoursbeginningat9:01p.m.localtimeon
any day and ending at 6:59 a.m. local time on the followingday.
PERSON —Includes the singular and plural and also any individual, any
property owner and/or lessee, any firm, corporation, political subdivision,
government agency, association or organization, including but not limited
to officers, directors, employees, agents and/or independent contractors
thereof, or any legal entitywhatsoever.
RESIDENTIAL ZONE —A Conservation, Agricultural, Lakefront
Residential, Low-Density Residential, Medium-Density Residential,High-
Density Residential, Mobile Home Park, or Multiple ResidenceZone, as
defined Chapter 270, Zoning. "Residential Zone" also includes any special
land use district or planned developmentzone in Chapter 271, Zoning:
Special Land Use Districts, wherein the predominant land use is
residential. Should such chapters be amended or replaced and by so doing
adds additional zonesor differently denominated zones, "residence zones"
shall mean those zones determined under such laws or any successor
statuteswherein the predominant intended land use is residential.
SOUND-AMPLIFYING EQUIPMENT —Any machine or device for the
amplification of the human voice, instrumental music, or any other sound.
Sound-amplifying equipment shall not include standard automobile sound
systems when used and heard only by the occupants of the motor vehiclein
whichsuchautomobilesoundsystemisinstalled.Asusedinthischapter,
sound-amplifying equipment shall not include warning devices on
authorized emergency vehicles or horns or other warning devices on any
vehicle used only for traffic safety purposes, or authorized fire horns or
other authorized emergencyalarms.
TOWN —All of the Town of Ithaca exclusive of the portion of the Town
within the incorporated Village of Cayuga Heights.
UNREASONABLE NOISE —Any excessive or unusually loud sound
which either annoys, disturbs, injures or endangers the comfort, repose,
health, peace or safety of a reasonable person of normal sensitivities, or
which causes injury to animal life or damages to property or business.
§ 184-5. General prohibition on unreasonable noise.
A.No person shallmake, continue,cause or permit to be made any
unreasonable noise.
B.Factors to be considered in determining whether unreasonable
noise exists in a given situation include, but are not limited to, any
or all of thefollowing:
(1)The intensity of thenoise.

(2)Theduration of thenoise.
(3)The intensity of the background noise, ifany.
(4)Thezoningdistrictwithinwhichthenoiseemanatesandall
zoning districts that lie within 500 feet of the source of the
sound.
(5)The time of the day or night the noiseoccurs.
(6)The proximity of the noise to sleepingfacilities.
(7)Whether the noise is continuous orimpulsive.
(8)The existence of complaints concerning the noise from one or
more persons who are affected by thenoise.
(9)Whether the nature of the noise is usual orunusual.
(10)Whether the noise is due to a natural or a human-madeactivity.
ARTICLE II
Unlawful Noise Sources
§ 184-6. Purpose of Article II.
The acts set forth in this Article II are declared to be prima facie evidence
of a violation of this chapter and are prohibited, but said listing of acts shall
not be deemed to be exclusive.
§ 184-7. Radios, television sets and other sound-producing
or -amplifying devices.
A.It shall be unlawful for any person within any Residential Zone, or
within 500 feet of a Residential Zone,to use or to operate any radio or
receiving set, musical instrument (including drums), stereo, television,
any other machine or device for the producing or reproducing of sound
or any other sound-amplifying equipment in such a manner as to cause
unreasonable noisewithin a building, or outside a building at a distance
of 25 feet or more from the source of suchsound.
B.For the purposes of thissection:
(1)Foranoffensethatoccursonanypublicpropertywherepermission
was obtained to use that public property, a "person" shall include
the person or persons who obtained permission to utilize that
property for thatevent.
(2)For an offense that occurs on private property, a "person" shall
include any adult person or persons who live in or on the property
that is involved in theoffense.
(3)For an offense that occurs after granting of a permit pursuant to

Article III of this chapter, a "person" shall include the person or
persons who are listed on thepermit.
§184-8. Construction and other machinery.
A. Except as specified in Subsection B hereunder, during the nighttime hours as
defined in Article I, § 184-4 herein,it shall be unlawful for any person within
a Residential Zone,or within 500 feet of aResidential Zone,to operate
construction equipment (including but not limited to any piledriver, steam
shovel, pneumatic hammer, derrick or steam or electric hoist) or performany
outside construction or repair work so as to create noise.
B.This section shall not be deemed to prohibit:
(1)Work of an emergency nature.
(2)Work of a domestic nature on buildings, structures or projects being
undertakenby a person(s) residing in such premises; provided that, if any
domestic power tool,including but not limited to mechanically powered
saws, sanders, grinders and lawn andgarden tools used outdoors, is
operated during the nighttime hours, no person shalloperate such
machinery so as to cause unreasonable noise within a residentialbuilding
or across aresidential real property boundary, or outside of a building at
a distance of 25 feet or more from the source of the sound.
C. The provisions of this section shall not apply to lawful farm operations
on lands the principal use of which is as a farm and which are located
within a county agricultural district created under the provisions of
Article25-AAoftheNewYorkStateAgricultureandMarketsLaw.
D. Garbage collection vehicles and recycling vehiclesmaynot beoperated
forpickupon any day before 6:00 a.m. local time.
§ 184-9. Parties,events or gatherings.
A.It shall be unlawful for any person in charge of a party,event or
gathering that occurs on any private or public property to allow that
party, event or gathering to produce unreasonable noise withinany
building,oroutsideofabuildingata distance of 25 feet or more from
the source of such sound. It shall also beunlawfulforanyparticipantin
thatparty, eventor gathering tocontributetosuchunreasonable noise.
B.For the purposes of this section, a "person in charge of a party or other
event orgathering":
(1)That occurs on any public property shall include the person or
persons who obtained permission to utilize that property for that
party, eventor gathering.

(2)That occurs on private property shall include the person who owns
the premises involved and any adult person who lives in or on the
premises involved in such party,eventor gathering.
(3)Shallincludethepersonwhoislistedonapermitgrantedpursuant
to Article III of this chapter with respect to suchparty, eventor
gathering.
§ 184-10.Dogs.
Any person who owns, harbors, or is the custodian of a dog in the Town
of Ithaca is subject to the noise and other requirements in Chapter 112 of
the Town of Ithaca Code, titled "Animals," and upon violation thereof shall
be subject to the penalties set forth in that chapter.
ARTICLE III
Permits
§ 184-11. Authorization forpermit.
The Town Board, in its discretion, is authorized to grant a permit for a
specific waiver from the requirements of this chapter. Such waivers may
be granted in those circumstances where the applicant demonstrates that
on balance the need for and benefits of the waiver outweigh the needs and
rights of the surrounding neighbors to a peaceable and quietenvironment.
In determining whether to grant a permit, the Town Board shall consider
factors including but not limited to the volume of the noise, the proximity of
the noise to sleeping facilities, the time of day or night the noise occurs, the
time duration of the noise, and the impact of the noise on persons living or
working in different places or premises who are affected by the noise
§ 184-12. Permit procedure; fee.
A.An application for such a permit shall be filed with the Town Clerk no
less than 21 days before the anticipated need and shall provide the
following information:
(1)The name of theapplicant.
(2)The adult person responsible for compliance with the permit, if
different from the applicant, which adult person shall also sign the
application and agree to be responsible for compliance with the
permit terms and any conditions attached to thepermit.
(3)The reasons for suchusage.
(4)Plans and specifications of theuse.
(5)Noise abatement and control methods to beused.

(6)Time schedule.
(7)Demonstration why the applicant cannot conform to thischapter.
(8)Such other information as the Town Clerk and/or Town Board may
reasonably require to adequately consider the permitrequest.
B.The Town Board may in its sole discretion waive the application filing
requirement of 21 days upon good cause shown or for other unique,
special or extenuating circumstances.
C.At the time of the filing of the permit application or applications, the
applicant shall pay the Town a nonrefundable fee as set from time to
time by Town Board resolution.
D.Applications may be submitted simultaneously by a single entity,
representative or agent thereof for events occurring at a single address
within a consecutive six-month period. Events of a similar scope and
sizemaybelistedononeapplication.Allapplicationsshallbereviewed,
and determinations shall be rendered on each application. The Town
Board may make different decisions and impose different conditions on
individual events contained within an application for multiple events.
E.ApublichearingbeforetheTownBoardshallbeheldinconnectionwith
the application no less than five days after publication of notice of such
hearing in the Town's official newspaper. The issuance of permits shall
be discretionary. The Town Board may impose any conditions deemed
necessary by such Board to minimize the intrusion of sound that might
occur by the exercise of the privileges granted by the permit. Any permit
issued shall state that the permit only applies to this chapter, and that§
240.20, Subdivision 2, of the Penal Law of the State of New York,
DisorderlyConduct,providesthat"Apersonisguiltyofdisorderly
conduct when, with intent to cause public inconvenience, annoyance or
alarm, or recklessly creating a risk thereof: ...he makes unreasonable
noise." If a permit is issued, a copy of the permitstipulating any and all
conditions imposed by the Town Board shall be furnished tothe
Tompkins County Sheriff's Department by the Town Clerk,
simultaneously upon the issuance of the permit to theapplicant.
F.The Town Board may, in its sole discretion, waive the holding of a public
hearing upon good cause shown or for other unique, special or
extenuatingcircumstances.
G.Revocation of noise permits. Noise permits may be suspended or revoked when
it is determined that there is a violation of a condition under which the permit
was issued, or if information submitted in connection with the permit
application or with a condition of the permit was incorrect, inaccurate, or
incomplete.

ARTICLE IV
Violation and Penalty
§ 184-13. Enforcement of violations.
Enforcement may be facilitated by, but shall not be dependent upon,
complaint by a resident of the Town to a Town Code Enforcement Officer
or county or other law enforcement officer. Any police officer or peace

§ 184-14. Penalties forviolations.
A.A violation of this chapter is hereby declared to be an offense, with
conviction of a first offense punishable by a fine of up to $500 or
imprisonment not to exceed 15 days, or both. For conviction of a second
or subsequent offense which was committed within a period of five years
from the commission of the prior offense, a violator shall be subject to a
fine of up to $1,000 or imprisonment not to exceed 15 days, or both.
With respect to continuous emissions of sound, each day of such
emission shall constitute a separate violation.
B.In addition, persons who violate this chapter shall be liable for a civil
penalty of $500 for a first violation and $1,000 for a second or
subsequentviolationwhichwascommittedwithinaperiodoffiveyears
from the commission of the prior violation. With respect to continuous
emissions of sound, each day of such emission shall constitute a separate
violation. The Attorney for the Town or his or her designee may
commence an action or special proceeding against the violator ina court
of competent jurisdiction to collect these penalties, together with costs,
disbursements and recoverable attorneys' fees, and/or to compel
compliance with this chapter or restrain by injunction any such violation.
§ 184-15.Liability of owner.
The owner of any real property (except public highways, and other publicly
owned facilities) from which sounds prohibited by this chapter emanate
shall be guilty of a violation of this chapter, whether or not such ownerwas
on the premises or occupied the premises when the proscribed sounds
emanated fromsame.”
Section 2. In the event that any portion of this law is declared invalid by a court of
competent jurisdiction, the validity of the remaining portions shall not be affected by such
declaration of invalidity.
Section 3. This local law shall take effect immediately upon its filing with the New
York Secretary of State.

ARTICLE I
General Provisions
§ 184-1. Title.
This chapter shall be known and may be cited as the "Town of Ithaca Noise
Ordinance" whether adopted as an ordinance or local law. Hereinafter, this
law is sometimes referred to as "this chapter."
§ 184-2. Applicability.
This chapter shall apply to all areas of the Town outside the Village of
Cayuga Heights.
§ 184-3. Purpose.
The purpose of this chapter is to preserve the public health, peace, comfort,
repose, welfare, safety and good order by suppressing the making, creation,
or maintenance of excessive, unnecessary, unnatural or unusually loud
noises which are prolonged, unusual or unnatural in their time, place, and
use or which are detrimental to the environment.
§ 184-4. Definitions.
Unless the context otherwise clearly indicates, the words and phrases used
in this chapter are defined as follows:
ADULT PERSON — A person who is at least 16 years old.
DAYTIME HOURS — The hours beginning at 7:00 a.m. local time on any day
and ending at 9:00 p.m. local time.
EMERGENCY WORK — Work made necessary to restore property to a safe
condition following a public calamity, or work necessary to protect persons or
property from an imminent exposure to danger.
IMPULSIVE SOUND — A sound of short duration, usually less than one
second, and of high intensity, with an abrupt onset and rapid decay.
MOTOR VEHICLES — Includes, but is not limited to, automobiles, trucks,
buses, mopeds, minibikes, and any other vehicle as defined by the Vehicle
and Traffic Law of the State of New York, as it may be amended from time
to time.
NIGHTTIME HOURS — The hours beginning at 9:01 p.m. local time on any
day and ending at 6:59 a.m. local time on the following day.
PERSON — Includes the singular and plural and also any individual, any
property owner and/or lessee, any firm, corporation, political subdivision,
government agency, association or organization, including but not limited to
officers, directors, employees, agents and/or independent contractors
thereof, or any legal entity whatsoever.

different from the applicant, which adult person shall also sign the

(5)Noise abatement and control methods to be used.
(6)Time schedule.
(7)Demonstration why the applicant cannot conform to this chapter.

reasonably require to adequately consider the permit request.
B.The Town Board may in its sole discretion waive the application filing
requirement of 21 days upon good cause shown or for other unique,

representative or agent thereof for events occurring at a single address
within a consecutive six-month period. Events of a similar scope and size
may be listed on one application. All applications shall be reviewed, and
determinations shall be rendered on each application. The Town Board
may make different decisions and impose different conditions on
individual events contained within an application for multiple events.

E.A public hearing before the Town Board shall be held in connection with
the application no less than five days after publication of notice of such
hearing in the Town's official newspaper. The issuance of permits shall
be discretionary. The Town Board may impose any conditions deemed
necessary by such Board to minimize the intrusion of sound that might
occur by the exercise of the privileges granted by the permit. Any permit
issued shall state that the permit only applies to this chapter, and that
§ 240.20, Subdivision 2, of the Penal Law of the State of New York,
Disorderly Conduct, provides that "A person is guilty of disorderly
conduct when, with intent to cause public inconvenience, annoyance or
alarm, or recklessly creating a risk thereof: ... he makes unreasonable
noise." If a permit is issued, a copy of the permit stipulating any and all
conditions imposed by the Town Board shall be furnished to the
Tompkins County Sheriff's Department by the Town Clerk,
simultaneously upon the issuance of the permit to the applicant.
F.The Town Board may, in its sole discretion, waive the holding of a public
hearing upon good cause shown or for other unique, special or

G. Revocation of noise permits. Noise permits may be suspended or revoked when it is
determined that there is a violation of a condition under which the permit was issued, or if
information submitted in connection with the permit application or with a condition of the
permit was incorrect, inaccurate, or incomplete.

of Ithaca Code, titled “Vehicles and Traffic” by adding a yield sign at the Homestead
Road/Homestead Circle intersection
Whereas the Town Board received a petition from residents of the Homestead Road/Homestead
Circle area for a stop sign at the intersection of said roads, and
Whereas the Public Works Department did a study of the intersection to determine if the
warrants for a stop sign were met, and
Whereas the warrants were not met for a stop sign and an alternate proposal for a yield sign was
communicated to the petitioners, and
Whereas the petitioners accepted the alternate proposal and the Public Works Committee and the

Section 1.Legislative Intent:It is the intent of this local law to override the
limit on the amount of real property taxes that may be levied by the Town of Ithaca,
County of Tompkinspursuant to General Municipal Law §3-c, and to allow the Town of
Ithaca, County of Tompkinsto adopt a town budget for(a) town purposes, (b) fire
protection districts, and (c) any other special or improvement district,and Town
improvements provided pursuant to Town Law Article 12-C, governed by the Town
Boardfor the fiscal year beginning January 1, 2020and ending December 31, 2020that
requires a real property tax levy in excess of the “tax levy limit” as defined by General
Municipal Law §3-c.
Section2.Authority:This local law is adopted pursuant to subdivision 5 of
General Municipal Law §3-c, which expressly authorizes the Town Boardto override the
tax levy limit by the adoption of a local law approved by vote ofat leastsixty percent
(60%) of the Town Board.
Section 3.Tax Levy Limit Override:The Town Board of the Town of Ithaca,
County of Tompkinsis hereby authorized to adopt a budget for the fiscal year 2020that
requires a real property tax levy in excess of the limit specified in General Municipal
Law §3-c.

Severability:If any clause, sentence, paragraph, subdivision, or part
of this Local Law or the application thereof to any person, firm or corporation, or
circumstance, shall be adjusted by any court of competent jurisdiction to be invalid or
unconstitutional, such order or judgment shall not affect, impair, or invalidate the
remainder thereof, but shall be confined in its operation to the clause, sentence,
paragraph, subdivision, or part of this Local Law or in its application to the person,
individual, firm or corporation or circumstance, directly involved in the controversy in
which such judgment or order shall be rendered.

park and recreation purposes,and
Whereas, the Coddington Road Community Center, Inc. would like to use their land on which
the Easement sits to expand their childcare and community facilities, and the Town Board has
determined that the recreation purposes of said Easementcan be satisfied elsewhere in the Town,
and
Whereas,the Town Board has discussed the historyandcurrent usage of the Easement at
multiple Committee and Board meetings, and
Whereas,the Town of Ithaca wishes to discontinue the use of said Easement for park and
recreation purposes and wishes the New York State Legislature toauthorize and empower the
Townto alienatesuchEasementso that the Town canacquire anotherEasement of the same size

MEMORANDUM OF UNDERSTANDING
This MEMORANDUM OF UNDERSTANDING, is made as of the ___ day of _______,
2019(this “Agreement”) by and between Cornell University, an educational corporation organized
under the laws of New York State with its principal campus located in Ithaca, New York
(“Cornell”),the Town of Ithaca, a municipal corporation duly organized and existing under the
laws of the State of New York and having its offices at 215 North TiogaStreet, Ithaca, New York
(the “Town”), and the County of Tompkins,a municipal corporation duly organized and existing
under the laws of the State of New York and having its offices at 125 East Court Street, Ithaca,
New York(the “County”)(each of which is a Party, and collectivelyarethe “Parties”).
WHEREAS, on April 2, 2019, the Town of Ithaca’sPlanningBoard granted preliminary
site plan approval to Cornell’s North Campus Residential Expansion project(the “Project”), a copy
of which is attached as Exhibit A;and
WHEREAS, the preliminary siteplan approval was conditioned in part on the Parties
executing a Memorandum of Understandingamong the Parties“that affirms each entity’s desire
to realign the intersection of Cradit Farm Drive and Pleasant Grove Road to direct traffic more
readily to the Cornell campus, and that contains schedule milestones for Cornell, at its own
expense, to: a)Hire consultants to oversee the project b) Develop preliminary and final project
design documents in coordination with involved parties c)Prepare construction documents d)
Construct project”; and
WHEREAS, in the preliminary site plan approval resolution the TownPlanning Board
further conditioned the issuance of a Certificate of Occupancy forany building located in the Town
on the “Submission to Tompkins County and the Town of Ithaca Planning Department of final
construction drawings for the Cradit Farm Drive/Pleasant Grove Road intersection realignment,
and submission to the Town of Ithaca Planning Department of proof satisfactory to the Attorney
for the Town that Cornell University has approved the realignment project and the expenditure
necessary to complete the project”; and
WHEREAS, Cradit Farm Drive is a private, Cornell-owned road and Pleasant Grove Road
is a County-owned road; and
WHEREAS, during the permitting process, Cornell submitted information about its
planned pedestrianand transportationimprovements, including realigning the Cradit Farm Drive
and Pleasant Grove Road intersection(“Work”);and
WHEREAS, Cornell has already issued a Request for Proposals for consultants to assist
with the design and implementationof the Work and received responses to same;
NOW, THEREFORE, in consideration of the mutual promises hereinafter set forth, and
other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, the Parties hereto agree as follows:
1.Realignment. Cornell, the County, and the Town hereby reaffirm their collective
desire to realign the intersection of Cradit Farm Drive and Pleasant Grove Road to direct traffic
more readily to the Cornell campus.Nothing in this Paragraph 1 or in the rest of the Agreement
shall imply that the Town or County has responsibility to undertake or pay for the Work.
2.Schedule.The Parties agree to the following schedule of work.The Parties
acknowledge that reasonable adjustments to the schedule may be necessaryas agreed to by the
Parties through a modification of this Agreementor through execution of an additional
memorandum of understanding. In addition, any deadline specified in this schedule of work may
be extended by up to sixty calendar days upon written communication of such extension by Cornell
as specified in Paragraph 4, but such extension shall not automatically extend any subsequent
deadline.In the event of a failure to meet a date, the Parties agree to engage in good faith
negotiations to set an adjusted schedule of work. The Parties acknowledge that if construction of
the Projectis delayed or stayed by operation of law or court order, or other force majeure
(including, but not limited to, acts of nature such as earthquake, flood, drought, ice storm, fire,
tornado, or acts beyond the control of the Parties such as riots, labor disputes, labor or material
shortages, embargos, sabotage or civil disobedience, or severe conditions such as disease,
contamination from chemical, biological, or viral sources beyond the control of the Parties, or war
or orders of civil or military authorities), the schedule shall be adjusted commensurately by Cornell
and an updated written schedule provided to the County and Townfrom time to time.

3.The Parties acknowledge the need for and agree to develop and execute one or more
additional memorandaof understandingas necessary in the future, including but not limited to
aftercompletion of the schematic design phase,to addressvariousissues, such asthe Parties’
respective responsibilities regarding construction and ownership of, and indemnification and
liability arising from, the Work.Cornell shall not commence the Work until the Parties have
executedan additional memorandum of understanding that addresses, among other things,
indemnification amongthe Parties and insurance or self-insurance provisions.
4.Communications. Periodic communications for normal administration of this
Agreement and other obligations discussed in the foregoing paragraphs, such as discussions,
consultations, reviews, and inspections shall be conducted by the Parties’ respective
representatives (“Representatives”) by emails, meetings, site visits, and telephone calls. These
communications will not normally be treated as requiring the notices described in Paragraph 6.A
Party’s Representative may designate in writing a different or additional person to be that Party’s
Representative(s) for this purpose. The Parties’respective Representatives are:

5.The Parties agree to attempt in good faith through their Representatives to resolve
any dispute, claim or controversy arising out of the Work or relating to this MOU through prompt,
diligent, and candid communication and good faith negotiation. However, in the event that any
serious dissatisfaction or unresolved dispute arises that threatens the timely completion of the
Work, then anyParty may give notice to the othersstating that it invokes this Paragraph 5and
describing the basis for the serious dissatisfaction or dispute and its position on the matter in detail
(“Notice”). Upon the giving and receipt of such Notice, the Parties agree to refer the matter to
their respective senior executives (“Senior Executive”). The Senior Executive of allPartiesshall
be different from, and a supervisor of, the Representative(s) of the Party. The Senior Executives
shall meet as soon as possible with each other, but in any event within ten(10)business days, and
preferably in person, to discuss and resolve the matter in the shortest amount of time practicable.
This paragraph does not impose upon anyParty any obligation beyond that already agreed upon
pursuant this MOU; rather it acknowledges the Parties’ good faith commitment to find a solution
that is fair and beneficial to allParties and guides the Work and this MOU to a successful, timely
conclusion. Nothing herein shall, following a good faith attempt by the Senior Executives to
resolve the matter, limit or foreclose the rights and remedies available to anyParty for the
enforcement of this MOU.
6.Notices.Except as otherwise provided, all notices required by this Agreement shall
be sent by overnight mail, email (valid upon acknowledgment by responding email), or personal
delivery to the persons designated below (with a copy to the attorney for the Party).

7.Cancellation.Cornell may elect to cancel the performance of this Agreementif it
decides or is forced to not build the Project. If Cornell decides or is forcedto reduce substantially
the size of the Project, Cornell may cancel the performance of this Agreement if cancellation is
consistent with any amended site plan approval conditions.For purposes of thisParagraph 7,
“substantially” shall mean afiftypercent or greater reduction in the gross building square footage
of the portion of the Project proposed to be located in the Town.Cornell may elect to delay the
performance of this Agreementfor up to five (5) years if it decides or is forced to delay the
construction of the Project, in which case the amount of delay in Cornell’s performance of this
Agreement shallbe commensurate with the delay in Project construction.
8.Miscellaneous.
a.This is the entire agreement between the Parties hereto and any modificationor
amendment hereto must be in writing and signed by all Parties hereto.
b.This Agreement may be executed in counterparts, each of which shall be
deemed to be an original, but all of which together shall constitute one
agreement.
c.Nothing herein is intended or shall be construed to confer upon any person or
entity other than the Parties and their successors or assigns, any rights or
remedies under or by reason of this Agreement.

d.If either Party brings a suit or cause of action against the otherrelated to this
Agreement, it shall be brought and tried intheSupreme Court of New York
held in and for Tompkins County.
e.Should any provision or portion of a provision of this Agreementbe deemed
contrary to law or unenforceable or against public policy, the remainderof this
Agreementshall be reformed to the extent necessary to give effect and meaning
to the balance of the Agreementand all its remaining provisions shall survive
and remain in full force and effect.

5 I.Name:The name shall be the Recreation Partnership Board.

7 II.Preamble: The Recreation Partnership Board is a unique inter-municipal
8 compact created to jointly plan, finance, provide, oversee and coordinate shared,
9 recreational services that supplement and complement those offered by
10 municipalities.

12 III.Purpose: The Recreation Partnership Board shall have the following duties,
13 powers, and responsibilities:
14-Identify a set of shared services to be provided to residents of member
15 municipalities. Authorize additions or deletions of programs.
16-Select providers to implement the programs.
17-Approve a net operating budget that includes the costs of all services,
18 fees, revenues, sponsorship goals, and scholarship guidelines.
19-Recommend a pro-rata share of municipal contributions based on a
20 mutually agreeable cost-sharing formula.
21-Oversee contracted services, monitoring the quality and costs of the
22 service providers.
23-Evaluate the performance of providers.
24-Make regular reports to participating municipalities.

27 IV.Membership:Each participating municipality shall have one seat on the
28 governing board. In addition,the City of Ithaca, Town of Ithaca, and Tompkins
29 County may appoint one additional member to reflect their greater investment in
30 the Partnership. In addition, each municipality can appoint one voting alternate
31 per municipality. Each participating municipality will strive to fill these seats
32 with elected officials willing and able to make policy decisions. Only if no
33 elected official is willing to fill a seat can a municipality appoint anunelected
34 designee.
35 The Recreation Partnership Board may determine if it wants to create any non-
36 voting at-large seats to add expertise or coordinating links. This may be done by
37 a 3/4 majority vote of the members at a regular meeting of the Board. The at-
38 large seats will be created for a one
39-year periodand if the Board wants to continue the seat it will be revoted on for
40 another one-year term.

42 V.Selection of Members:Members and alternates will be appointed by resolution
43 at the pleasure of their municipal board for a term of two years.

45 VI.Terms of Office: Terms shall be for one year beginning January 1and ending

46 December 31of thatyear. Vacancies shall be filled as soon as possible for the
47 remainder of the unexpired term.

2 VII.Officers:Each year the Board shall elect a ChairpersonandVice Chairperson
3 among its members. The officers shall be nominated by a nominating committee
4 that shall be appointed in November and present their slate of officers at the
5 December meeting. Officers shall be elected at the January meeting for the term
6 of one year. New names for nomination can be put forth up to and at the January
7 meeting for consideration. Prior to vote nomineesmust have agreed to serve. At
8 the request of any member the vote can be a secret ballot.

10 VIII.Duties of Officers:

12 Chair:shall develop the agenda in consultation with the Tompkins County Youth
13 Bureau staff and providers, chair the meetings, represent the Recreation
14 Partnership Board at inter-municipal or public meetings, assist as needed in
15 contract negotiations to implement the wishes of the Recreation Partnership
16 Board.
17 Vice Chair:shall act in the absence of the chair.

19 IX.Quorum: A quorum shall consist of a simple majority of thefilledseats.
20
21 X.Voting:Each member is entitled to one vote at any meeting for which the
22 member is present. An appointed alternate is permitted to vote when replacing
23 their official municipal representative. Passage of a motion requires a majority
24 vote of those present. There shall be no proxy votes.
25
26 XI.Fiscal Year:The fiscal year shall be from January 1 to December 31.

28 XII.Committees:The Chairperson shall appoint all committees, subject to the
29 approval of the Recreation Partnership Board. All Committee terms expire at the
30 end of the fiscal year, but persons may be re-appointed. All members of a
31 committee have equal vote if present.

33 The Chairperson shall appoint any committee deemed necessary by the
34 Recreation Partnership Board.

36 The Nominating Committee shall be appointed in November and recommend a
37 slate of officers for the coming year by the following month (December).

40 XIII.Amendments:These by-laws may be amended by a 2/3 vote of members present
41 at any regular meeting, provided that the proposed amendment has been presented
42 for consideration of the Board at the preceding regular meetingand the proposed
43 amendment must be mailed to all members at least ten daysprior tomeetingat
44 which the proposed change is to be voted upon.

1 All amendments voted on by the Recreation Partnership Board must then be
2 ratified by 100% of governing bodies of the participating municipalities prior to
3 the amendment being adopted.

5 XIV.Saving Clause: In the event any part of these bylaws shall conflict with any
6 provisions of requirements of the State or Federal Law, or laws of any of the
7 participating municipalities, the provisions of any State of Federal Law shall
8 control,and the other provisions of these bylaws shall not be invalidated by such
9 conflict.

11 XV.Conflict of Interest: Anyone employed in or contracting with a program funded
12 by the Recreation Partnership Board is ineligible to serve as a voting member of
13 the Recreation Partnership Board.

15 If a member has a potential conflict of interest,theymust explain their
16 relationship to the program before the matter is discussed or voted on. Members
17 must abstain from discussing and/or voting on any specific actions that are, or
18 give the appearance of, being motivated by a desire for private financial gain for
19 themselves or others such as those with whom they have family, business, or
20 other ties.

22 XVI.Adoption:These Bylaws shall become effective upon adoption by a two-thirds
23 vote of the members present of the Recreation Partnership Board and approval of
24 allthe participating municipalities.

Manager
Whereas, Joseph Talbut was provisionally appointed as the Parks Maintenance Manager,
effective May 21, 2018, pending the next civil service exam; and
Whereas, the Tompkins County Civil Service office has provided the certificate of eligible listing
for Parks Maintenance Manager title and Joseph Talbut was a reachable candidate on the
corresponding list; now, therefore be it
Resolved, the Town Board of the Town of Ithaca does hereby ratify the Director of Public Works
permanent appointment of Joseph Talbut to the position of Parks Maintenance Manager with no
change in current compensation or benefits, retro-active to May 26, 2019; and be it further
Resolved, a twenty-six (26) week probationary period applies with no further action by the Town
Board if there is successful completion of the probationary period as determined by the Director
of Public Works.

TB Resolution 2019-f: Approve the 2020 Access OversightCommittee Budget
Whereas, the Franchise Agreement between the Townof Ithaca, the Village of Cayuga Heights,
the City of Ithaca and the franchisee Time Warner Entertainment-Advance/Newhouse
Partnership (TWC), subsequently assigned to Charter Communications, Inc. (d/b/a Spectrum
Networks) after Charter's 2016 acquisition of TWC, requires the participating municipalities
(City of Ithaca, Town of Ithaca, Village of Cayuga Heights) to provide the franchisee with an
annual written budget for Public, Educational and Governmental access operations (PEG) by
June 30 of each calendar year, and
Whereas, the Access Oversight Committee (AOC) is required to provide the Participating
Municipalities with a recommended annual budget by May 31 of each calendar year, and
Whereas, in 2017 it was resolved to not use the 2018 Budget funds, but have them become part
of the 2019 Budget, and
Whereas, in2018 it was resolved not to use the 2019 Budget funds but have them become part
of the 2020 Budget except for a contingency of $5,000.00, and
Whereas, the AOC has reviewed PEG’s current equipment inventory and anticipates that only
a limited amount of new orreplacementequipment will be needed, and
Whereas, the AOC anticipates replacement of computers and the current playback system in
the next few years, and
Whereas, such purchases would exceed the available funds of one budget year, now, therefore
be it
Resolved, that the AOC recommends earmarking up to $10,000.00 as contingency to purchase
equipment as needed for the functioning of PEG operations, and to let the remaining 2018,
2019 and 2020 Budget funds accumulate and become part of the 2021 Budget, and be it further
Resolved, that the AOC forwards its recommendations for approval by the City of Ithaca, the
Town of Ithaca and the Village of Cayuga Heights, so that they may meet their obligation to
