TOWN OF ENFIELD 2011 ORGANIZATIONAL RESOLUTIONS Resolution #2011-1 Town Board Meeting Dates Resolved, the regular meeting of the Enfield Town Board shall be held monthly on the 2 nd Wednesday of each month, at 6:45 p.m., at the Enfield Community Building, 182 Enfield Main Road. Supervisor Barriere moved to adopt Resolution #2011-1, with a second by Councilperson Teeter. Vote: Councilperson Clark aye, Councilperson Hern aye, Councilperson Teeter aye, Supervisor Barriere aye. Resolution #2011-2 Official Newspaper Resolved, the Ithaca Journal, a newspaper regularly published and having general circulation in the Town, is hereby designated as the Official Newspaper for the Town of Enfield. Further resolved, the Town Newsletter will be in conjunction with the Enfield Community Council Newsletter – 3-4 per year. Supervisor Barriere moved to adopt Resolution #2011 -8, with a second by Councilperson Clark. Discussion: Councilperson Hern asked if there was a cap on the number of hours worked. Supervisor Barriere responded that the amount budgeted for this position is $6,000.00. Supervisor Barriere amended his motion to read “salary at $12.00/hour, paid monthly, not to exceed $6,000.00”. Resolution #2011-9 Code Enforcement Officers – salary at $18,583.92 each/year, paid monthly Resolved, the Town Board appoints Alan Teeter to fill the position of Senior Code Enforcement Officer and Carl Staley to fill the position of Code Enforcement Officer. Supervisor Barriere moved to adopt Resolution #2011 -9, with a second by Councilperson Hern. Enfield Town Board Meeting, January 5, 2011 5 Resolution #2011-10 Attorney for the Town – salary at $175.00/hour, paid monthly Whereas, the Town Board specifically waives the requirement that the Town’s Attorney be a resident of the Town, Now therefore, be it resolved, the Town Board appoints Mr. Guy Krogh, Esq. to fill this position. Supervisor Barriere moved to adopt Resolution #2011 -10, with a second by Councilperson Teeter. Resolution #2011-11 Engineering Firm for the Town Whereas, the Town Board appointed Resource Associates of Cortland to provide engineering services for Site Plan Reviews, specifically for the proposed highway facility, and Whereas said engineering firm has provided such in a timely manner at reasonable prices, and is expert in designing municipal facilities. Therefore, be it resolved, the Town Board re-appoints Resource Associates of Cortland be named the Engineering Firm for the Town. Supervisor Barriere moved to adopt Resolution #2011 -11, with a second by Councilperson Clark. Resolution #2011-17 Code of Ethics Resolved, all Public Officials, appointees, and employees for the Town of Enfield are subject to the Code of Ethics as adopted by the Town. Carried. 2011 AGREEMENT as to LEGAL REPRESENTATION between the TOWN OF ENFIELD and GUY K. KROGH, ESQ. This agreement (the “Agreement”) is made between the undersigned as of January 1, 2011. The Town of Enfield, with its offices at 168 Enfield Main Road, Ithaca, New York 14850 (herein, the “Town”), has requested that Guy K. Krogh, Esq., 309 North Tioga Street, Ithaca, New York 14850 (the “Attorney”) provide services to the Town as an Attorney for the Town, and accordingly the Town hereby engages said Attorney to provide legal services to the Town at the request of the Town Supervisor, the Town Board, the Planning Board, and/or any other official of the Town, including, but not necessarily limited to:  Preparing and reviewing necessary or desired legal documents primarily regarding municipal agreements, the Town Law and general Municipal Law, tax and real estate matters, litigation, personnel issues, and other matters of Town business;  Attending Town Board, Planning Board and Zoning Board Of Appeals Meetings upon request;  The provision of such other or further legal services as the Town may desire or request. Fees for services performed by the Attorney, and his associates and employees, (herein, the “Fees”) will be based upon the amount of time devoted by the individuals performing the services, multiplied by those individuals’ respective hourly billing rates. For this Agreement, billing rates for 2011 are as follows: Attorney - $175.00 per hour; Paralegal - $100.00 per hour (the “Fees”). Hours will be billed in minimum increments of a tenth of an hour. Hourly rates apply to all time expended relative to Town matters, including but not limited to:  Meetings and conferences;  Telephone calls and telephonic conferences, either placed by or Enfield Town Board Meeting, January 5, 2011 8  placed to the Town, or otherwise made or had on the Town’s behalf or related to Town matters;  Preparation, review and revision of correspondence and documents, memoranda, or papers relative to Town matters;  Legal research;  Court appearances and court conferences;  Preparation time for any meeting or court matters;  Travel time; and  Any other time expended on behalf of or in connection with Town matters that are traditionally billed in the Attorney’s business. However, not all time will be deemed billable or will be billed by the Attorney, who may exercise his discretion to “no charge” any time and billing entries. The Attorney will not bill for any time, charges or expenses incurred for responding to any billing inquiries that may arise, nor will the Attorney bill for any time, charges or expenses incurred for the negoti ation or drafting of any documents concerning the terms of employment of the Attorney. The Attorney will incur various costs and expenses in performing services, including but not limited to, filing fees, subpoena and service of process fees, reporting and transcription expenses, postage, courier delivery expenses, long distance telecommunications, document reproduction and/or printing expenses, travel expenses, and computer assisted legal and factual research expenses. The Town agrees to reimburse the Attorney for any such costs and expenses actually and necessarily incurred by the Attorney on behalf of the Town. Such costs and expenses shall be deemed and billed as Fees under this Agreement. The Attorney will provide the Town with copies of all correspondences, documents, and pleadings, and will keep the Town apprised of the status of each matter being handled, in whole or in part, by the Attorney. The Town has sole discretion in determining whether to terminate the Attorney’s representation at any time, for any or no reason. While the Attorney and his firm seek to avoid fee disputes with the Town, and encourage open discussion to resolve any fee disputes, the Town is advised that it has the right, at its election, to seek arbitration to resolve any fee dispute. In such event, the Attorney shall advise the Town in writing by certified mail that the Town has 30 days from receipt of such notice in which to elect to resolve the dispute by arbitration, and the Attorney shall enclose a copy of the arbitration rules and a form for requesting arbitration. The decision resulting from arbitration is binding upon both the Attorney and the Town. The Town is referred to Part 137 of the Rules of the Chief Administrator of the New York State Courts for more information about arbitration. At any time, even if there is no fee dispute, the Attorney will forward the complete text of Part 137 to the Town. The Attorney also has the right to withdraw from representing the Town in the event of the Town’s failure to communicate or cooperate in the provision of legal services, or if the Town engages in any conduct which would make it inappropriate to continue representation, or if any bill rendered for Fees remains unpaid, in part or in full, for a period of 90 or more days after such bill is delivered to the Town. Enfield Town Board Meeting, January 5, 2011 9 The Attorney will send the Town an invoice every month, or more or less frequently, upon request of the Town. The Town is hereby made aware that in the provision of municipal legal services there are often facts and circumstances that call for a legal judgment and for which there is no specific or unanimous “correct” answer. The Attorney shall exercise his best judgment in all cases and at all times to provide legal services and advice that are consistent with law and controlling or persuasive legal precedents, and that will minimize the risk and expense to the Town. Despite these best efforts, the Town acknowledges that there is no assurance or guarantee of the outcome of any matter, the length of time it may take to resolve any matter, or the costs or Fees which may be incurred to attempt to resolve any matter. The Attorney will endeavor to advise the Town as to any and all risks and expenses that any proposed course of action or conduct may entail so that the Town may weigh its alternatives and make a decision that is in the best interests of the Town and its constituents. The Town has reviewed and understands this Agreement. The Town has had an opportunity to ask any and all questions it may have pertaining to this Agreement, and has had each such question answered to its full satisfaction and understanding. Accordingly, the Town and the Attorney each agree to all of the terms set forth in this Agreement. Councilperson Teeter moved, with a second by Councilperson Hern that the Enfield Town Board authorizes the town supervisor to sign the 2011 Agreement as to Legal Representation between the Town of Enfield and Guy K. Krogh, Esq. Vote: Councilperson Clark aye, Councilperson Hern aye, Councilperson Teeter aye, Supervisor Barriere aye. Carried. Amendment for Animal Control Services Agreement This Amendment applies to the Agreement for animal control services dated 01/01/2010 between the Town of Enfield (“Town”), 168 Enfield Main Road, Ithaca, NY 14850 and the Tompkins County Society for the Prevention of Cruelty to Animals (“SPCA”) dba Tompkins County Animal Control, 1640 Hanshaw Road, Ithaca, NY 14850. 1. To FISCAL MATTERS, number 1, replace with the following: “Effective January 1, 2011 through June 30, 2011, the Town will pay to the SPCA $5,841.00 as follows: $973.50 per month payable on or before the 10 th of the respective month. Effective July 1, 2011 through December 31, 2011, the Town will pay SPCA, on or before the 10th of the respective month, based on the following calculation: The Towns prorated portion of the average of these factors: the percentage of dog population of the municipalities within the Consortium, the percentage of human population of the municipalities within the Consortium, plus the percentage of service calls of the municipalities within the Consortium. The exact amount will be determined at a joint meeting of the Consortium by June 15, 2011. This number is called the “one third model”. The Town’s monthly portion will be the median amount between the “one third model” and the monthly fee paid for the first six months of 2011. Enfield Town Board Meeting, January 5, 2011 10 The 2012 monthly fee will be the same as the last half of 2011 monthly fee; or prorated for any agreed increase in total compensation for Tompkins County Animal Control services. The term of this amendment will remain in effect until December 31, 2012.” 2. Mutually agreed changes to this amended Agreement must be in writing and signed by the parties hereto. 3. All other terms and conditions of the original agreement shall remain in force. Supervisor Barriere explained that the rates have gone up. At this time the rates have only been figured for the first six months, and the rates are anticipated to go up f urther for the last six months of 2011. The total estimate for the year is $13,274, which is $1,200 above our budget. For the past few years the Town of Ithaca and City of Ithaca have been paying more than their fair share, and now the other towns have been asked to pay more of their share. Councilperson Teeter moved, with a second by Councilperson Clark, for the Enfield Town Board to authorize the town supervisor t o sign the Amendment to the Agreement for Animal Control Services between the Town of Enfield and the Tompkins County Society for the Prevention of Cruelty to Animals (SPCA). Vote: Councilperson Clark aye, Councilperson Hern aye, Councilperson Teeter aye, Supervisor Barriere aye. Carried. Budget Amendment BA#2010-32 WHEREAS, additional funds are needed and are available for the 2010 General Fund budget, now therefore be it RESOLVED, that the General Fund Line Item A9010.8, titled “Employee Benefits – State Retirement”, be decreased by $1,668.64, General Fund Line Item A9020.8 titled “E mployee Benefits – Medicare” be increased by $317.50, and General Fund Line Item A9030.8, titled “Employee Benefits – Social Security”, be increased by $1,351.14. Supervisor Barriere moved, with a second by Councilperson Hern to approve Budget Amendment #2010-32. Budget Amendment BA#2010-33 WHEREAS, additional surplus funds are needed and are available for the 2010 Highway Fund budget, now therefore be it RESOLVED, that the Highway Fund DA599 “Appropriated Fund Balance” be increased by $10,000.00, Highway Fund DA910 “Estimated Appropriations” be increased by $10,000.00, Highway Fund Line Item DA5110.4, titled “General Repairs – Contractual”, be increased by $10,904.00, Highway Fund Line Item DA9060.8, titled “Employee Benefits – Medical Insurance Enfield Town Board Meeting, January 5, 2011 11 Current” be increased by $377.00, Highway Fund Line Item DA5110.1 titled “General Repairs – Personnel” be decreased by $548.00, Highway Fund Line Item DA9020.8 titled “Employee Benefits – Medicare”, be decreased by $300.00, and Highway Fund Line Item DA9030.8, titled “Employee Benefits – Social Security”, be decreased by $433.00. Supervisor Barriere moved, with a second by Councilperson Clark to approve Budget Amendment #2010-33. Resolution #2011-18 Resolution for the Town Clerk to Hold Dog Fees Temporarily WHEREAS, the current revenue sharing structure for dog licensing was repealed on January 1, 2011 and, WHEREAS, Tompkins County, the Tompkins County Town Clerks Association, and the Tompkins County SPCA are working to create a Tompkins County Spay/Neuter Program, now therefore be it RESOLVED, that the Town Board of the Town of Enfield hereby authorizes the Town Clerk to hold the December dog money and future funds that would normally be paid to Tompkins County to be forwarded to the Tompk ins County Spay/Neuter Program upon its creation and commencement. Supervisor Barriere moved, with a second by Councilperson Teeter to adopt Resolution #2011-18. Vote: Councilperson Clark aye, Councilperson Hern aye, Councilperson Teeter aye, Supervisor Barriere aye. Carried. Audit Date All in attendance agreed to set January 19, 2011 at 5:00 p.m. at the Town Hall for the annual audit meeting. New Copier for Town Hall Councilperson Teeter moved for the Town Board to authorize the Town Clerk to purchase a Xerox 3550 copier from Eastern Copy Products and authorize the purchase of an annual service contract. Supervisor Barriere seconded the motion. Vote: Councilperson Clark aye, Councilperson Hern aye, Councilperson Teeter aye, Supervisor Barriere aye. Carried. Resignation of Stephanie Gaynor Supervisor Barriere read the resignation letter of Councilperson Stephanie Gaynor, effective January 4, 2011. Enfield Town Board Meeting, January 5, 2011 12 Filling Town Board Vacancy Supervisor Barriere spoke with Jean Owens about the vacancy, and she would be willing to serve for another year if the town board wishes to have her. Supervisor Barriere feels she would be an excellent candidate. Councilperson Teeter moved to fill the vacancy with Jean Owens. Councilperson Clark seconded the motion. Discussion: Councilperson Hern agrees that Jean has been very helpful during the past year, but he felt the position should be opened to anyone else who might be interested in serving, the way that we did a year ago. It would be a little less expedient, but he feels it would be a better method. Supervisor Barriere expressed his concern regarding the risk that during the time it would take to go through the process, if anything happens to any other member, any decision made would have to be unanimous. The other issue is Jean has been on board for the last year, she knows what’s going on, she knows the town business very well. Even if we did have other candidates interested, she is already an excellent candidate. Councilperson Teeter mentioned that she and Councilperson Hern attended many board meetings before being elected, but they are still rather new to the job. Although Councilperson Clark has been involved in the town for years, he is also new to the job. She doesn’t believe we could find another candidate that would bring the experience that Jean would bring. Announcements Better Housing for Tompkins County has been awarded $300,000 to rehabilitate si ngle- family homes in rural Tompkins County. Supervisor Barriere asked board members to spread the word about these funds. Tompkins County Youth Services Department has a new leader – Amie Hendrix. There will be a welcoming party on January 13, 2011 from 2 – 4:30 p.m. at the Human Services Building. Keith Smith’s letter of resignation from the Enfield Planning Board was received. Supervisor Barriere will be looking for training opportunities for board members. Councilperson Teeter reported that Dan Klein, Tompkins County Community Beautification Coordinator, has asked to be placed on the March 10 agenda. He would like to compliment Enfield on the nice job they did last year. Deferred Compensation Councilperson Teeter has nothing new to report at this time.
