I. Call to Order
Chairperson Rosario called the meeting to order at 8:33 A.M.
II. Agenda Additions/Deletions
Cummings asked if the Committee could discuss the negative impacts on Cherry Street businesses of
recent activities associated with the nearby homeless encampment. No objections were raised.
III. Verbal/Written Public Comments
None.
IV. Review of Meeting Minutes: October 20, 2020
Cummings moved, seconded by Schlather, to approve the meeting minutes, with no modifications.

V. New Business
A. Independent Contractor Services
Bohn explained this is the final year of a series of renewed agreements, after which a new RFP will
need to be issued.

1. Legal Services
GELDENHUYS
Bohn noted the IURA is highly satisfied with Geldenhuys’ performance.
Cummings indicated she will be voting against the resolution, because of her concerns with a couple
of property‐transfer transactions associated with prior projects, which Geldenhuys was involved with.
She also wondered what process the IURA should follow in the future when an attorney retires, as is
the case with Richard Ruswick, in order to cultivate new talent. Bohn replied the IURA can search for
new attorneys at any time, or it could simply wait until the next RFP is issued.

2021 Procurement of Independent Legal Services: Geldenhuys
WHEREAS, the contract for independent legal services with Mariette Geldenhuys, Attorney‐at‐
Law (Geldenhuys) expires on February 28, 2021, and
WHEREAS, in accordance with IURA procurement policy and regulations contained in 24 CFR
§85.36, the IURA selected Geldenhuys through a Request for Proposals (RFP) selection process in
2019, and
WHEREAS, per applicable procurement regulations, a contractor selected through an initial
competitive selection process may be renewed for up to two additional one‐year terms without
undertaking a new competitive selection process, and
WHEREAS, a proposed 2021 contract would constitute the second one‐year extension of the base
independent consultant contract, and
WHEREAS, Geldenhuys submitted a proposal on January 5, 2021 to continue providing legal
services to the IURA at a maximum billing rate of $230 per hour, a 2.2% increase from the current
contract rate of $225 per hour, and
WHEREAS, the IURA staff is highly satisfied with the quality of legal services provided by
Geldenhuys, and
WHEREAS, the 2021 IURA budget recommended a total authorized contract amount of $12,000
for legal services; now, therefore, be it
RESOLVED, that IURA Chair is hereby authorized, upon review of IURA legal counsel, to execute a
contract extension for independent contractor legal services with Mariette Geldenhuys, Attorney
and Mediator, at a maximum hourly rate of $230 per hour with the total amount not to exceed
$12,000, and be it further

RESOLVED, that the source of such funds for legal services shall be derived from a variety of
funding sources, including but not limited to CDBG and HOME funds, and expenses shall be billed
to the appropriate source of funds for which the services were performed.

SULIMOWICZ
Bohn noted the IURA has additional funds budgeted for legal services in anticipation of legal work on
a low‐income housing tax credit project. Richard Ruswick (Levene, Gouldin, & Thompson, LLP) has
historically been the IURA’s expert on Low‐Income Housing Tax Credits (LIHTC). The Founders Way
LIHTC project (on the former Immaculate Conception School site) will be closing in the Spring.
Ruswick also has experience with bankruptcy issues. Sulimowicz, however, has been gradually
performing more work on these kinds of projects. Bohn asked Ithaca Neighborhood Housing Services
(INHS) if it has a preference of attorneys for future LIHTC projects, since it pays all those legal fees.
INHS responded it would like to work with someone who could cultivate a skill‐set and expressed
willingness to work with Sulimowicz. As a result, Bohn suggested increasing Sulimowicz’s funding
amount from $6,000 to $10,000 in the proposed resolution, to accommodate the increased workload,
while reducing the Levene, Gouldin, & Thompson, LLP amount from $10,000 to $6,000. No objections
were raised.

WHEREAS, the contract for independent legal services with the Sharon M. Sulimowicz Attorney‐at‐
Law (Sulimowicz) expires on February 28, 2021, and
WHEREAS, in accordance with IURA procurement policy and regulations contained in 24 CFR
§85.36, the IURA selected Sulimowicz through a Request for Proposals (RFP) selection process in
2019, and
WHEREAS, per applicable procurement regulations, a contractor selected through an initial
competitive selection process may be renewed for up to two additional one‐year terms without
undertaking a new competitive selection process, and
WHEREAS, a proposed 2021 contract would constitute the second one‐year extension of the base
independent consultant contract, and
WHEREAS, Sulimowicz submitted a proposal on January 8, 2021 to continue providing legal
services to the IURA at a maximum billing rate of $175 per hour, a 0% increase from the
current contract rate, and

WHEREAS, the IURA staff is highly satisfied with the quality of legal services provided by
Sulimowicz, and
WHEREAS, the 2021 IURA budget recommended a total authorized contract amount of $6,000 for
legal services; now, therefore, be it
RESOLVED, the IURA Chair is hereby authorized, upon review of IURA legal counsel, to execute a
contract extension for independent contractor legal services with Sharon M. Sulimowicz, Attorney‐
at‐Law, at a maximum hourly rate of $175 per hour with the total amount not to exceed $10,000,
and be it further
RESOLVED, that the source of such funds for legal services shall be derived from a variety of

LEVENE GOULDIN & THOMPSON, LLP
Bohn noted, as discussed earlier, he recommends amending the proposed resolution from $10,000 to
$6,000. No objections were raised.
Bohn noted it would be an interesting opportunity to work with Heather Cornell to determine if she
would be a good fit for the IURA.
Cummings expressed concern with the out‐of‐area nature of Ms. Cornell, since she believes local
familiarity is important.
Schlather agreed she would personally prefer an attorney living and/or working in the Ithaca area.
Rosario agreed, although, since the issue was not addressed in the original RFP, it could be addressed
in the next RFP.
Bohn noted he would not expect there to be a heavy workload for Levene Gouldin & Thompson, LLP,
since it will no longer be working on LIHTC projects.
Whitmore remarked he understands the preference for a local attorney. On the other hand, there are
some benefits to using a non‐local attorney for a fresh outside perspective.
Cummings noted she would like the full IURA Board to discuss the issue, given its commitment to
supporting the local economy.
Rosario asked if the IURA could ask Ruswick to recommend a local attorney. Bohn replied, yes.

Cummings indicated she would like to see language in the resolution reflecting the substance of the
Committee’s discussion today and the process for cultivating new (preferably local) legal consulting
services. She would not be prepared to vote on the resolution in its current form.
Rosario recommended moving the resolution as it is and then discuss the possibility of inserting
additional language, as suggested by Cummings. His personal preference would be to address the whole
issue when the next RFP is generated. Schlather agreed.

(LG&T) for services of Richard Ruswick expires on February 28, 2021, and
WHEREAS, in accordance with IURA procurement policy and regulations contained in 24 CFR
§85.36, the IURA selected Ruswick through a Request for Proposals (RFP) selection process in
2019, and
WHEREAS, per applicable procurement regulations, a contractor selected through an initial
competitive selection process may be renewed for up to two additional one‐year terms without
undertaking a new competitive selection process, and
WHEREAS, a proposed 2021 contract would constitute the second one‐year extension of the base
independent consultant contract, and
WHEREAS, LG&T submitted a proposal on January 12, 2021 to continue providing legal
services to the IURA at a maximum billing rate of $215 per hour, a 2.4% increase from the
current contract rate, and
WHEREAS, Richard Ruswick has announced his planned retirement in May 2021 and proposes
that Heather Cornell in the firm assume his assignments, and
WHEREAS, the IURA staff is highly satisfied with the quality of legal services provided by LG&T,
which have focused on IURA funding agreements for Low‐Income Housing Tax Credits (LIHTC)
projects, and
WHEREAS, the 2021 IURA budget recommended a total authorized contract amount of $10,000
for legal services in 2021; now, therefore, be it
RESOLVED, the IURA Chair is hereby authorized, upon review of IURA legal counsel, to execute a
contract extension for independent contractor legal services with Levene, Gouldin, & Thompson,
LLP, at a maximum hourly rate of $215 per hour with the total amount not to exceed $6,000, and

2. Community Development/Loan Underwriting Services
Bohn explained that Sicherman has worked with the IURA for many years and the IURA is highly
satisfied with his services. The vast majority of the services the Sicherman company provides the
IURA are loan underwriting services. It is very difficult to find qualified consultants with expertise in
both Federal/HUD regulations and loan underwriting.

2021 Procurement of Community Development Consulting Services: Sicherman
WHEREAS, the contract for existing community development consulting services expired on
February 28, 2021, and
WHEREAS, in accordance with IURA procurement policy and regulations contained in 2 CFR Part
200 for procurement of professional services, the IURA issued a Request for Proposals (RFP) for
community development consulting services in 2019, and
WHEREAS, the RFP authorized annual extensions of up to three years for selected consultants,
and
WHEREAS, H. Sicherman/The Harrison Studio was selected to provide community development
consulting services, and
WHEREAS, the 2021 IURA budget authorized up to $10,000 for community development
consulting services, including loan underwriting, and
WHEREAS, H. Sicherman has expressed interest for a 2021 extension of their independent
contractor agreement at the following hourly rates:
H. Sicherman: $185/hour
E. Krause: $145/hour, and
WHEREAS, the 2021 hourly salary rates remain unchanged from 2020, and
WHEREAS, at its January 15, 2021 meeting, the Governance Committee reviewed this matter and
recommends the following; now, therefore, be it

RESOLVED, the IURA Chair is hereby authorized, upon review of IURA legal counsel, to execute
independent contractor agreements for community development consulting to H. Sicherman/The
Harrison Studio for up to $10,000, and be it further,
RESOLVED, that the source of such funds for legal services shall be derived from a variety of
funding sources, including but not limited to CDBG and HOME funds, and expenses shall be billed
to the appropriate source of funds for which the services were performed.

B. Anti‐Displacement Learning Network (ADLN)/Mayors for a Guaranteed Income (MGI) ― Report
Bohn reported that $500,000 from Mayors for a Guaranteed Income (MGI) will supplement the ADLN
program, which may present an opportunity for additional revenue to the IURA. The Human Services
Coalition of Tompkins County will administer the ADLM grant.
Cummings asked if the program would include pre‐eviction services (e.g., long‐term financial
planning), like homeowner counseling, but for renters. Schlather replied it is difficult to identify
households in need, prior to eviction proceedings. The stakeholders are also still working on
developing the program’s final structure and determining how best to target it for people most in
need. Many moving parts need to be finalized.
C. 2020 IURA/Planning Department Accomplishments Report & 2021 Work Plan ― Discussion
Bohn explained that the report illustrates the interrelated work of the Planning Department and IURA.
There has been a clear upward trend in the supply of housing units, especially rental units. Bohn
presented a brief overview of the report, including the following excerpts:

VI. Other Business
A. Review of IURA Financials: November 2020
Bohn reported all HUD Entitlement Program projects are progressing well. The IURA extended the
deadline for completion of PY2019‐20 projects, due to COVID‐19‐related delays. All loan repayments
are current as of today, except Finger Lakes School of Massage. All lease payments are current as of
today.
B. Jungle Encampment
Cummings remarked it has been very difficult on Cherry Street to adjust to recent activities of some
residents of the Jungle’s homeless encampment (e.g., fire, personal altercations on the street, pallets
abandoned on the pavement). The IURA’s own property is fairly cluttered with abandoned shopping
carts, old mattresses, trash, graffiti, etc. She would like the IURA to keep the area as tidy and
unobstructed as possible. The greater problem is the prevalence of violent incidents, generally poor
living conditions, theft, and belligerence.
Bohn noted the City has adopted a harm‐reduction model in how it approaches the issue, but it will be
posting notices at/near the encampment that prohibit those residents from the Cherry Street side of
the rail tracks, beginning April 1, 2021.
