Green Street Ithaca, NY 14850 Dear Ms. Paolangeli: This will advise you that on June 30, 1992 Time Warner Entertainment Company, L. P. ("TWE") assumed the cable television franchise in accord with the agreement and arrangements which were described toTou in previous correspondence. Subject to applicable law, TWE has now assumed all rights and obligations of the franchise and will abide by the terms and conditions thereof. As we have previously advised, the transfer of the franchise to TWE will result in no change in the control, management, personnel, policies or operations of our cable system. Under our contract, we are required to do system maintenance (not emergency work) at hours which disturb the least number of viewers. Usually such work is performed at some time between midnight and 6:00 am. The City's noise ordinance prohibits us from working during those hours even if we provide prior notice. This means that the required maintenance will most likely be done between the hours of 7:30am and noon - not necessarily hours of minimal television viewing. Can you assist us in getting a waiver of this ordinance, provide an amendment to the franchise to change the wording of section 11.2 and/or issue a joint statement to our customers to let them know that a City ordinance is responsible for establishing the hours when maintenance interruptions can occur. I do not think it is appropriate that American Community Cablevision receive blame and or a tarnished image as a result of our compliance with the City's ordinance. We discussed this briefly at our second to last meeting, and I had promised to send you the form for use by the City of Ithaca. It is assumed that a copy of this form, when completed, will be forwarded to ACC to be implemented. The applicant must, of course, be a cable subscriber, with the service in his/her name and at his/her primary residence. It is not intended that this discount be made available to absentee landlords or to relatives of the applicant. Please let me know if you have any questions. Effective immediately, Raymond H. McCabe is the General Manager of ACC. Ray, who has been a colleague of mine for a dozen years, will bring 20 years of experience in cable construction as well as cable system management. He currently isthe generalmanager of a Time Warner Cable system in the eastern suburbs of Pittsburgh, Pennsylvania. Ray joined the cable industry in 1973 with the cable construction firm of Burnup and Sims, and he joined ATC in 1979. Following management positions with the ATC Construction Division in Kansas City, Indianapolis and Austin, TX, he directed operations and system management for six years in Pennsylvania. In closing, let me say that I am pleased to have had an opportunity to serve as General Manager of American Community Cablevision. I have enjoyed the diversity of the people and Ithaca's scenic beauty (gray skies and cold notwithstanding).
