State Street Ithaca, NY 14850 Dear Tom: We have received the latest proposal from TW from the last meeting between the Company and representatives of the Consortium. This letter is to make certain that both sides understand the access proposal. We understand the proposal which is attached is based on the number of subscribers in the Consortium as of January 8, 2001. The column entitled"2000 Franchise Fees Paid"is the actual money paid to the communities by TW in the year 2000 and the column next to it is the amount that would be paid were the franchise fee to increase to five percent (5%). The column on the spreadsheet entitled"PEG OPS Costs Allocation"results in the figure of$155,794 which the note to the column states is the annual employee cost at current staff levels. We understand this figure reflects the total amount of annual employee costs that TW is proposing the Consortium subscribers will be responsible for at current staff levels. The column entitled"Amount Required by Municipality" is the amount needed to fund access combined with the current franchise fee revenue. The "Additional Fee Minus PEG"column is the amount the municipalities would receive with a five percent (5%) franchise fee less the amount required to fund access which results in positive numbers except for the City of Ithaca. The first of the final two columns is the calculation based on the"Additional Fee Minus PEG" column divided by the number of subscribers in each community. We have a few questions regarding the above. First, are there any other direct or indirect employee-related costs that the Consortium members would be responsible for in the PEG operation? Second, we note on page 90 of the proposal dated November 17, 1999 (attached) in answer to question six, PEGASYS personnel expenses including salaries and benefits are estimated at $118,664 for year 3 (2001). This is $37,000 less than the current proposal. Would you please explain this large difference. It is our assumption that all other costs would be covered by Time Warner. Time Warner Cable proposes to continue to provide staff technical support at the same level that is presently being provided with the cost thereof supported by franchise fees in accordance with federal law. 5. Indicate the level of funding that will be committed for the initial equipment and replacement of equipment for PEG access programming for each year of the projected ten years. As outlined in response to Question I above, Time Warner Cable proposes to replace and upgrade PEG access equipment on an as needed basis throughout the term of the franchise. Accordingly, it is not possible at this time to project actual cost in any given year. 6. Indicate the level of funding for staff support that will be committed for PEG access services for each year of the projected ten years. The following is the projected PEGASYS personnel expenses including salaries and benefits. To the extent that funding for staff support is a franchise fee under federal law, Time Warner Cable reserves the right to offset such costs against the franchise fee. With respect to your first question, in accordance with federal law, all PEG staff and operating costs will be paid for from Consortium franchise fees. These costs would include salaries and any other wages, benefits, training, travel, uniforms, recruiting etc.. Any costs associated with personnel or PEG operations. Regarding the RFRP, our projections on page 90 of our response were based on less staff support than the amount included in our recent proposal. We believe the facility could be operated to fulfill community needs with less staff, however, we based our January 24 proposal on current staffing. As we have mentioned during negotiations the level of staff support is dependent on the service the Consortium desires to provide to their communities. Recognizing that in the past staffing has not been the responsibility of the franchising authorities, we are open to discussing options and solutions for staffing and believe the range provided in our informal proposal and in the RFRP provide a benchmark for the Consortium to consider for funding. During the course of the past year the focus and scope of the fiber optics based I-net has changed considerably as the technical leadership and networking requirements of the various participants have also changed. As Director of the Tompkins County Information Technology Services Department (ITS), I have been reluctant to provide specific financial commitments to this project, or provide any project information to the members of the Tompkins County Board of Representatives, until the major proposed components of the project are finalized. It now appears that at this stage of the negotiations the primary configuration of the proposed fiber optics loop and various extensions have been agreed upon by the remaining parties participating in the process. Tompkins County sites currently proposed for fiber drops include the Downtown Complex(Annex C), Old Library, Mental Health, Tompkins County Library, Human Services Building, Department of Motor Vehicles, Public Health, and Public Safety. Decisions leading to the inclusion of County sites on this list were based on location (proximity to other proposed drops), estimated cost, application needs, and public ownership versus leased office space. As an example, the Public Works and Solid Waste sites were not included since these locations are not located within close proximity to other public facilities proposed for the fiber I-net. Therefore, the cost for extending the network to these sites would be the sole burden of the County and would not likely be justifiable from a cost-benefit perspective. The County's participation in the fiber I-net project can be separated into three general categories of proposed use. They include an expandable data network, the ability to network the County's primary I` I Jenniftr Kusznir-timewarn.doc Page 2 telephone switches (therefore eliminate local toll calls between these County facilities), and the ability to implement full motion, two way video between the Court House and Public Safety for video arraignment purposes. The project may also allow for the access of independent networks between the County, the City of Ithaca, BOCES, various local school districts, and other local municipalities for the purposes of sharing data and deploying applications. Currently, the Tompkins County ITS Department is committed to reserving $100,000 for the I-Net from the existing Geographic Information Systems(GIS)capital program for the purpose of deploying the bandwidth intensive GIS applications to the numerous county locations. Steve Whicher, the County Administrator, supports the use of allocated GIS capital funds for the implementation of this project. In addition, an alternative source of County funding may include a proposed new Capital Program that has been presented to the Board of Representatives in the last two years, but never acted upon due to the uncertainty of the outcome of the Time Warner negotiations. Attached is a copy of this Capital project proposal. Please be aware that funds for this proposed capital project are not currently available and would require a complete review within a future Tompkins County budgetary process. Also, the estimated project costs and funding sources detailed in this capital project request were generalized at the time of submittal (8/00), and will require more specificity if this capital program is submitted during the County's 2002 budget process. The major objective of this program is to implement a high-speed fiber optic communication network to expand capacity,improve reliability and performance,and to meet current and future technology needs.It has become increasingly apparent that the County's current WAN interconnections will create a bottleneck for future computing as the Criminal Information System(CIS-Net),Geographic Information Systems(GIS),and Assessment and County Clerk document imaging applications are deployed to their anticipated extent.The future WAN will require improved performance levels in order to adequately handle these multiple applications. In addition,the equipment installed in the recent telephone upgrade project includes the capability to network the County's numerous telephone switches with the proposed Fiber Optics technology. This would allow greater flexibility for maintenance activities and the procurement of telecommunication services,and the elimination of local Bell Atlantic fees between networked County facilities. Further refinement of the project scope will be required with the possibility of expanding the capital program based on the outcome of a proposed planning and needs assessment phase scheduled for the fall of 2000. The planning phase of this project will include participation from various community affiliates and members of the Partnership of Electronic Future(PEF),specifically the City of Ithaca,Ithaca City School District,and BOCES. Regional computer based network issues have also been raised as a primary concern for the Ithaca City School District,the City of Ithaca and other PEF members. Some members of these affiliates continue to rely on the existing Time-Warner INET co-axial infrastructure,but for numerous technical and maintenance reasons have identified the need to migrate off of the current INET plant. There is concern,along with possible opportunities,which have been raised during the current Time Warner franchise negotiations. It is anticipated that a community based fiber network will be incorporated as a topic in the franchise negotiations with the purpose of replacing and expanding the current INET plant. The overall costs and possible affiliate matching contributions for such a complex project have not been identified in detail.These discussions are ongoing and may take an additional year to fully resolve and to formalize a final project budget. To: Ithaca Area Cable Consortium Members Date: Monday, April 02,2001 Subject: Time Warner RFRP Response The Ithaca area current cable operator, Time Warner Entertainment Company, L.P., is seeking a renewal of its cable television franchise. The consortium has been negotiating informally with the company for some time. The informal process stopped and formal negotiations began as of March V. The procedures for the formal negotiations require that the public be.given an opportunity to review the request for renewal proposal prior to the public hearings. Our records indicate that all of the municipalities within the Consortium were sent copies of the Time Warner formal RFRP response in November of 1999. Unfortunately, the city was not given extra copies of the response by Time Warner, therefore we have no copies available for distribution to the consortium members. If a municipality is in need of a new copy, they can either contact Time Warner and request a new copy or they can request a copy from the City of Ithaca Planning Department. If any are requested, we will have the response copied commercially. Since the city does not have a budget allocation for this expense, the municipality receiving the copies will have to cover the cost of reproduction. Generally this process takes a minimum of 24 hours. If you do not want to purchase a copy of the document, a copy is available for viewing in the City Clerk's office. Technical Issues • State-of-the-Art—TWC will draft language that addresses in the event of a sale to an unrelated company. • Manuals—TWC will comply with Bell Core Blue Book Manual of Construction Procedures. • Interconnection—TWC will provide language providing for ability to interconnect TO to the Cortland system. TWC will provide 2 design options (direct from TO to Cortland or via Ithaca State Street headend). Interconnection will be funded by Consortium. • Local Emergency Alert- TWC will allow a broadcast triggered by designated positions within designated municipalities. Institutional Network • Network Funding—(See attached spreadsheets) • Time Table Downtown Net—Will be constructed after TWC receives 50% of the total cost to build and will construct the network as quickly as possible. Long Distance Sites- I-Net connections to 5 sites (Trumansburg Town Hall, Lansing Town Hall, Groton Town Hall, Caroline Town Hall and TC3) will be constructed at the same time as the entire network at TWC's expense. Additional Fiber—Will be added and funded at Consortium's expense. Interconnection with Subscriber Network—TWC will allow interconnection with subscriber network for approved I-Net training purposes to agreed upon government locations. Any associated cost including equipment would be funded by Consortium. Network Expansion of I-Net - Will have ability to expand for approved(Gov't/Ed) locations. Expansion will be funded by Consortium. At Cost of Participating Institutions—TWC to provide construction at cost to add additional I-Net sites. Network Use—TWC will provide language. School Origination—TWC will maintain overall origination capability utilizing coax I-Net for existing public schools, currently originating programming on the coax I- Net. Access • Equipment and Facilities— Equipment $600,000* Funds to be provided through pass through: $600,000 *To include fiber equipment to allow modulation from TC3 and any capital improvement to PEG studio. • Studio Proposal - TWC will be flexible and willing to work within existing studio space. Consortium will be responsible for payment of any renovation of such area. • Repair—TWC agrees to reasonable and timely repairs of studio equipment throughout the reasonable useful life of equipment. • Studio Access Services—TWC agrees to modify studio schedule to accommodate additional/different hours of availability with existing staffing. Time Warner agrees to fund in-direct costs of PEG Access including: existing building space,taxes, light, heat and power related thereto and overhead related thereto. Consortium will fund all direct personnel costs of PEG Access. • Training—TWC agrees to recognize TC3 as an approved training site. • Government Meeting Coverage -TWC agrees to continue coverage of City meetings and others throughout the Consortium as possible within staffing limits. ••- Channels_TWC agrees to allocate 5 analog and 1 digital channel for the purpose of PEG Access, providing the cost to activate the digital channel is borne entirely by the Consortium. • Closed Circuit Programming—TWC will provide closed circuit programming at cost on an existing PEG channel. Description of Business The Syracuse Division of Time Warner Entertainment-Advance/Newhouse Partnership (TWE-A/N ),doing business as Time Warner Cable(the Division),is principally engaged in the cable television business. Such operations consist primarily of selling video programming which is distributed to subscribers for a monthly fee through a network of coaxial cables and fiber optics. The Division operates in the City of Ithaca,New York, and contiguous areas under non-exclusive franchise agreements which were in effect until 1999 (the System). Effective April 1, 1995,Time Warner Entertainment Company, L.P. (TWE), an affiliate of Time Warner Inc. (Time Warner), formed TWE-A/N, a general partnership, with Advance/Newhouse Partnership(Advance/Newhouse). The TWE and Advance/Newhouse interests in TWE-A/N are 66.67% and 33.33%,respectively. The majority of the assets of the Division were contributed to TWE-A/N,which is managed by,and an affiliate of TWE. The System has no separate legal status or existence. The System's resources and existence are at the disposal of TWE-A/N management,subject to contractual commitments by TWE- A/N to perform certain long-term contracts within the present divisional structure. The System's assets are legally available for the satisfaction of debts of TWE-A/N, not solely those appearing in the accompanying statements; and its debts may result in claims against assets not appearing therein. The Division is one of several divisions of TWE-A/N and transactions and the terms thereof may be arranged by and among members of the affiliated group. 2. Amortization of these costs is provided on the straight-line basis over periods of up to thirty-six years. Charge Equivalent to Income Taxes The Division is included in the TWE-A/N Federal Partnership Return of Income. In accordance with the TWE-A/N partnership agreement, cash distributions by TWE-A/N generally are required to be made to the partners to permit them to pay taxes. Statement of Cash Flows For purposes of this statement, cash includes all highly liquid investments purchased with original maturities of three months or less. 3. Related Party Transactions Interest charged to the System by TWE-A/N was computed by allocating the interest calculated on TWE-A/N's outstanding borrowings by the proportion of the System's average net assets to TWE-A/N's average net assets. During the year ended June 30, 2001,interest was charged at an average rate of 6.00%and aggregated $245,128. The statement of revenues and expenses and changes in net assets includes charges for programming and promotional services provided by Home Box Office and other affiliates of TWE-A/N. These charges are based upon customary rates. 4. Leases Rental expenses for all operating leases,principally pole attachment fees,for the year ended June 30,2001,amounted to $132,071. Total pension cost for the year ended June 30, 2001, was $78,811. The System also participates in a defined contribution plan maintained by TWE(The Time Warner Cable Savings Plan- Savings Plan)which covers substantially all employees. The System's contributions to the Savings Plan can amount to up to 6.67% of the employee's eligible compensation during the plan year.
