Dear Village of Cayuga Heights, Board of Trustees:
The Village of Cayuga Heights has acknowledged that through on-going preliminary planning
initiartives, there is an opportunity to address several items pertaimng to pedestrian improvements
to Kline Road (from Hanshaw Road to Wyckoff Road), WyckoffRoad (from Kline Road to
Lake.view Cemetery) and Cayuga Heights Road (from Devon Road to northern Village
houndary). In anticipation of future funding program opportunities, the Village has requested
proposals for technical assistance with planning and preliminary design documents that could
support the submission of future grant applications.
Project items Barton and Loguidice, D.P.C (B&L) proposes to assist the Village of Cayuga
Heiglrts with to improve the safety and functionality ofpedestrians and bicyclists along these
corri<lors, include, but are not limited to the following:
o Pedestrian, bicycle, and shared-use pathway facilities that meet the latest AASHTO and
NACTO design guidance;
o Crosswalk improvements including pavement design, markings, signage, and lighting
options;
o Functional landscape buffers to reinforce desired pedestrian circulation patterns;
o Traffic calming measures to reduce conflicts between travel modes (vehicles, pedestrians,
bicyclists);
. ADA compliance for allpedestrian improvements;
. Applications of Green Infrastructure to enhance storm water management and urban
ecology;
We are pleased to submit the following scope of services to assess the feasibility of incorporating
multi-modal elements and improve thre overall safety, sustainability, and functionality of these
c orridors for pedestrians.

TASK 1: Pnomcr INrrrATroN
Tqsk Ia: Project Initiation Meeting (l)
B&L will attend a project 'kick-off'meeting to meet with Village and project representatives
prior to developing the initial design concepts. The meeting will allow the consultant team to
review and discuss the primary issues of the three corridors, establish communication and
coordination protocols, exchange ideas, and build a consensus on initial direction of the proposed
design. The purpose ofthe meeting will be to: (a) confirm ttre pedestrian improvement work
program and elements to be included; (b) review and establish all roles and responsibilities of the
design team and key project personnel from the Village, and possibly Cornell University; arrd,
(c) establish and final:u;e the short term project schedule for project deliverables and next steps.
Task lb: Project Base Information & Reconnaissance
The design team will review any existing survey information or readily available base mappring
and confirm specific elements such as circulation pafferns, intersection geometry, utiHties arrd
infrastructure, pavement \Midths, edge conditions and materials, embankments, and streetscape
signage and elements.

Task 2a: Preliminary Concept Design Plan
Based on input obtained from the kick-off meeting, a site walkover, and other readily available
documentation, B&L will develop up to two (2) alternative concept designs to approximately
50% completion to convey overall intent, locations of proposed features, pedestrian
improvement solutions, hardscape materials, and cross sections. The plans will be at appropriate
scales to convey the intent of the pedestrian improvements, and provided at full size on 22" x34"
(ANSI D) sheets (half scale atll" x17").
Task 2b: Probable Cost Estirnate of Preliminary Concept Plans
As part of this task, B&L will prepare a Preliminary Estimate ofProbable Construction Costs
related to the proposed concept designs, including, but not limited to new roadway elements
including crosswalk improvements, pedestrian and bicycle facilities, and any proposed lighting
and signage elements thatmay be part of the initial design program
Task 2c: Progress Meetings (2)
B&L proposed to facilitate two (2) progress meetings with Village and project representatives to
review the preliminary design, probable costs estimates and associated information. B&n will
prepare for, facilitate, and record all meetings and provide documentation to the Village. OnLe
meeting will be held at the conclusion of this task to ensure concurrence with the proposed
design prior to finalizrng the proposed deliverables.

Task 3a: Final Concept Design Plans
Subsequent to completing this task, all comments, suggestions, coordination and revisions will
be inr:orporated into the plans and cross sections, and B&L will prepare a final set of concept
plans that can be used to garner public support in anticipation of future funding opportunities.
llhe linal concept design plans will include all pertinent and necessary preliminary design
infonnation to be included in future funding applications.
Task 3b: Probable Cost Estimate of Final Concept Design Plans
B&L will prepare a Final Estimate of Probable Construction Costs related to the final concept
design plans, and will provide the Village with a complete project engineers estimate. The
estimates will be a line item estimate based on recent or current tabulations of similar work
scopes and may be broken out into phases or individual projects, based on direction received
from the Village during Task 2.
ASSUMPTIONS
o Conceptual design plans will be developed using readily available aerial imagery as the
base map.
o No topographic survey information for the corridors is available.
o Final concept design plans will be provided in both hard copy format and digital versions
to be incorporated into Village web documents, if desired.
o Specifications will not be provided for proposed design elements at this time.
o Any proposed Green Infrastructure stormwater collection measures identified for the
corridor, beyond standard and achievable sustainable design methods for drainage
collection, will be documented and presented as a separate proposal for design services.
. Coordination with any Comell Campus Master Plan will be established and handled by
the Village project representatives.

JB&L proposes to assist the Village with the pedestrian planning for the above referenced
roadway corridors, and provide the noted scope of services to add the desired pedestrian
improvements to the overall project.

The cost for completing the above Scope of Work is not to exceed the amount of Twelve
Thousand and Eight Hundred Dollars ($12,800). The scope of work is expected to be complleted
within four (4) weeks from the date of an executed agreement with the Village of Cayrga
Heights and notice to proceed.

'.the OWNER and the ENGINEER, for themselves, their successors and
zssigns, have mutually agreed and do agree with each other as follows;
1,0 Basic Agreement
Iingineer shall provide, or cause to be provided, the services set forth in the
proposal to whichL these terms and conditions are attached (PROPOSAL),
md Owner shall pay Engineer for such Services as set forth in PROPOSAL.
'fhe PROPOSAL, in conjunction with these terms and conditions, is referred
to herein as "Agreement'.
2.0 Paynent Procedures
lingineer will prepare a monthly invoice in accordance with Engineer's
standard invoicing practices and submit the invoice to Owner. Invoices are
due ard payable within 30 days of the date of ihe invoice. If Owner fails to
tnake any payment due Engineer for services and exlrnses within 30 days
after the date of Engineer's invoice, the amormts due Engineer will be
increased at the rirte of. l.O% per month (or the maximum rate of interest
pennitted by law, if less) Iiom said thirtieth day. In addition, Engineer
rnay, without liability, after giving seven days written notice to Owner,
suspend services rurder this Agreement until Engineer has been paid in full
all amounts due for services, expenses, and other related charges.
:J.0 Additimal Services
If mutually agreed by Owner and Engineer, or if required because of
r:hanges in the Prrrject, Engineer shall furnish services in addifion to those
set forth in the PROPCISAL if requested by the Owner. Owner shall pay
Iingioeer for such additional services as follows: (1) as mutually agreed by
Owler and Engineer, or (2) an amount equal to the cumulative hours
charged to the Prodect by each class of Engineer's employees times standard
Itourly rates for each applicable billing class; plus reimbursable expenses and
lingineer's consultants' charges, if any.
4.0 Tennination
lf Engineer's services lrelated to the project are terminated for any reason,
lingineer shall be compensated for time plus reasonable expenses associated
with demobilizing persoruel and equipment, and, if requested in writing by
the OWNER, for completion of tasks whose value would otheru/ise be lost,
to prepare notes arr to the status of completed and uncompleted tasks, and to
assemble Project noaterials in orderly files.
5.0 Controlling Law
ilhis Agreement is to be govemd by the law of the state in which the
Ilroject is located.
6.0 Suu:essors, Assip.s, and Beneficiaries
Owner and Engineer each is hereby bound and the partners, successors,
executors, adminititrators, and legal representatives of Owner and Engineer
(and to the extent permitted herein the assigns of Owner and Engineer) are
hereby bound to the other party to this Agreement and to the partners,
successors, executors, administrators, and legal representatives (and said
assigns) of such other party, itr reryect of all covenants, agreements, and
obligations of thiri Agreement. Neither Owner nor Engineer may assign,
sublet, or transfer any rights under or interest but without
limitation, moneyrr that are due or may become due) in this Agroement
rvithout the written consent of the other, exiept to the extent that any
assignment, subletting, or fansfer is mandated or restricted by law. Unless
specifically stated to the contrary in any writfen consent to an assignment, no
assignment will ,release or discharge the assignor ftom any duty or
rcsponsibility rnder this Agreemenl.
1.0 GeneralConside,rations
A. The stztrdard of care for all professional engineering and related
services performal or furnished by Engineer under this Agreement will be
the care and skill ordinarily used by members of the subject profession
practicing under similar circumstances at the same time and in the same
locality. Engineer makes no warranties, express or implied, under this
Agreement or otherwise, in connection with Engineer's services. Engineer
and its consultants may use or rely upon the design services of others,
including, but not limited to, contractors, menrrfacturers, and suppliers.
B. Engrineer shall not at any time supewise, direct, or bave control over
amy conftactor's work, nor shall Engineer have authority over or
responsibility for tb means, methods, tecbniques, sequences, or procedures
of construction selected or used by any contractor, for safety precautions and
programs incident to a contractor's work progress, nor for any failure of any
contractor to comolv with laws and resulations aoolicable to conhactor's

work in accordance with the contract between Owner and such contractor.
D. Engineer shall not be responsible for the acts or omissions of any
Contractor, Subcontractor, or Supplier, or of any of their agents or
employees or of any other persons (except Engineer's own agents,
employees, and ConsultaDts) at the Site or otherwise furnishing or
performing any Work; or for any decision made regarding the Contract
Documents, or any application, interpretation, or clarification, of the
Contract Documents, other than those made by Engineer.
E. AII design documents prepared or furnished by Engineer are
insfruments of service, and Engineer retains an ownership and propefiy
interest (including the copyright and the dght of reuse) in such documents,
whether or not tlre Project is completed.
F. To the fullest extent p€rmitted by law, Owner and Engineer (1) waive
against each other, and the other's employees, officers, directors, agents,
insurers, partners, and colsultants, any and all claims for or entitlement to
special, ircidental, indirect, or consequential damages arising out of,
resulting from, or in any way related to the Project, and (2) agree that
Engineer's total liability to Owner under this Agreement shall be limited to
$50,000 or the total amount of compensation received by Engineer pursumt
to the PROPOSAL, whichever is greater.
G. The parties acknowledge tbat Engineer's scope of services does not
include any services related to a Hazardous Environmental Condition (the
presence of asbestos, PCBs, petroleum, hazardous substances or waste, and
radioactive maGrials) except as may be specifically defined in the Scope of
Services. If Engineer or any other party encounters a Hazardous
Environmental Condition, Engineer may, at its option and without liability
for consequential or any other damages, susrpend performance of seryices on
the portion of the Project affected thereby until Owner: (i) reains
appropriate specialist consultants or contractors to identify and, as
appropriate, abate, remediate, or remove the Hazardous Environmental
Condition; and (ii) wurrrants that the Site is in full compliance with
applicable Laws and Regulations.
H. The services to be provided by Barton & Loguiclice under this
Agreement DO NOT INCLUDE advice or recommendations with respect to
the issuance, structure, timing, terms or any other aq)ect of municipal
securities, municipal derivatives, guaranteed investment contracls or
investnent shategies. Any opinions, advice, information or
recommendations provided by Barton & l-oguidice are understood by the
parties to this Agreement to be strictly engineering opinions, advice,
information or recommendations. Barton & Loguidice is not a 'municipal
advisor" as defined by 15 U.S.C. 78o4 or the related rules of the Securities
and Exchange Commission. The other parties to this Agreement should
determhe independently whether they require the services of a municipal
advisor.
8.0 Dispute Resolution
Owner and Engineer agree to negotiate all disputes between them in good
faith for a period of 30 days from the date of notice by either party of the
existence of the dispute. If the parties fail to resolve a dispute through
negotiation then Owner and Engineer agree that they shall fust submit any
and all unsettled claims, cormterclaims, disputes, and other matters in
question between them arising out of or relating to this Agreement or the
breach thereof ('Disputes') to mediation by a mutually acceptable mediator.
Owner and Engineer agree to participate in the nrediation process in good
faith and to share the cost of the mediation equally. The process shall be
conducted on a confidential basis, and shall be completed within 120 days.
If such mediation is unsuccessfirl in resolving a Dispute, then (1) the parties
may mutually agree to a dispute resolution of their choice, or (2) either party
may seek to have the Dispute resolvd by a courl of competent jurisdiction.
9.0 Accrual of Claims
All causes of action between the parties to this Agreement including those
pertaining to acts, failures to act, failures to perform in accordance with the
obligations of the Agreement or failures to perfomr in accordance with the
standard of care shall be deemed to have accrued and the applicable stafirtes
of limitations shall commence to nm not later tban either the date of
Substantial Completion for acts, Ibilures to act or failures to p€rform
occwring prior to Substantial Completion, or the date of issuance of the
Notice of Acceptability of Work for acts, failures to act or failwes to
perfomr occwring after Substantial Conpletion.
10.0 Total Agreement
This Agreement constifites the entire agreemenf between Owner and
Engineer and supersedes all prior rilritten or oral understandings. In the
event of a conflict with contractual provisions in a Purcbase Order
authorization related to this Agreement, the provisions of this Agreement

Excellent, very happy with outcome. Timely resolution. Worked with EDR, very organized-even when
wrapping up the minutes. On top of everything. Actually worked with another firm they did not bring in
and completed,wsrkforthemwhich the otherfirm should have done. Very creative withoutthe cookie-
cutter approach. Extremely up to date on what's out there. Brought in Sprinkle Consulting, which
developed the national standard for Biking Path models.
Tom Fiobinson would likely lead the project-he is excellent at explaining.
As a cronsultant, they gear recommendations toward funding.
They have come in at or near budget.

General lmpression
Guyon used to work in private industry and was a rival, but he likes B & L. Really likes them. B&L is
masterful with public outreach. Similar to Cayuga Heights, Brighton is a public outreach community: lots
of public opinion which can become emotionally volatile. le, For a public outreach meeting, B&[ broke
the meeting out to tables instead of standing at a podium and pontificating. That gave B&L the chience
to have calm one-on-ones and curtail the voices which tend to monopolize public meetings. This
method was very effective/successful: great comments, great feedback. Handled all the projects
professionally. B & L is currently working with Brighton on a NYSERTA grant (which has been a
challenge) Guyon knows they are losing money on that particular project, but they are sticking wit,h it
and providing all necessary support. Conducted an incredible job with the Bicycle/Pedestrian
Masterplan which exceeded expectations and Guyon is extremely pleased with the outcome.
The word "organized" popped up many times.
Advice
Don't forget to include maintenance and snow removal to the Sidewalk Project costs. Sidewalks can be
a volatile issue. Example, Brighton is a Tree City and several trees of 30" or greater needed to be
removed for the project: a public meeting was required each time. B & I, again is great with public
outreach.
