Please also note that these bonding resolutions are not subject to permissive referendum because the expenditure is in connection with settlement of a lawsuit (which settlement required Bolton Point to complete the road, as it had contracted to do several decades earlier). As you,llsee when you read through them, there is a significant change in the Oireciion used for the financing. As David Dubow explained at the Commission meeting yesterday, after reviewing the first set we raisedthe question of the basis for the financing. The original documents followed recent procedures andassumed that there was a Supplement to the Bolton Point Agreement. In this instance, however, weknew and advised bond counsel that the project obligation derives from the settlement of a lawsuit andnot from a project that might be discretionary and subject to a supplemental agreement and moreextensive approval process. We provided a copy of the stipulation to bond counsel and after he completed his research, he ultimately concluded that the financing could be done, and done much more expeditiously, through theprocedure outlined in his cover letter to me (included in the attachment). With specific reference to the question of why the resolution is not subject to a permissive referendum, Section 1 of the proposed Bond Resolution references several Comptioller's Opinions and an Opinion of the Attorney General. We understand that those form the basis for bond counsel's conclusion thatthe bond resolution is not subject to permissive referendum under the provisions of Local Finance Law Section 36'00(a)( ), which exempts bonding resolutions from the requirement when the bonding is for the payment of judgments, or compromised or settled claims against the village. I assume that the information to be filled in to the blanks in the various forms are straight forward. Please let me know, however, if you have questions about the information for the fornis or if you have any questions about the documents or the procedures that we might need to refer back to bond counsel. As you know, the Commission is very interested in expediting the approval process so that the funds will be available for timely payment upon completion of the work. lt was David's understanding from his discussions at the Commission meeting yesterday that this matter will be presented to each oi municipal Boards for action at their next respective Board meetings.
