IPRESENT: Trustees Attorney Mayor Ronald Anderson James Bennett Shailer Philbrick Jean Robinson Roger Sovocool F. G. Marcham Police Chief Harlin McEwen OTHERS PRESENT: Insurance Company representative, Bill Scott At 4:30 p.m. Trustee Allee and Mrs. Matyas joined the meeting. Moved by Trustee Robinson, seconded by Trustee Anderson: RESOLUTION 3206 - APPROVE ABSTRACT OF AUDITED VOUCHERS VOTED to approve Abstract of Audited Vouchers dated 5/28/81 in the following amounts: General Fund - $3,462.61; Sewer Fund - $1,873.66. Unanimously passed. The Trustees had before them a tentative proposal by Trustee Allee regarding the by -laws governing the Cayuga Heights Community Center. Attorney Sovocool discussed the legal options associated with the relations between the Village Board and the Center and pointed to two possible modes of action. The Village Board might appoint, as its agent in performing recreational and other social services, a commission or commissions that would be responsible for providing the activities the Center wished to perform. As an agency of the Village, the Commission or Commissions would be employees of the Village. The agency would use members of the Center to perform such duties as the Village Board specified; as an alternative to this form of action, the Village Board might make a contract with the Center to perform such services as the Board specified. At this point Trustee Allee and Mrs. Matyas joined the discussion. The Trustees and the Attorney saw as the first priority the need to negotiate a lease for space in the Cayuga Heights School Building; a lease that would make plain the responsibilties of the landlord and tenant, particularly concerning main- tenance, security, and insurance. Discussion arose whether it is legal to bar a Village taxpayer from use of the Center's facilities if the taxpayer has not become a member of the Center and paid the membership fee. The general opinion was that such a person might make use of individual services on payment of a fee and that Center members might use such services on payment of a reduced fee. Discussion regarding the relation between the Village Board and the Center led to the general opinion that a contract would best serve the interests of the Village Center. The following language, though not offered in the form of a resolution, was accepted as defining the contractual relation. 5/28/81 "The Village will contract from year to year with the Center for the Center to provide recreational and other services for the Village. The contract shall describe the specific services to be rendered by the Center and, in addition, shall state that the Center shall: a) be responsible for maintenance and security in the space rented to the Village insofar as these duties are the responsibility of the Village as tenant. b) perform all necessary clerical and other administrative duties that are associated with operation of the Center. Discussion of point (b) took account of the fact that there should be some give and take regarding clerical and administrative duties during the first weeks of the contrac- tual relation, that is, until the Center has a telephone and an organized office. In the meantime, the Center will establish points of contact with the Villagers at large through committtee chairpersons and officers." The question arose of Village insurance as it relates to buildings owned or leased by the Village. Moved by Trustee Anderson, seconded by Trustee Bennett: RESOLUTION 3207 - EXTEND INSURANCE COVERAGE FOR THREE YEARS ON BUILDINGS OWNED OR LEASED BY THE VILLAGE VOTED to extend for a period of three years from June 1, 1981 the Village insurance on buildings owned or leased by the Village and to raise the limit for liability to $1,000,000.
