O MINUTES Of a Spocial Meeting of the Board of Trustees held at 4:00 p.m. on
August 29, 1975 in the Village Hall.
PRESENT: Mayor F. G. Marcham; Trustees David J. Allee (4 :45 p.m.) Ronald E.
Anderson, Sheller S. Philbrick, David Pimentel, Bane F. Randolph; Treasurer
Gordon B. Wheeler.
ABSENT: Trustee Dooley S. Kiefer
Moved by Trustee Pimentel, seconded by Trustee Randolph:
RESOLUTION 2476 - RESIGNATION OF TRUSTEE KIEFER
VOTED to accept Trustee Kiefer's letter of resignation dated August 13, 1975 and
to express the gratitude of the Board to Mrs. Kiefer for her services.
Trustee Allee wished to be recorded as abstaining.
The Board instructed the Mayor to state to Mrs. Kiefer that in view of the possible
difficulty of obtaining a quorum with a Board of 5 members and the need during the
next few months of passing a local law, the Board thought it necessary to accept
her resignation and seek a new Trustee to take her place. Passed by four votes.

RESOLUTION 2477 - JEAN ROBINSON AS NEW TRUSTEE
VOTED to instruct the Mayor to ask Mrs. Jean Robinson if she is willing to serve
the remainder of Trustee Kiefer's term of office; i.e., from September 1, 1975 to
March 31, 1976. Unanimously passed.

RESOLUTION 2478 - LOAN RESOLUTION
I. the undersigned, Clerk of the Village of Cayuga Heights, a municipality duly
incorporated and existing under the laws of the State of New York, having its
principal place of business in Cayuga Heights, hereby CERTIFY that the following
is a true copy of a certain resolution duly adopted by the Board of Trustees of
the said Village of Cayuga Heights in accordance with the Laws of the State of
New York and recorded in the minutes of a meeting of the said Board duly held on
August 29, 1975, and not subsequently rescinded or modified.
"RESOLVED: That the Mayor, Treasurer, and Clerk are hereby authorized for and on
behalf of this Village to: Discount and/or negotiate with THE FIRST NATIONAL BANK
OF ITHACA, N.Y., notes; drafts or other commercial paper; Apply for letters or
other forms of credit; Borrow money, with or without security; Pledge or otherwise
• hypothecate any property of the Village, and to transact any and all such other
business with said Bank as at any time may be deemed by the said officers and /or
other persons transacting the same to be advisable, and in reference to any of the
authority hereby conferred to make, enter into, execute; and deliver to said Bank

such negotiable or non - negotiable instruments, indemnity or other agreements,
obligations, assignments, endornements, hypothecations, pledges, rencaalr
and /or documents as to said officers and /or other persons above to
execute the some may seem necessary or desirable, any and all withdrawals of money
and /or other transactions heretofore had in behalf of this Village with said Bank
being hereby ratified, confirmed and approved; also, that said Bank may rely upon
the authority conferred by this entire resolution until the receipt by it of a
certified copy of a resolution of this Board revolting or modifying the same."
I FURTHER CERTIFY that the following are such of the officers of the said Village
as are designated in the above quoted resolution, and that each is duly qualified
and now acting as such:

Village Treasurer
Village Clerk
Two signatures are required to sign all documents.
IN WITNESS WHEREOF, I have hereunto subscribed my name and affixed the seal of
